- To provide business development managers as per the terms at a cost
- To provide all promotional materials like brochures, Catalogues, A4 poster, Digital posters etc.,
- To provide the insight of market information and future trends
- To invest agreed percentage investment in the show room development
- To main social media pages and website – monthly PPC campaigns
- To assist / provide inputs for business development.
- To provide market research findings about the industry
- To provide input on effective employee management
- To provide innovative schemes and marketing strategy

Responsibilities of Partner:

- To Share the vision of NIBAV


- To have long term commitment towards NIBAV partnership
- To maintain highest level of quality and customer satisfaction
- To set up one showroom on the guidelines of NIBAV
- To maintain complete transparency with NIBAV, to pay and take the material as per
the agreement / commitment to NIBAV.
- To invest on the Hardware, manpower and other infrastructure as per the directions of NIBAV
- To build a strong sales team and support team to handle customers in both pre-sales & after
sales service.
- Must have sufficient working capital
- To invest on initial marketing & Communication
- To invest sufficient amount of the revenue in brand building
- To provide guest house accommodation for the NIBAV support personnel during their travel to your
territory on support visits
- To process the VISA and meet the expenses in processing the VISA for the staffs deputed tothe
region on work.
- To Provide medical insurance to staff deputed to the region.
- To recruit sales / admin / support staff for day to day operations

Terms & Conditions:

1. Willing to accept this line of business as exclusive and not indulge directly or indirectly with any

competitor or own brand during the agreement period.

2. Due to unprecedented situations both Nibav & or Partner would like to discontinue the business,

in this situation the Partner agrees not to start his own brand directly or indirectly in the same line of

business to a period of 60 months from the end date of the contract or agreement.

3. Willing to agree that “NIBAV” will be brand name registered locally and the sole rights will be to Nibav,

only. “NIBAV” brand is owned by “K. Ramanathan & Co.” an organization which is in different business

line for previous four decades across few countries like Australia, India, Malaysia, UAE etc.,

4. NIBAV being an international brand, we would like to retain this name around the globe for business

promotions & legal licensing purpose.

5. Nibav wishes to own 60% or 51% of the stake in the business and accordingly the investment will be

done to support setup the showroom and kick start the business with the Partner handling Local

company registration, legal licensing, handling customs, local taxation & policies etc.,

6. Nibav and the Partner would be starting a separate bank account in the company name as

“NIBAV” in the Partner territory and both parties cannot move the funds without each other mutual

consent.

7. Fund’s flow is critical for any organization and Nibav, has been in the business for last four decades

with rich experience of handling funds flow and running profitbaly across all locaitons. Finance can be

handled by the Partner with the approval of Nibav HQ, as this will help the expertise of Nibav to take the

business to profitable status.

8. Periodic Auditing will be conducted, and the Partner accepts to be fully transparent in financial

& business transactions. Partner agrees to submit all document requested by NIBAV for Auditing.

9. Profit Sharing to be discussed – as per the Investment plan

10. In the event of closure or termination of the Partner, Nibav will retain the showroom space & items

within and all the goods in the stock.
