MAINTENANCE

Our quotation includes charges towards maintenance for twelve months. The period of this maintenance
shall commence from the date of completed installation and handing over of the lift. The date of
commencement of this service shall l remain firm irrespective of any delay in building completion, availability
of permanent power supply, inspection, taking over or commencing use of the elevator.

Maintenance will consist of regular checkups and other necessary adjustment and lubrication of the
equipment by trained and competent personnel under our direction and supervision. The required supplies
and parts will be provided except such parts as may be necessary due to negligence, misuse or accidents
not attributable to the manufacturing deficiencies of the product. Upon your request, special inspections will
be carried out should trouble develop between regular inspections and you agree to notify us promptly of
any such trouble. All work will be performed during our regular working hours of our regular working days
except for emergency and minor adjustment callback service which will be provided during regular working
hours and also during any overtime hours. No work or service other than the specifically mentioned is included
or intended under the terms and conditions of this contract.

It is agreed that you shall continue to be the exclusive owner of the equipment and thereby the possession
or control thereof.

We shall not be liable for any loss, damage, or delay due to any cause beyond our reasonable control
including but not limited to acts of government, strikes, fire explosion, theft, floods, riots, civil commotion, war,
malicious mischief or act of God. Under no circumstances shall we be liable for consequential damages

PREPARATORY WORK
You Agree at Your Cost:

performance of t his cont ract .

2 TO DESI GN AND FU RNI SH a properly framed and enclosed legal elev at or hoist w ay /st ruct ure w hich shall w it hst and t he
forces and loads result ing from use of t he elev at or. The hoist w ay should be light ed and be t reat ed and paint ed t o
minimize t he accumulat ion and circulat ion of dust .

3 TO prov ide an elev at or pit of appropriat e dept h below t he low est landing and, if required, suit able drains and
w at erproofing.

4 TO prov ide AND I NSTALL necessary hoist w ay , archit rav es, brick fascias/st eel.

5 TO ensure all paint ing ex cept of elev at or mat erial.

6 TO performall cut t ing of w alls, floors or part it ions t oget her w ith any repairs made necessary t hereby , including grout ing of all
bolt s, sills, members indicat or and but t on box es et c., in posit ion

circuit breakers, suit able eart hing leads t o t op floor landing (refer lay out ) and ot her elect rical prot ect iv e dev ices necessary
t o meet legal code requirement s.

9 TO arrange, during t he erect ion, elect ric pow er of t he necessary charact erist ics t o prov ide illuminat ion and for operat ion o f
t ools and hoist s if required and current for st art ing, t est ing and adjust ing t he elev at or.

10 TO GU ARD AND PROTECT t he hoist w ay .

11 TO COMPLETE all w ork in such t ime as not t o delay our w ork.

12 TO undert ake t he responsibilit y in w hole or in part t o pay and bear pro-rat a ex pense of elect ric current , or ex penses of
any nat ure relat ing t o t he rest of t he building and ot her cont ract or’s w ork (unless prov ided for herein).

13 TO PAY all fees t hat may be required in connect ion w it h t he ere ct ion or preparat ion of t he st ruct ure in w hich t he elev ator
equipment is t o be erect ed, including any general permit /cert ificat e fees, usually billed by Gov ernment al agency directly
t o t he ow ner also including license fees for t he inst allat ion or inspect ion of t he elev at or equipment

14 TO PROVI DE suit able w eat herproof lockup st orage accommodat ion of approx imat ely 50 Sq.M. per elev at or w it h elect ric
light s for elev at or mat erials at t he ground floor lev el near t he hoist w ay . This should be av ailable w e ll before t he arriv al of
t he mat erials.

15 TO PROVI DE and maint ain adequat e safet y and securit y measures as also ret ain Ot is safet y infrast ruct ure t o prev ent any
injury t o t hird part y or damage, t heft or pilferage of mat erial during st orage, erec t ion period and unt il t he elev at or is handed
ov er.

16 To prov ide hoist ing hooks in t he ceiling as per t he arrangement s show n in t he equipment lay out , t hat w ill support t he loads
indicat ed. These hooks must be cert ified for t he loads indicat ed.

17 Prov ide a niche at t he t op port ion of hoist w ay as indicat ed in t he GA draw ing.

18 TO PROVI DE accept able liv ing accommodat ion (complet e w it h light , running w at er & sanit ary facilit ies) for our erect ion
crew at or near t o sit e.

19 TO I NDEMNI FY and sav e us harmless against all liabilit y arising out of y our failure t o carry out and comply w it h any of
t he Foregoing requirement s.

CONDITIONS OF CONTRACT

1. This Quot at ions shall remain v alid and effect iv e for 30 day s from t he dat e of proposal and t hereaft er shall be subject t o chang e
w it hout not ice.

2. The agreed cont ract price shall be v alid for __52_ weeks from t he dat e of y our accept ance of t his proposal. Should t he said
period be ex t ended bey ond t his st ipulat ed t ime due t o (i) non- pay ment of t he agreed amount as per clause 5 below ; and / or
(ii) due t o non-submission of dat a or approv ed draw ings required for t he manufact ure of t he elev at or as per clause 4 below ;
and / or (iii) delay in complet ion of t he hoist w ay and machi ne room, w e w ill submit for y our accept ance t he rev ised price
prev ailing on t he dat e of such quot at ion and on it s accept ance by y ou, w e w ill programme t he supply and inst allat ion of t he
equipment . I n t he absence of y our accept ance of t he rev ised price and pay ment of any addit ional adv ance t hat may become
due, w e may at our opt ion, cancel t he order w it h a cancellat ion charge of 10% of cont ract v alue.

3. The adjust ment in price result ing from t ax v ariat ion or imposit ion of fresh t ax es (including but not limited to GST) included in t his
proposal may be claimed by us as soon as t he amount t hereof is ascert ainable and shall be pay able on demand.

4. You agree t o furnish us, w it hin tw o w eeks from t he dat e of t his agreement , all required dat a for t he performance of t he cont ract .
You agree t hat t he hoist w ay st ruct ure along w it h preparat ory w ork shall be ready and t he proper elect ric pow er av ailable in
suit able place by t he required dat e, aft er w hich w e are t o hav e t heir unint errupt ed use for inst allat ion and adjus t ment of t he
elev at or(s). I f y ou cannot prov ide elect ric pow er by t he required dat e and t he inst allat ion of t he equipment has been complet ed,
y ou shall t ake ov er t he elev at or(s) and make pay ment s as t hey fall due for pay ment in accordance w it h clause 5 be low . Any
delay due t o t his shall result in aut omat ically ex t ending t he cont ract complet ion period accordingly .

5. Pay ment shall be made pro rat a basis per elev at or as follow s: 30% of cont ract v alue w ith y our accept ance of t his proposal, 60 %
of cont ract v alue before scheduling of mat erials and t he remaining 10% of cont ract v alue on commissioning or w it hin 30 day s of
Ot is’s readiness t o commission t he equipment w it h t he furt her prov ision t hat if w e are delay ed by any cause bey ond our cont ro l,
t he final 10% w ill be paid t o us w it hin 90 day s from t he dat e t he mat er ials are ready for dispat ch. Part ial supplies w hen made shall
be pay able on pro rat a basis as abov e. Any pay ment made aft er t he due dat e shall bear lat e pay ment charges from such
dat e at t he rat e of 1.5% per mont h or part t hereof w hich y ou agree and w il l not be disput ed lat er for just ificat ion. W e reserv e the
right t o dispose of t he equipment or t o discont inue our w ork or t o w ithhold t he release of complet ed elev at or(s) at any t ime unt il
ov erdue pay ment s, w it h lat e pay ment charges, shall hav e been made as per t he t erms and condit ions and w e hav e assurance
sat isfact ory t o us t hat subsequent pay ment s w ill be made as t hey fall due. W e shall resume t he w ork subject t o our ot her
manufact uring and / or erect ion commit ment s or schedules at t hat t ime. Prov ided t hat , t his w ill in no w ay reliev e y ou of y our
liabilit ies and obligat ions under t his Cont ract . Any delay due t o t his w ill aut omat ically ex t end t he cont ract complet ion peri od
correspondingly . Handing ov er shall be subject t o receipt of final pay ment & on unit w ise basis.

6. I t is agreed t hat our w orkmen shall be giv en a safe place t o w ork and w e reserve t he right t o discont inue our w ork in t he bui lding
w henev er, in our opinion, t his prov ision is being v iolat ed.

7. U nless ot herw ise agreed, it is underst ood t hat t he w ork w ill be performed during our regular w orking hours of our regular w orking
day s. I f ov ert ime w ork is mut ually agreed upon and performed, an addit ional charge t herefore, at our usual rat e for such w ork,
shall be added t o t he cont ract price.

8. Force majeure: U nder no circumst ances shall eit her of us be liable for any loss, damage or delay due t o any cause bey ond
y our/our reasonable cont rol, including but not limit ed t o lack of shipping space, embargoes, act s of any Gov ernment , st rikes,
lockout s, fire, accident , ex plosion, flood, riot s, civ il commot ion, w ar, malicious mischief, delay s in supplies of raw mat erials and
component s at our W orks due t o any or all of t he reasons, such as energy crisis, elect ricit y cut , rail/road t ransport er’s st r ike, go
slow , bandhs, non-av ailabilit y of essent ial raw mat erials ( iron and st eel, pig iron, aluminium, copper, silv er, brass, st ainless st eel,
v arious alloy s, elect rical grade st eel, et c.), act of God or of t he St at e’s enemies, or act of t hird part y . Delay re sult ing from any
cause bey ond y our/our reasonable cont rol shall ex t end t he t ime for complet ion of t he w ork and t he commencement of t he free
maint enance period. I f for any such reasons, w e cannot supply t he equipment cov ered by t his cont ract w it hin _52_ weeks from
t he dat e of y our accept ance of t his proposal, w e may , at our opt ion, cancel t he cont ract w it hout being liable t o pay any
damages or compensat ion. U nder no circumst ances, shall eit her of us be liable for special, indirect or consequent ial loss or
damages of any kind.

9. The t it le t o each elev at or shall pass t o y ou w hen all pay ment s for such elev at or are receiv ed. W e shall ret ain t he right t o l ien and
t he right t o ret ake possession of t he elev at or or any part t hereof at y our cost in t he ev ent of any default of t he pay ment s,
irrespect iv e of t he manner of at t achment t o t he realt y , t he accept ance of not es, ex t ension of t ime for pay ment , or any security
w hich w e might hold, or t he sale, mort gage or lease of t he premises. This w ill be w it hout prejudice t o o ur right t o recov er t he
unpaid amount s and int erest by any means or process or proceedings w hat soev er. We shall be ent it led t o recov er from y ou legal
ex penses incurred in collect ing pay ment s hereunder.

10. This cont ract shall be deemed t o be an indiv isible w orks cont ract .

11. Defect liabilit y period: W e hereby guarant ee t he mat erial supplied and t he w orkmanship of t he elev at or(s) under t his cont ract
for a period of 18 mont hs from t he dat e of init ial supply of mat erials or 12 mont hs from t he dat e of complet ion of each elev at or,
w hichev er is earlier, and w e w ill rect ify and make good any defect s, not due t o ordinary w ear and t ear, improper use, or lack of

care, w hich may dev elop during t his period. This guarant ee (a) does not ex t end t o consequent ial l oss and/or damages and (b)
is null and v oid in case of t ampering and/or if maint enance, repairs and modificat ions are carried out by unaut horised person s.

12. W e shall not be required t o inst all or alt er any equipment request ed by Gov ernment Aut horit ies at t heir discret ion and not
specifically incorporat ed in t he local codes. How ev er, such changes as w ell as changes in local codes aft er t he dat e of t his
proposal if feasible, w ill be undert aken by us at ex t ra cost .

13. I f t here are any changes, modificat ions, addit ions, delet ions or ex t ras t o t he scope of w ork out lined in t his proposal, w hich are
agreed t o by us in w rit ing, t hen, in such ev ent , t he cont ract price and t he deliv ery period w ill be adjust ed accordingly on m ut ually
agreed t erms and condit ions.

14. This cont ract being an indiv isible W orks Cont ract , any packing cases, or left ov er mat erials or t ools t ackles, inst rument s, e tc.
brought t o sit e are and shall remain our propert y . W e reserv e t he right t o sub-cont ract t he w ork as and w hen w e deem fit .

15. I f any descript iv e mat t er, draw ings or illust rations brochures are furnished w it h our proposal, t hey are approx imat e and subm it t ed
only t o show t he general st y le, arrangement and dimensions of t he machinery offered.

16. The equipment offered by us has been described in our at t ached specificat ions and complet e equipment w ill be supplied and
inst alled as per st andard Ot is design, manufact ure and pract ice. I n case of any v ariat ion bet w een y our specificat ions, t erms and
condit ions and our quot at ion/specificat ions/correspondence, t he lat t er shall prev ail.

17. I f mat erials supplied by us, w het her inst alled or not , are required t o be recondit ioned/replaced at a lat er dat e due t o dela y on
account of (i) non av ailabilit y of pow er supply or ot her incomplet e w ork by y ou, (ii) force majeure condit ions, (iii) non – pay ment
of dues, t he relat ed cost shall be pay able by y ou on demand.

18. Present ly w e hav e our manufact uring unit in Karnat aka. Based on t he t echnical specificat ions of t he said cont r act and
depending on av ailabilit y and feasibilit y of t ransport or mat erial, Ot is at it s sole discret ion w ill source t he mat erial eit h er from its
fact ory and/or any ot her source any w here in I ndia and/or from ov erseas and hence w e w ill not be in a posit ion t o furnish t he
dut y pay ment det ails in respect of t he bought out and import ed mat erials.

19 I f y ou cancel t he cont ract and/or commit a breach of cont ract and or cont ract remains dormant for _52_ weeks from signing
t he cont ract , w e shall be ent it led t o claim damages and/or compensat ion, including t he cost s of t he mat erials and loss of
profit s/administ rat iv e ex penses act ual or at t he rat e of 10% of t he v alue of t he cont ract , w hichev er is higher.

20 All disput es, differences and claims w hat soev er w hich shall at any t ime arise bet w een t he part ies heret o or t heir respect ive
represent at iv es concerning t his cont ract and all ot her document s in pursuance hereof as t o t he right s, dut ies, obligat ions or
liabilit ies of t he part ies heret o respect iv ely by v irt ue of t his cont ract Shall be:
a) referred t o senior managers of bot h t he part ies. I f t he part ies fail t o arriv e at an amicable set t lement and resolut ion
of t he issues t hen it .
b) Shall be referred t o Arbit rat ion in accordance w it h t he prov isions of t he Arbit rat ion and Conciliat ion Act 1996 as
amended from t ime t o t ime. Such arbit rat ion proceedings w ill t ake place in * only , and shall be subject t o jurisdict ion
of t he Court s in

21. The amount /adv ance paid as per t he t erms of cont ract , w ill be subject t o lien and apport ionment ov er t he ex penses of t he
cont ract by OTI S, subject t o condit ion t hat same has t o be informed t o t he PARTY in w rit ing. The PARTY agrees t hat t he decisi on
of OTI S w ill be final in t his regard and t he part y agrees t hat t he same w ill not be challenged on any legal grounds.

22 This proposal w hen accept ed by y ou and approv ed by our aut horized official shall const it ut e t he ent ire cont ract bet w een us
and all prior proposals, quot at ions, agreement s, underst andings, represent at ions and arrangement s not incorporat ed herein are
superseded.

23. Any change in t he t erms and condit ions of t he cont ract aft er signing, shall be v alid and binding only if t he same are in w ri t ing
and signed by aut horized person from Head office of Ot is sit uat ed in Mumbai.

24 It is agreed that he aggregate liability of Otis, w hether under law or contract (including for third party claims) shall be
limited to 25% of the Contract Value

25. The cont ract w ould be deemed t o be concluded at *, aft er allocat ion of cont ract number by Ot is.

26 Delivery and Erection:

t o sy nchronize w it h t he hoist w ay and machine room complet ion dat e. I n such an ev ent , a fresh complet ion dat e
w ill be est ablished depending upon minimum inst allat ion t ime indicat ed in (b) abov e.
