GENERAL TERMS & CONDITIONS
Terms Contract Clause
Price The price quoted in this Proposal is inclusive of design, manufacturing, supply,
installation & commissioning, as per the bill of materials & according to Suryasār
Innovation Standards, Any change in scope of work or addition to the bill of materials
and/or ratings or any variation, whatsoever, shall be charged extra to Customer.
The basic price is exclusive O&M Charges (AMC/ CMC charges).
Inclusion of Any items not mentioned in the bill of material shall be charged extra and will be to
Excluded Items customer’s account.
Access and Permit Providing a Proper Access & reach to the Roof is the responsibility of Customer.
Interruption in The Customer shall not interfere with the work and must refrain from any actions or
Work inactions that could reasonably be expected to delay progress or increase the complexity
and cost of the work for Suryasār.
Warranty All solar modules are covered under linear performance warranty of 25 years with a
degradation of 5-10% over first 10 years and further 5-10% thereafter.
Security and Safety On delivery of supplies to Customer’s site in good condition, Customer shall be
responsible for safety & security of the materials till handing over of the same to Suryasār
Innovation designated personnel for installation. In case there are public disturbances at
site which are not exclusively attributable to Suryasār Innovation, Customer shall resolve
the same at its own risk & cost, for smooth execution of the project by Suryasār
Innovation. In such case, Customer shall provide safety & security for the Suryasār
Innovation designated personnel working at site.
Civil and Structural Suryasār Innovation limits itself to providing structures for its module mounting on RCC
Work roofs. Any other civil Work is in Customer Scope, Any changes in design which are
attributable to Customer shall be charged extra. Customer shall allow roof penetration for
Installation of module Structure for higher Strength.
Clients Scope Ensure the site is free from obstructions and unnecessary structures to facilitate survey and
installation.
Ensuring documents for net metering are signed and submitted on time to our team any
delay in this process will automatically extent the timeline.
Implement necessary safety measures, including secure access to the rooftop.
Arrange temporary storage and basic security for materials during installation.
Provide electrical connection details and load specifications for system design.
Ensure proper cable routing paths and grounding arrangements.
Inspect, verify, and rectify any earth leakage issues if the ELCB/ELR trips post-
installation.
Arrange for any necessary insurance or coverage for the project after installation. Supply
all required accessories for the net meter, excluding the meter itself (In Delhi, the cost of a
net meter is directly included in the client's electricity bill).

Net Metering should carry all Documents required for Net Metering in failure of which
Suryasār Innovation (Others), is not Liable to Provide Net Metering to Customer .
Net Meter File Charges and Meter Charges (excluding any additional accessories
for the meter) are included.
Governing law All questions concerning the construction, validity and interpretation of this
and Jurisdiction Proposal or any resultant Agreement will be governed by the laws of India, and
the courts at Delhi, India shall have exclusive jurisdiction with respect to any
dispute that occurs hereof. No remedy described in this Proposal or any resultant
Agreement shall in any way limit the parties’ remedies available at law.
O&M and Suryasar is responsible for general maintenance of the plant for 5 years
Cleaning under the PM Suryaghar scheme and for 1 year for any other solar
installation. This maintenance includes general monitoring through online
services and site visits only in case of technical issues related to the
malfunctioning of electrical equipment, excluding damages caused by
natural disasters.
Suryasar will clean the plant only during the initial panel installation,
during which the customer will receive guidance through visual
representation and tutorial videos if needed for proper solar plant cleaning.
Any additional cleaning services beyond this will be chargeable based on
the plant’s capacity.
Security & Safety The Customer shall not interfere with the work and must avoid any actions
or omissions that may reasonably cause delays, increase complexity, or add
costs to Suryasār’s work.
Upon delivery of materials to the customer’s site in good condition, the
customer shall be responsible for their safety and security until they are
handed over to the designated personnel for installation.
If any public disturbances occur at the site that are not directly caused by
Suryasār, the customer shall be responsible for resolving them at their own
risk and cost to ensure the smooth execution of the project. In such cases,
the customer must also provide safety and security for Suryasār’s
designated personnel working at the site. Any delays in execution or
material damage resulting from public disturbances shall be the customer’s
responsibility and must be compensated accordingly.
Force Majeure Force Majeure refers to any event, existing or future, that is beyond
Suryasār’s reasonable control. This includes, but is not limited to, natural
disasters (acts of God, storms, fires, floods, explosions, earthquakes),
epidemics, quarantines, strikes, riots, lockouts, embargoes, civil or military
interference, government regulations or orders, acts of war (declared or
undeclared), terrorism, and other similar unforeseen events (collectively
referred to as “Force Majeure”).
Suryasār shall not be held responsible for any failure to fulfil its
obligations under this proposal if such failure is due to a Force Majeure
event. However, these circumstances shall not exempt the customer from
fulfilling their payment obligations.

Publicity Rights The customer grants Suryasār its irrevocable and unconditional consent to
issue press releases or announcements related to this proposal or any
resulting agreement. Additionally, Suryasār may use data, photographs,
designs, and other materials of the solar power plant for publicity,
marketing, or publication purposes. However, Suryasār agrees that such
usage shall not be in any manner defamatory to the customer.
Taxes, Duties and Any changes or variations in the prevailing tax rates, or any additional
Rates taxes, duties, fees, levies, or charges—including entry tax, local, or
municipal taxes (if applicable)—applicable after the issuance of the
Purchase Order shall be borne by the customer at actuals.
Arbitration Any dispute, including claims for redressal or enforcement of rights under
applicable law, shall be resolved and conclusively settled as per the
provisions of the Arbitration and Conciliation Act, 1996, as amended or re-
enacted from time to time. The arbitral tribunal shall consist of two
arbitrators, one appointed by each party, with a third arbitrator selected by
the appointed arbitrators. The arbitration shall take place in Udaipur, India,
and all proceedings shall be conducted in English.
Improvement and The Bill of Materials listed above, along with the specified makes, is for
Development reference only. Due to ongoing improvements and advancements, the
ratings and specifications of Solar Modules and Inverters (PCU) may be
subject to change.
