AGREEMENT OF SALE
THIS AGREEMENT OF SALE is made and executed on this the 23rd
  day of July, 2025, at Hyderabad, Telangana State, by and between:-
1. Dr. SHAIK ZAHEER BASHA S/O. MR. SHAIK GANI BASHA, Aged about
   37 years, Occupation: Doctor, R/o. H.No.1-24-362, Plot No.12, Sri Sai
   Nagar Colony, Behind Indira Nagar, Lothkunta, Secunderabad, TG.
   Aadhaar No.5102 3740 7952.
2. Dr. RAFIYA FATIMA W/O. Dr. SHAIK ZAHEER BASHA, Aged about 36
   years, Occupation: Doctor, R/o. H.No.1-24-362, Plot No.12, Sri Sai Nagar
   Colony, Behind Indira Nagar, Lothkunta, Secunderabad, TG. Aadhaar
   No.4239 8665 0781.
   Represented by their GPA Holder

Hereinafter called the “VENDEE” which term shall mean and include all

his heirs, successors, executors, administrators, legal representatives and
legal assignees of the Second Part).
Whereas, the VENDORS herein is the sole, absolute, lawful owner,
peaceful possessor, uninterrupted and unconditional enjoyer of the OPEN
LAND BEARING PLOT NO.470, IN SURVEY NOS. 105 & 99,
ADMEASURING 267.00 SQ. YARDS OR 223.23 SQ. MTRS.,
SITUATED AT "SAI BHAVANI", BUDVEL VILLAGE, GHMC,
RAJENDRANAGAR                CIRCLE,           RANGA             REDDY
DISTRICT, TELANGANA STATE, having purchased the same through a
Registered Sale Deed bearing Document No. 1)139 of 2019, Dated:
04/01/2019, Registered in the Office of the Sub Registrar Rajendranagar,
Ranga Reddy District, Telangana State.
WHEREAS, the VENDORS due to his personal and family needs hereby
offered to sell the OPEN LAND BEARING PLOT NO.470, IN SURVEY
NOS. 105 & 99, ADMEASURING 267.00 SQ. YARDS OR 223.23 SQ.
MTRS., SITUATED AT "SAI BHAVANI", BUDVEL VILLAGE, GHMC,
RAJENDRANAGAR CIRCLE, RANGA REDDY DISTRICT, TELANGANA
STATE, and as described in the SCHEDULE PROPERTY annexed hereto,
to the VENDEE, for a total Sale consideration of Rs.2,14,93,500/-
(Rupees Two Crores Fourteen Lakhs Ninety Three Thousand Five
Hundred Only) or Rs.80,500/- Rupees Eighty Thousand Five
Hundred only) per Sq. Yard and the VENDEE has agreed to purchase the
same for the said sale consideration.
    NOW THIS AGREEMENT OF SALE WITNESSETH AS FOLLOWS
THAT IN PURSUANCE, of the Agreement of Sale Consideration is
Rs.2,14,93,500/- (Rupees Two Crores Fourteen Lakhs Ninety Three
Thousand Five Hundred Only) the VENDEE herein has paid token
advance sale consideration of Rs.1,50,00,000/- (Rupees One Crore
Fifty Lakhs Only) by way of cash and the VENDEE hereby admits and
acknowledges the receipt of the same received from the VENDORS, and
the VENDEE had agreed to pay the balance Consideration amount of
Rs.64,93,500/- (Rupees Sixty Four Lakhs Ninety Three Thousand
Five Hundred only) to the VENDORS at time of Registration within 30
days.

      THAT, the VENDORS hereby declares he has not entered into any
sale agreement or registration in favour of any other party by knowingly
or unknowingly. If any future dispute arises by any third party the
VENDORS will be held responsible for all such causes, costs and damages.
      THAT, the VENDORS specifically agreed that he shall make the
original owner to execute regular Sale Deed or other deeds in favour of
the VENDEE or his nominee or nominees appointed by him in future after
receiving the balance sale consideration.
     WHEREAS, the above named VENDORS herein has declared that
the above said VENDORS herein is the absolute owner and in peaceful
possessor of the Schedule Property hereby conveyed and that except the
above said VENDORS there are no other person or persons have any
manner of rights or interests, in the same and the VENDORS have full
authority to convey the same.
       THAT, the VENDORS has agreed to pay all the taxes, cess, dues
etc., in respect of the schedule property up to the date of Sale Deed, i.e.,
up to the time Registration of the said Scheduled Property.
THAT, the VENDORS herein have agreed that he/she/they shall hand over
the Original documents and link documents of the schedule mentioned
property to the VENDEE on the day of Registration.
THAT, the rights, titles, interests, easements, privileges, liberties,
enjoyments, shall be transferred in favour of the VENDEE absolutely
forever on the day of registration of the said property.
THAT, the VENDORS has assured and informed the VENDEE that the
schedule Property hereby sold is free from all encumbrances, sales, gifts,
wills, sureties, court attachments, family disputes, litigations, prior
agreements and sales, mortgages, etc., the VENDORS further undertakes
to clear off all the dues accrued till the date of this sale deed either of
Government or Private if found in future period.
THAT, the VENDORS hereby indemnify and keep the VENDEE indemnified
from against all the losses, costs, expenses, damages sustained, if any
due to the defect in the title of the VENDORS or from any third party's
claim or if the VENDEE is derived from the part or whole of the schedule
property. The VENDORS AGREEMENT shall compensate against the same
at all times from their personal and other property.

THAT, the VENDORS hereby agree to save harmless and keep
indemnified the VENDEE from and against all losses, damages, costs,
expenses, which the VENDEE may sustain or by reason of any claim being
made by anybody whatsoever to the said property.
THAT, the VENDORS herein have agreed to come and execute Sale Deed
or any other Document(s) after receiving balance sale consideration
amount from the VENDEE before the concern Sub Registrar Office,
whenever the VENDEE requires without demanding any extra
consideration amount apart from the balance amount and the Registration
charges shall be borne by the VENDEE only.
               SCHEDULE OF THE PROPERTY
    All that the OPEN LAND BEARING PLOT NO.470, IN SURVEY
NOS. 105 & 99, ADMEASURING 267.00 SQ. YARDS OR 223.23 SQ.
MTRS., SITUATED AT "SAI BHAVANI", BUDVEL VILLAGE, GHMC,
RAJENDRANAGAR CIRCLE, RANGA REDDY DISTRICT, TELANGANA
STATE, and bounded as follows:-

                 SOUTH      :     40 Feet Wide Road
                 EAST       :     Plot NO.469
                 WEST       :     Plot No.471
     IN WITNESSES WHEREAS, the "VENDORS and "VENDEE" herein
have signed this "AGREEMENT OF SALE" with their own free will and
consent, without coercion or undue influence after understanding the
contents of it and the same explained to them in their Vernacular
Language on the day, month and year first above mentioned in the
