INSTRUCTIONS:
Constitutions state the purpose, describe the structure, and establish the identity of an
organization. It should be clear enough to provide a complete picture of an organization.
Meanwhile, By-Laws serve as the supporting documents, practices, and policies that support
the internal operations of an organization.
Here are a few tips before you begin to write your Constitution and By-Laws:
1. You may form a small group of five to ten members who may represent the diverse
viewpoints of your members;
2. As much as possible, consult your members in setting the mission, vision, objectives
and directions of your organization;
3. Strive for consensus to ensure that the CBL will represent the whole of the organization
and not just individual members;
4. Use words which are easy to understand; and
5. Aim for efficiency and avoid too much bureaucracy.
How to use the template?
The CBL template is just a working draft. You may modify, add or even remove
statements so that you will be able to describe the organization, its structure and processes
that you collectively envision.
Texts in black are your cues. They serve as a skeleton for the template. You may
choose to retain or restate them. While it is your decision to customize the CBL according to
your organization’s direction, remember not to make the CBL too lengthy nor too brief.
Articles and sections in the template are provisions common to the CBL of any organization.
Texts in red are for your editing, or for you to supply the information described. While
texts in blue are question which you should answer with declarative statements.

CONSTITUTION AND BY-LAWS OF
ROSES YOUTH ORGANIZATION

PREAMBLE
We, the members of the Roses Youth Organization, in recognition of the importance of youth
empowerment, community development, and civic responsibility, do hereby establish this
Constitution and By-Laws to guide our organization in promoting leadership, unity, and social
change within our community.
Article I. Name
Section 1. This organization shall be known as Roses Youth Organization.
a. Throughout this document, this organization shall be referred to as RYO.
Article II. Vision, Mission and Objectives
Section 1. The organization shall envision to build a generation of empowered,
responsible, and community-oriented youth leaders.
Section 2. The organization shall pursue to provide opportunities for personal
development, community service, and youth participation in social and
developmental programs.
Section 3. The organization shall have the following objectives:
a. To promote active youth participation in community development.
b. To conduct seminars, outreach programs, and workshops on leadership,
health, education, and environmental issues.
c. To collaborate with other youth and civic organizations for mutual goals.
d. To develop the skills and talents of youth through training and
mentorship.
Article III. Membership
Section 1. Eligibility
Membership is open to all youth aged 13–30 residing in or affiliated with
the local community who are willing to abide by the Constitution and By-
Laws.
Section 2. Rights and Duties of Members
Members have the right to:
Vote and be voted for.
Participate in all organizational activities.
Receive fair treatment and representation.
Member are expected to:
Uphold the organization's goals and values.
Attend regular meetings and activities.
Pay dues as determined by the organization.
Article IV. Officers and Their Duties
Section 1.The organization shall have the following officers:
1. President
2. Vice President
3. Secretary
4. Treasurer
5. Auditor
6. Public Information Officers
7. Committee Heads (as needed)
Section 2.Duties
1. President: Leads the organization, presides over meetings, represents the
organization publicly.
2. Vice President: Assists the President and assumes duties in their absence.
3. Secretary: Keeps minutes of meetings, maintains records, manages
correspondence.
4. Treasurer: Manages finances, prepares financial reports, handles
fundraising.
5. Auditor. Ensures the honest use and proper disbursement of
organization’s resources by reviewing financial statements and other
pertinent records;
6. Information Officer: Promotes the organization, manages social media and
public relations.
Article V. Elections
Section 1. Schedule: Election shall be held annually during the general assembly
Section 2. Process:
Candidates must be active members for at least 6 months.
Voting shall be by secret ballot.
A simple majority is required to win.
Article VI. Meetings
Regular Meetings shall be held monthly.
Special Meetings may be called by the President or majority of officers.
General Assembly shall be conducted annually
A quorum (majority of active members) is needed to make decisions.
Article VII. Finances
The organization may raise funds through contributions, fundraisers, and
donations.
All financial activities must be documented and reported by the Treasurer.
Disbursements must be approved by at least three officers.
Article VIII. Amendments
Amendments to this Constitution and By-Laws may be proposed by any
member and shall be adopted by a two-thirds (2/3) vote of the general
membership.
Article IX. Dissolution
In case of dissolution, all assets and records shall be transferred to a
community-based youth program or charitable organization, as decided by
the majority of remaining members.
