LEGAL WRITING & DRAFTING EXERCISE – DRAFTING TRANSACTIONAL

DOCUMENTS
You are a Legal Assistant at Maisha & Co. Advocates and Mr.
Mangeni Till, the Senior Partner has instructed you to handle the
following transactions.
1. Mbarara City Council is desirous of disposing off Plots 20-30
Mbarara Road to Alimpa Julius for a period of 49 years.
Alimpa intends to use the suit property for commercial
purposes by building a Commercial Plaza. He is willing to pay
a consideration of 1 Billion Uganda Shillings and a yearly sum
of 100,000,000/- (One Hundred Million Shillings).

2. Alimpa Julius intends to leave the country on 10th February


2025 for an undetermined duration and would like the
transaction above scheduled to be executed in his absence.
Julius has entrusted his wife (Mrs. Alimpa Monic) with the
money and wants her to represent him at the signing.

3. Alimpa Julius is also interested in hiring Wagga Engineers Ltd


to construct the Commercial Plaza at a contract price of UGX.
900,000,000/=. The terms of payment shall be in 3 equal
installments, paid quarterly into the company’s bank account
No. 3044678910 held in Centenary Bank. The duration of the
project is 12 calendar months subject to renewal upon
satisfactory performance.

Draft the relevant transactional documents reflected in Tasks 1,2 &


3 herein above.
Instructions
Task 1 to be handled by Firm A4 and B4
Task 2 to be handled by Firm C4 and D4; and
Task 3 by Firm F4 and E4
The same applies to Stream 5 as follows;
Task 1 to be handled by Firm A5 and B5
Task 2 to be handled by Firm C5 and D5; and
Task 3 by Firm F5 and E5
