WHEREAS the VENDOR NO.2 purchased the immovable property being


Vacant land measuring an extent of 44.5 cents comprised in Survey
No.225/1B of Mambakkam Village, Vandalur Taluk, Chengalpet District, by
Sale Deed dated 21.05.2018 executed in his favour by P.Gopalakrishnan,
which is registered as Doc.No.5263/2018 in the SRO, Guduvanchery.
Thereafter, Patta No.1803 has also been issued in favour of VENDOR NO.2.

AND WHEREAS the Vendors along with owners of other contiguous lands
have consolidated the lands measuring a total extent of 16 Acres

84.75 cents in various survey numbers of Mambakkam Village, which is


morefully described in Schedule A hereunder and the details of the Sale
Deeds pertaining to the said larger extent of land are set out hereinbelow.

(i) The Vendor No.1, M/s. Jones Foundations Private Limited, acquired
an extent of 60 cents in Survey No. 228, Mambakkam Village by Sale Deed
dated 09.11.2017 executed in its favour by M/s.Nirvana Housing Private
Limited which is registered as Document No. 12330/2017 in the SRO,
Guduvanchery. Patta No. 1773 has been issued in favour of Vendor No.1.

(ii) The Vendor No.1, M/s. Jones Foundations Private Limited, acquired
an extent of 31 cents in Survey No. 222/2 and 30 cents in Survey

No.222/3, Mambakkam Village by Sale Deed dated 27.05.2019 executed in


its favour by Mr.Dharmichand @ Dharmichand Singhvi, which is registered
as Document No. 6694/2019 in the SRO, Guduvanchery. Patta No. 2849
has been issued in favour of Vendor No.1.

(iii) The Vendor No.1, M/s. Jones Foundations Private Limited, acquired
an extent of 57.5 cents in Survey No. 224/2, Mambakkam Village by Sale
Deed dated 18.06.2019 executed in its favour by Mr.V.Balakrishnan and
Mr.N.Duraikannu, which is registered as Document No. 7991/2019 in the
SRO, Guduvanchery. Patta No. 2850 has been issued in favour of Vendor
No.1.

(iv) The Vendor No.1, M/s. Jones Foundations Private Limited, acquired a
total extent of 125 cents in Survey No. 221, Mambakkam Village by Sale
Deed dated 14.07.2022 executed in its favour by Mrs.R.Rukmani,
Mr.N.Nageshwara Rao, Mrs.R.Krishna Kumari, Mr.N.Srinivasan,
Mr.K.Udayabaskar which is registered as Document No. 12042/2022 in the
SRO, Guduvanchery [1 Acre 4.17 Cents in Survey No.221] and by Sale
Deed dated 05.07.2023 executed in its favour by Mr.N.Ambigapathi, which
is registered as Doc. No.11690/2023 in the SRO, Guduvanchery [20.83
Cents in Survey No.221]. Patta No. 2892 has been issued in favour of
Vendor No.1.

(v) The Vendor No.1, M/s. Jones Foundations Private Limited, acquired
an extent of 27.71 cents (5/6th Share) out of 33.25 Cents in Survey No.
223/2A1, Mambakkam Village by Sale Deed dated 14.07.2022 executed in
its favour by Mrs.R.Rukmani, Mr.N.Nageshwara Rao, Mrs.R.Krishna Kumari,
Mr.N.Srinivasan, Mr.K.Udayabaskar, which is registered as Document No.
12036/2022 in the SRO, Guduvanchery. Patta No.2945 has been issued in
favour of Vendor No.1.

(vi) The Vendor No.1, M/s. Jones Foundations Private Limited, acquired
an extent of 5.54 cents (1/6th Share) out of 33.25 Cents in Survey No.
223/2A2, Mambakkam Village by Sale Deed dated 05.07.2023 executed in
its favour by Mr.N.Ambigapathi, which is registered as Document No.
11691/2023 in the SRO, Guduvanchery. Patta No. 3289 has been issued in
favour of Vendor No.1.

(vii) The Vendor No.1, M/s. Jones Foundations Private Limited, acquired
an extent of 53 cents in Survey No. 217/2, Mambakkam Village by Sale
Deed dated 25.07.2022 executed in its favour by Mrs.G.Radhika, which is

registered as Document No. 12412/2022 in the SRO, Guduvanchery. Patta


No. 2855 has been issued in favour of Vendor No.1.

(viii) The Vendor No.1, M/s. Jones Foundations Private Limited, acquired
an extent of 18.5 cents in Survey No. 223/2B3, Mambakkam Village by
Sale Deed dated 06.03.2023 executed in its favour by Mr.K.Velu Mudaliar,
which is registered as Document No. 4064/2023 in the SRO, Guduvanchery.
Patta No. 3030 has been issued in favour of Vendor No.1.

(ix) The Vendor No.1, M/s. Jones Foundations Private Limited, acquired
an extent of 133 cents in Survey No. 168/1, Mambakkam Village by Sale
Deed dated 09.09.2023 executed in its favour by M/s.Melody Properties
Private Limited, which is registered as Document No. 15907/2023 in the
SRO, Guduvanchery. Patta No. 3216 has been issued in favour of Vendor
No.1.

(x) Mr. Rishabh Singhvi, acquired an extent of 28.5 cents in Survey No.
224/1A, Mambakkam Village by Sale Deed dated 27.12.2006 executed in
its favour by Mr.Dakshinamoorthy, which is registered as Document No.
15845/2006 in the SRO, Guduvanchery. Patta No. 3297 has been issued in
favour of Mr. Rishabh Singhvi. On 27.05.2019, the said Mr.Rishabh Singhvi
executed a General Power of Attorney Deed in favour of M/s. Jones
Foundations Private Limited, the VENDOR NO.1 herein, in respect of the
said extent of 28.5 cents in Survey No. 224/1A, Mambakkam Village, which
is registered as Document No.6693/2019 in the SRO, Guduvanchery,
interalia authorising the said Power Agent to develop and alienate the same.
The said General Power of Attorney Deed Document No.6693/2019 has not
been cancelled, revoked or varied and it is still in full force and effect.

(xi) Mrs. G Vinu, acquired an extent of 29 cents in Survey No. 224/1B,


Mambakkam Village by Sale Deed dated 13.07.2015 executed in its favour
by Mrs.R.Radha Ammal, Mr.R.Venkatesan, Mr.V.Dinesh Babu, represented
by their Power Agent Mr.G.Kalan, which is registered as Document No.
9006/2015 in the SRO, Guduvanchery. Patta No. 1509 has been issued in
favour of Mrs. Vinu. On 18.06.2019 the said Mrs. Vinu executed a General
Power of Attorney Deed in favour of M/s. Jones Foundations Private Limited,
the VENDOR NO.1 herein, in respect of the said extent of 29 cents in
Survey No. 224/1B, Mambakkam Village, which is registered as Document
No.7989/2019 in the SRO, Guduvanchery, interalia authorising the said
Power Agent to develop and alienate the same. The said General Power of
Attorney Deed Document No.7989/2019 has not been cancelled, revoked or
varied and it is still in full force and effect.

(xii) Mrs. Vasanti Ram Narayan, acquired an extent of 38 cents in Survey


No. 225/1A, Mambakkam Village by Sale Deed dated 23.01.2011 executed
in her favour by Mr.A.Natarajan (through his Power Agent Mr.V.B.Anand
vide GPA dated 30.06.2010 Doc No.1039/2010 on the file of SRO
Guduvanchery), which is registered as Document No. 1923/2011 in the
SRO, Guduvanchery. Patta No. 1086 has been issued in favour of
Mrs. Vasanti Ram Narayan. On 14.07.2016 the said Mrs. Vasanti Ram
Narayan executed a General Power of Attorney Deed in favour of M/s. Jones
Foundations Private Limited, the VENDOR NO.1 herein, in respect of the
said extent of 38 cents in Survey No. 225/1A, Mambakkam Village, which is
registered as Document No.8168/2016 in the SRO, Guduvanchery, interalia
authorising the said Power Agent to develop and alienate the same. The
said General Power of Attorney Deed Document No.8168/2016 has not been
cancelled, revoked or varied and it is still in full force and effect.

(xiii) M/s. Mangal Tirth Estate Limited, acquired an extent of 72 cents in


Survey No. 169, Mambakkam Village by Sale Deed dated 04.10.2010
executed in its favour by Mr.S.Janardhanan, which is registered as
Document No. 8127/2010 in the SRO, Guduvanchery. Patta No. 1388 has
been issued in favour of M/s. Mangal Tirth Estates Private Limited. On
28.11.2023, the said M/s. Mangal Tirth Estates Private Limited executed a
General Power of Attorney Deed in favour of M/s. Jones Foundations Private
Limited, the VENDOR NO.1 herein, in respect of the said extent of 72 cents
in Survey No. 169, Mambakkam Village, which is registered as Document
No.20819/2023 in the SRO, Guduvanchery, interalia authorising the said
Power Agent to develop and alienate the same. The said General Power of
Attorney Deed Document No.20819/2023 has not been cancelled, revoked
or varied and it is still in full force and effect.

(xiv) Mrs. Lathaa, acquired an extent of 125 cents in Survey No. 220,
Mambakkam Village by Sale Deed dated 05.09.2022 executed in her favour
by Mr.H.Ganesh Babu, which is registered as Document No. 14742/2022 in
the SRO, Guduvanchery. Patta No. 2843 has been issued in favour of Mrs.
Lathaa. On 10.02.2024 the said Mrs. Lathaa executed a General Power of
Attorney Deed in favour of M/s. Jones Foundations Private Limited, the
VENDOR NO.1 herein, in respect of the said extent of 125 cents in Survey
No. 220, Mambakkam Village, which is registered as Document
No.1994/2024 in the SRO, Guduvanchery, interalia authorising the said
Power Agent to develop and alienate the same. The said General Power of
Attorney Deed Document No.1994/2024 has not been cancelled, revoked or
varied and it is still in full force and effect.

(xv) Mr. M. Jones acquired an extent of 36 cents in Survey No. 227/2C,


Mambakkam Village by Sale Deed dated 18.11.2016 executed in his favour

by Mrs.Kumari, Mr.Sivakumaran, Mr.Duraisai, Mr.Sathyavathy, and


Mrs.Prema which is registered as Document No. 13010/ 2016 in the SRO,
Guduvanchery. Patta No. 1772 has been issued in favour of Mr.M.Jones.

(xvi) Mr. M. Jones acquired an extent of 61 cents in Survey No. 167/1 and
19 cents in Survey No. 223/2B1, Mambakkam Village by Sale Deed dated
21.05.2018 executed in his favour by M/s.Arun Excello Urban Infrastructure
Private Limited, which is registered as Document No. 6077/2018 in the
SRO, Guduvanchery. Patta No. 1806 has been issued in favour of
Mr.M.Jones.

(xvii) Mr. M. Jones acquired an extent of 60 cents in Survey No.167/2,


Mambakkam Village by Sale Deed dated 25.05.2018 executed in his favour
by Mr.K.Chandramouli, which is registered as Document No. 5523/ 2018 in
the SRO, Guduvanchery. Patta No. 1802 has been issued in favour of
Mr.M.Jones.

(xviii) Mr. M. Jones acquired an extent of 62 cents in Survey No. 222/1,


Mambakkam Village by Sale Deed dated 17.12.2018 executed in his favour
by Mr.Sampath, Mrs.Prema and Mrs.Sujatha which is registered as
Document No. 15203/ 2018 in the SRO, Guduvanchery. Patta No. 2893 has
been issued in favour of Mr.M.Jones.

(xix) Mr. M. Jones acquired an extent of 29 cents in Survey No.209/2, 32


cents in Survey No.209/5, 12 cents in Survey No.215/3B, 14 cents in
Survey No.215/3C, 40 cents in Survey Nos.217/1 and 216, 40 cents in
Survey Nos.217/1 and 216, 40 cents in Survey Nos.217/1 and 216, and 10
cents in Survey No. 215/3A Mambakkam Village by Sale Deed dated
25.05.2018 executed in his favour by M/s.Nirvana Housing Private Limited,
which is registered as Document No. 5522/ 2018 in the SRO,
Guduvanchery. Patta No. 1805 has been issued in favour of Mr.M.Jones.

(xx) Mr. M. Jones acquired an extent of 14 cents in Survey No. 226/2,


Mambakkam Village by Sale Deed dated 20.10.2020 executed in his favour
by Mr.A.Damodharan, which is registered as Document No. 8499/ 2020 in
the SRO, Guduvanchery. Patta No. 2851 has been issued in favour of
Mr.M.Jones.

(xxi) Mr. M. Jones acquired an extent of 95 cents in Survey No. 223/1,


Mambakkam Village by Sale Deed dated 04.02.2021 executed in his favour
by M/s.Nirvana Housing Private Limited, which is registered as Document
No.10136/2021 in the SRO, Guduvanchery. Patta No. 2852 has been issued
in favour of Mr.M.Jones.

(xxii) Mr. M. Jones acquired an extent of 18.5 cents in Survey No. 223/2B2,
Mambakkam Village by Sale Deed dated 30.06.2021 executed in his favour
by Mrs.Deepa and Mr.Mohan, which is registered as Document No. 7996/
2021 in the SRO, Guduvanchery. Patta No. 2856 has been issued in favour
of Mr.M.Jones.

(xxiii) Mr. M. Jones acquired an extent of 21 cents in Survey No. 218/2B,


Mambakkam Village by Sale Deed dated 23.03.2020 executed in his favour
by Mrs.B.Backiyalakshmi, which is registered as Document No. 3691/ 2020
in the SRO, Guduvanchery. Patta No. 3068 has been issued in favour of
Mr.M.Jones.

(xxiv) M/s. Melody Properties Private Limited, acquired an extent of 69


cents in Survey No. 168/2, Mambakkam Village by Sale Deed dated
19.01.2007 executed in its favour by Mr.Sambandha Naicker, Mr.Subramani
and Mr.Shankar which is registered as Document No. 595/2007 in the SRO,
Guduvanchery. M/s. Melody Properties Private Limited, acquired an extent
of 44 cents in Survey No. 179/2, Mambakkam Village by Sale Deed dated

24.10.2005 executed in its favour by Mrs.Sakunthala Ammal, which is


registered as Document No. 8706/2005 in the SRO, Guduvanchery. M/s.
Melody Properties Private Limited, acquired an extent of 22 cents in Survey
No. 179/3, Mambakkam Village by Sale Deed dated 24.10.2005 executed in
its favour by Mr.Sambandha Naicker, Mr.Subramani and Mr.Shankar, which
is registered as Document No. 8707/2005 in the SRO, Guduvanchery. In
respect of the above extents of land, that is, 69 cents in Survey No.168/2,
44 cents in Survey No.179/2 and 22 cents in Survey No.179/3, Patta No.
1033 has been issued in favour of M/s. Melody Properties Private Limited.
On 09.09.2023, the said M/s. Melody Properties Private Limited executed a
General Power of Attorney Deed in respect of an extent of 69 cents in
Survey No.168/2, 44 cents in Survey No.179/2 and 22 cents in Survey
No.179/3 Mambakkam Village, in favour of Mr.M.Jones, which is registered
as Document No.15908/2023 in the SRO, Guduvanchery, interalia
authorising the said Power Agent to develop and alienate the same. The
said General Power of Attorney Deed Document No.15908/2023 has not
been cancelled, revoked or varied and it is still in full force and effect.

(xxv) Mr. A.Sathyamohan acquired an extent of 44.5 cents in Survey No.


225/1B Mambakkam Village by Sale Deed dated 21.05.2018 executed in his
favour by Mr.P.Gopalakrishnan, which is registered as Document No. 5263/
2018 in the SRO, Guduvanchery. Patta No. 1803 has been issued in favour
of Mr.A. Sathyamohan.

(xxvi) Mr.D.Peter Jesudass acquired an extent of 68 cents in Survey No.


218/1, Mambakkam Village by Sale Deeds dated 04.11.2015 executed in his
favour by Mr.P.Mohan and five others which are registered as
Doc.Nos.13874/2015 to 13879/2015 in the SRO, Guduvanchery. Patta No.
1832 has been issued in favour of Mr. Peter Jesudass. On 27.06.2019, the
said Mr. Peter Jesudass executed a General Power of Attorney Deed in

respect of the said extent of 68 cents in Survey No.218/1 Mambakkam


Village, in favour of Mr.A.Sathyamohan, which is registered as Document
No.8424/2019 in the SRO, Guduvanchery, interalia authorising the said
Power Agent to develop and alienate the same. The said General Power of
Attorney Deed Document No.8424/2019 has not been cancelled, revoked or
varied and it is still in full force and effect.

AND WHEREAS ever since their purchase through the aforementioned Sale
Deeds, the Vendors and other owners of such contiguous lands measuring
the said extent of 16 Acres 84.75 cents have been in absolute,
uninterrupted peaceful Possession and enjoyment of their respective lands,
without any let or hindrance, encumbrance, charges, lien, lis-pendens, or
attachments whatsoever and thus have an absolute right, title and interest
over the land mentioned in the Schedule A below and revenue records have
also been mutated to reflect their title and possession.

AND WHEREAS the VENDORS and other owners of the said extent of 16
Acres 84.75 cents of vacant land comprised in the various survey numbers
in Mambakkam Village, Vandalur Taluk, Chengalpattu District have plotted
the said extent of land into a Residential layout dividing the said lands into
house site plots and provided access to the plots and gifted the lands
measuring an extent of 19001.00 Square meters for roads, 4961.75 square
meters for OSR Area (reserved for Park Area-1 - 3329.30 sq. mtr., & Park
Area-2 -1632.45 sq.mtr.,), 261.25 square meters for Public Purpose Site-1
(reserved for TANGEDCO) & 261.25 square meters for Public Purpose Site-2
(reserved for Local Body) to and in favour of M/s. The President,
Mambakkam Panchayat in and by way of Gift Deed dated 10.02.2024 and
registered on 12.02.2024 as Doc. No.2033/2024 in the SRO, Guduvanchery
and obtained approval of the layout from the Directorate of Town and
Country Planning vide DTCP Approval No.07/2024 through proceedings ROC

No.EDQXGBG2/2024/TCP dated 05.03.2024 and confirmed by the


President, Mambakkam Panchayat, Thiruporur Panchayat Union,
Chengalpattu vide Assigned Village Resolution No.10/2024 through
ROC.No.01/2024 dated 11.05.2024, and thus formed the layout named as
“JONES ORCHID AVENUE” consisting of 311 Plots bearing Nos.1 to 311
(including 67 EWS Plots).

AND WHEREAS the Residential Layout is also registered with the


Tamilnadu Real Estate Regulatory Authority at Greater Chennai on
24.06.2024, under Project Registration No.TN/29/Layout/2489/2024
bearing the name “JONES ORCHID AVENUE”.

AND WHEREAS the Purchasers having scrutinized and verified the title
documents, sanctions, authorizations, consents, permissions and approvals
issued by the appropriate authorities for Layout approvals and RERA
registration pertaining to the SCHEDULE PROPERTY is hereby satisfied with
the title of the VENDORS and statutory compliances with regard to the
Project.

AND WHEREAS the Vendors have offered to sell Plot No.256, measuring
an extent of 121.03 Square Meter, (1302 Square Feet), for a total Sale
Consideration of Rs.63,59,500/- (Rupees Sixty Three Lakhs Fifty Nine
Thousand and Five Hundred only), which is morefully described in the
SCHEDULE „B‟ hereunder, free from all encumbrances.

NOW THIS DEED OF ABSOLUTE SALE WITNESSETH AS FOLLOWS:

That in pursuance of the above said terms and in receipt of total sale
consideration a sum of Rs.63,59,500/- (Rupees Sixty Three Lakhs
Fifty Nine Thousand and Five Hundred only) paid by the Purchasers to
the Vendors in the following manner:

water ways, water courses, right, title and interest, ditches, easements,
advantages, rights and privileges, liberties, property claim and demand of
the Vendors unto and upon and all other appurtenances whatsoever
appertaining thereto or any portion thereof, TO HAVE AND TO HOLD the
same, with the Purchasers absolutely and forever, with full powers of
alienation, without any let or hindrances, free from all encumbrances,
charges etc.

THE VENDOR DO HEREBY FURTHER COVENANT WITH THE


PURCHASERS:-

a) Notwithstanding anything done, omitted or knowingly suffered to the


Schedule „B‟ Property and to hold the same in the manner aforesaid and
that the Vendor will at all times at the request of the Purchasers execute
and register or cause to be registered such acts, deeds and do all such acts,
deeds for further or more perfectly assuring the title to the Schedule „B‟
property to the Purchasers as aforesaid as may reasonably be required
including peaceful, effective possession and enjoyment of the Schedule „B‟
Property.

b) The Vendors further agree to indemnify the Purchasers for any loss or
damages that may arise by reason of any defect in title or claim by any
person or persons claiming to the legal or equitable interest in the property
hereby conveyed.

c) The Vendors do hereby further declare that the Schedule „B‟ property
is free from encumbrance such as Mortgages, charges, claims, attachments,
lis pendens whatsoever and the Purchasers, and the Purchasers‟s heirs,
representatives and assigns may and shall enjoy the property without any
hindrance or obstruction either by the Vendors or their heirs, legal
representatives, successors-in-interest.

d) The Vendors do hereby further declare, that all public charges, taxes,
etc., have already been paid in respect of Schedule „B‟ property and that if
any demand is made for the period upto this date of sale, the Vendor will
pay the same. However, the Purchasers has to pay the public charges,
taxes, etc., for the period of subsequent to the date of sale.

e) The Vendors assure the Purchasers that there is no prior agreement


for sale with anybody else for the sale of Schedule „B‟ property except with
the Purchasers herein.

f) The Vendors have on this day handed over vacant possession of the
Schedule „B‟ property to the Purchasers along with the copies of relevant
documents in respect of the Schedule „B‟ property.

g) The Vendors further covenant with the Purchasers that the land has
been surveyed and the measurements, description of the land and the
boundaries mentioned in Schedule „B‟ hereunder written are correct and
that there are no encroachments in relation to any part of the property.

h) The Purchasers shall be entitled to effect mutation of the Records of


Municipal Registry and Government Revenue Records, so as to reflect the
name of the Purchasers by virtue of this sale deed and that the Vendors do
hereby agree that they will execute and sign all such documents that may
be necessary in this behalf.
