OUTSOURCING AGREEMENT for JOBWORK Material
This agreement (the "Agreement") is entered into between Aluplast India Private Limited is
a Private company incorporated on 15 April 2008. It is classified as a subsidiary of a
company incorporated outside India and is registered at the Registrar of Companies, Delhi,
and Plant is situated in Savli GIDC estate, Vadodara, and Real Surface Finish Private
Limited is a Private Company incorporated on 30 August 2013 WHEREAS: The plant is
Situated in POR GIDC , Vadodara.
A. The Principal is engaged in the business of Manufacturing of UPVC window Doors Profiles
and wishes to engage the Job Worker for the processing of goods using the raw materials or
inputs provided by the Principal.
B. The Job Worker has the necessary skills, expertise, and facilities to undertake or
processing work as per the requirements of the Principal.
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained
herein, the parties agree as follows:
Scope of Work:
1. The Principal will supply Final Product after Powder coating and Anodysing as per the
agreed specifications and quality standards to the job worker.
2. The job worker will Process the material as per Given RAL code standard Colours .
3. By the principal, the quality of the finished goods can be checked by the Aluplast or
Third Party with Reference to MTC supplied .
Timelines: The Job Worker shall complete the manufacturing or processing work within the
timelines specified in the Purchase Order or as agreed upon by the parties.
Quality Standards: The Job Worker shall ensure that the goods manufactured or processed
meet the quality standards specified by the Principal and shall promptly rectify any defects
or issues identified by the Principal.
Confidentiality: The parties agree to maintain the confidentiality of all information, data,
and materials disclosed to each other in connection with this Agreement.
Intellectual Property Rights: The Principal shall own all intellectual property rights in the
goods manufactured or processed by the Job Worker under this Agreement, and the Job
Worker shall not use or disclose any such intellectual property without the prior written
consent of the Principal.
Warranties: The Job Worker warrants that it has the necessary licenses, permits, and
approvals to undertake the manufacturing or processing work and that the goods
manufactured or processed shall be free from any defects or issues.
Liability: The Job Worker shall be liable for any loss, damage, or injury caused to the
Principal or any third party as a result of any act or omission of the Job Worker or its
employees or agents.
Termination: This Agreement shall commence on the date first written above and shall
continue until Further Notice of the Services or Rate Revision, whichever is earlier.
Governing Law and Jurisdiction: Any disputes arising out of or in connection with this
Agreement shall be subject to the exclusive jurisdiction of the courts of Vadodara .
RATE AND PAYMENT TERMS : The price stated in the quotation (By Mail ) is , exclusive of
GST, and is applicable until further revision of prices. GST, where applicable, shall be added
to the contract price as a strictly net extra charge
Delivery terms: CIF , Aluplast india pvt ltd ,Vadodara factory.
Cost, Insurance & Freight paid by real surface till the aluplast factory for one time on each
shipment. If we require in multiple shipments of materials,then aluplast need to pay for the
rest of the shipments. Above 800 kgs of materials are required to be eligible for CIF delivery
term, otherwise ex-works applicable
Other Terms & Conditions :
1 ) Quality & Packing as per Our Standards.
2 ) Warranty: - 15 Years from the date of Supply
3 ) 1% scrap rate is acceptable and scrap materials should be handover to ALUPLAST
Payment Terms: Payment shall be made within 30 days from the date of receipt of the
invoice. Payments will be made via NEFT
IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first above
written.
