Production Company: Mudart


Documentary Title: Hum Autowaley
Participant: Piyush Mishra

1. Grant of Rights
The Participant hereby grants to the Production Company, its successors and assigns, the
irrevocable, worldwide, in perpetuity, non-exclusive right to use their voice recording (the
"Voiceover") as recorded in the documentary for the following purposes:
● Inclusion in the documentary and any trailers or promotional materials for the
documentary.
● Distribution of the documentary in all media formats, including but not limited to digital
platforms, television broadcasts, and physical copies.

2. Editing and Use


The Production Company reserves the right to edit, alter, or composite the Voiceover in any
manner deemed necessary for the creation and exploitation of the documentary.

3. Waiver of Copyright and Moral Rights (with Performer's Rights)


The Participant waives:
● Section 19(4) of the Copyright Act, 1957: This section grants the participant the right to
object to certain alterations of their work. By waiving this right, the participant allows the
Production Company to edit the Voiceover without their prior approval.
● Section 38 of the Copyright Act, 1957: This section grants the participant a special right
known as the "performer's right" in relation to their performance. By waiving this right, the
participant acknowledges that Mudart has the exclusive right to exploit the voiceover
recording for the purposes outlined in this Agreement.
● Rule 68 of the Copyright Rules, 2013 (or any amendment thereto): This rule may
grant the participant additional rights related to their performance. By waiving this right,
the participant acknowledges that Mudart has the exclusive right to exploit the voiceover
recording for the purposes outlined in this Agreement.
● I hereby represent and warrant that any and all performers’ rights, if any, arising in
relation to or pursuant to the Services as granted under Section 38, 38 (A) (1), 38
(A) (2) of the Copyright Act, 1957 and Rule 68 of the Copyright Rules, 2013 or any
amendment thereto stand assigned in favour of the Company in perpetuity and on a
worldwide basis without any reservation whatsoever and I shall not be entitled to
receive any further payments for exploitation of the performances in any manner
whatsoever.
● Right to Injunct the Film: The participant waives their right to seek a court order to
prevent the release or exhibition of the documentary.
● Moral Rights: The participant waives any moral rights they may have in the Voiceover.
Moral rights allow creators to object to certain derogatory treatment of their work.

4. Compensation
● This project is currently undertaken on a pro-bono basis. The Participant acknowledges
that they will not receive any upfront payment for their voiceover services.

5. Revenue Sharing
In the event that the documentary is licensed to an Over-the-Top (OTT) platform or any other
media outlet, Mudart agrees to share ten percent (10%) of the initial licensing amount released
by the platform, post taxes, and received with the Participant, with no royalties payable to the
Participant in perpetuity.
● The Participant acknowledges that this revenue sharing is contingent upon Mudart
receiving a licensing fee, and no guarantee of such income is expressed or implied.
● Mudart will use commercially reasonable efforts to keep accurate records of any licensing
fees received and will make any payments due to the Participant within thirty (30) days of
receipt of such fees.

6. Indemnification
The Participant agrees to indemnify and hold harmless the Production Company from any
claims arising from the Participant's breach of this Agreement.

7. Release
The Participant hereby releases, discharges, and forever holds harmless the Production
Company, its officers, directors, employees, agents, successors, and assigns from any and all
claims, demands, losses, damages, causes of action, or liabilities of any kind whatsoever,
whether known or unknown, arising out of or in connection with their participation in the
documentary.

8. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject
matter hereof and supersedes all prior or contemporaneous communications, representations,
or agreements.

9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India.

10. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be
struck and the remaining provisions shall remain in full force and effect.

11. Counterparts
This Agreement may be executed in counterparts, each of which shall be deemed an original,
but all of which together shall constitute one and the same instrument.
