VENUE HIRE AGREEMENT

collectively called Parties, for the following services:
Parties agree that based on preliminary negotiations, the Client hires the Venue for the event and duration specified below.
EVENT DETAILS
Name of the event: Private Sound Meditation
Start date and time of the venue hire: Sunday, 31 March, 14:00 pm
End date and time of the venue hire: Sunday, 31 March, 15:00 pm
Number of guests: 30 pax
VENUE HIRE
Venue hire for the event: 1 500 AED + tax
The venue hire includes:
- Use of the venue for the period specified above
- Use of the venue’s built in projection and sound technology (a maximum of four videos as agreed with Client)
- General cleaning of the venue before and after the event
Venue hire does not include applicable UAE taxes. All licenses and permits required to hold the event shall be arranged by the
Client.
In case the Client uses the Venue for a longer period than stated above, the Venue is entitled to charge the hourly venue hire (AED
1.500,00 + tax) for each hour started.
General cleaning costs are included in the venue hire, but additional cleaning fees may be charged if the Client causes cleaning needs
beyond normal cleaning.
PAYMENT
Parties agree that 100% of the total venue hire is due within 3 days from signing this agreement to secure the booking, provided that
it is signed no later than 25 March 2024. Payment is due against the invoice issued by the Venue.
Venue hire shall be deemed to be confirmed if the advance payment is received in full by the due date. If payments are not received
by the due date stated on the invoice, the provisional booking may be cancelled by the Venue without further notice.
Additional services ordered after the prepayment shall be included in the final invoice issued by the Venue and payable within 15
days after the event. The Client is responsible for all bank charges, including those levied by intermediary banks.
TECHNICAL EQUIPMENT
Only Venue personnel may handle the projection equipment and media servers for the projection room, unless any other professional
staff hired by Client is authorized in writing by the Venue.
CONDITION OF THE VENUE
Client is responsible for clearing all decoration and furniture from the venue and disposing of any excess waste and materials left
after the event on the event end date referred to in Clause 1.
By signing this agreement, Client acknowledges to be responsible for the proper use of the Venue and that under no circumstances
shall any element of the event be deemed offensive, dangerous, unlawful or detrimental to the reputation of the Venue.
OTHER SERVICES
The Client acknowledges that the venue hire does not include the following services. Should any or all of those be required for the
event, the Venue may provide them for additional cost, or the Client is entitled to secure them through its preferred suppliers.
a) Catering
b) Surplus furniture not available at the venue
c) Audiovisual equipment other than those mounted in the venue
d) Staff to supervise additional AV equipment
e) Security, hostesses, on-site cleaning personnel
CANCELLATION
If Client cancels the entire event more than 90 days prior to the event date, no cancellation fee applies.
If Client cancels the entire event between 89 and 31 days prior to the event start date, 50% of the advance payment will be retained as
a cancellation fee.
If full or partial cancellation is received within 30 days prior to the event start date, 100% of the advance payment will be retained as
a cancellation fee.
To be valid, the cancellation must be communicated in writing in email to the Venue.
Termination of this agreement without liability by either Party is accepted only in case of reasons or circumstances beyond their
control (including but not limited to acts of God, government regulations, natural disaster, pandemic outbreak, etc.) which make it
impossible or illegal for them to perform under this agreement.
INDEMNITY
Client indemnifies and keeps indemnified the Venue against all losses, expenses, liabilities, claims and damages incurred as a result
of or arising out of the hire of the Venue caused by any act or omission of the Client, its employees, agents or guests.
GOVERNING LAW
This Agreement shall be governed in all respects by the federal laws of the United Arab Emirates as applied in Dubai and the laws of
Dubai, without giving effect to its conflict of laws or choice of law provisions.
In the event of a dispute between the Client and the Venue, they will attempt to resolve it amicably. If the dispute is not resolved,
either of them may request that the dispute be referred to mediation before legal proceedings are commenced. Any dispute that is not
resolved through negotiation or mediation shall be finally settled by Federal Courts of the United Arab Emirates.
