1. I am one of the authorized representatives of the Respondent-
Appellants, Value Chain Solution Inc. and Mr. Joseph Ching, as shown by the attached Secretary’s Certificate;
2. Respondent-Appellants caused the preparation of the
foregoing Memorandum on Appeal. I have read the same and confirm that the contents thereof and the facts stated therein, as well as the annexes, are true and correct based on my own personal knowledge and/or based on authentic documents and records in the possession of the company;
3. The said Memorandum on Appeal is not being filed to harass,
cause unnecessary delay or needlessly increase the cost of litigation;
4. The factual allegations therein have evidentiary support or, if
