being the elected and qualified Corporate Secretary of _________________CORP. (the
“Corporation”), a corporation organized and existing under Philippine laws, under oath, does
hereby certify that during the Meeting of the Board of Directors on 27 March 2018, the following
resolutions were unanimously approved:

“RESOLVED, that the Corporation authorize, as it hereby authorizes,


any one of _________________, to:

1. To sign and receive any document, process all requirements, make the
required payments, as well as do all the necessary acts, including, but
not limited to, TIN Verification and processing, filing, receiving, and
signing the required papers with the Bureau of Internal Revenue (BIR)
or Land Registration Authority/Registry of Deeds (RD) or other relevant
government institution or agency, and to secure the resultant Transfer
Certificate of Title, eCAR or other BIR-issued document or authority, to
transfer the _________________, to the Corporation's name in line with
the relevant Deed of _________________ attached herewith as Annex
"A";

2. To pay/settle any obligation, pecuniary or otherwise, pertaining to or


arising out of the purchase, as well as the transfer of the subject
property;

3. To claim and receive the Certificate Authorizing Registration or


Transfer Certificate of Title from the BIR and or the RD, as well as any
and all other required and necessary documents resulting from the
subject transfer; and

4. To do any other foreseeable acts to achieve the end goal of transferring


the subject property to the Corporation's name
