XYZLIMITED, a registered company under the laws of the United Republic of
Tanzania whose address is Postal Box Number 766 Usa River, Arusha– Tanzania
(hereinafter called “The Company” which expression shall include and extend to all
persons deriving the title under the vendor including his assigns, agents and successors of
the other part;
TO AND IN FAVOUR OF
The ASSISTANT REGISTRAR OF TITLES – MOSHI, of P.O. Box ……...,Moshi,
Tanzania (hereinafter referred to as “The Indemnified Person”) of the other part.
WHEREAS The Indemnified Person is the Assistant Registrar of Titles Northern Zone-
Moshi;
WHEREAS The Company is a registered local company with Tanzanian majority
shareholders with full ownership rights, registered under the laws of the United Republic
of Tanzania on 31st December, 2014 and with a Certificate of Incorporation Number
114BBB7;
AND WHEREAS The Company is the lawful owner of the parcels of land bearing
Certificate of Title No. 11111111, plot No. 16 & Certificate of Title No. 22222222, plot
No. BBB, both situated at Block “E” Nkoanenkoli village in Arumeru District, Arusha –
Tanzania;
NOW, THEREFORE, THIS DEED WITNESSETH AS FOLLOWS:-
1. The COMPANY hereby agree and undertake to fully and effectually indemnify
and save harmless The INDEMNIFIED PERSON from any loss, damage,
expense or cost that The INDEMNIFIED PERSON may be put by reason of any
claim being made in respect of the registration of the transfer of Certificate of
Title No. 11111111, plot No. 16 & Certificate of Title No. 22222222, plot No.
BBB, both situated at Block “E” Nkoanenkoli village in Arumeru District, Arusha
– Tanzania;
2. The COMPANY hereby undertakes to indemnify The INDEMNIFIED
PERSON in relation to any misrepresentation on the contents of the documents
submitted in respect of the registration of the transfer of Certificate of Title No.
11111111, plot No. 16 & Certificate of Title No. 22222222, plot No. BBB, both
situated at Block “E” Nkoanenkoli village in Arumeru District, Arusha –
Tanzania;
3. Furthermore The COMPANY hereby undertakes that it will at all times here-after
well and sufficiently indemnify The INDEMNIFIED PERSON and keep it
indemnified against all liabilities in respect of the registration of the transfer of
Certificate of Title No. 11111111, plot No. 16 & Certificate of Title No.
22222222, plot No. BBB, both situated at Block “E” Nkoanenkoli village in
Arumeru District, Arusha – Tanzania that has not been disclosed to The
INDEMNIFIED PERSON at the time of the registration and any other matter
that may arise therefrom and at all times and against all actions, suits,
proceedings, demands, costs and expenses what-so-ever which may be taken or
made against The INDEMNIFIED PERSON.
