KNOW ALL MEN BY THESE PRESENTS:
This MANAGEMENT AND OPERATIONS AGREEMENT (“Agreement”) is
made and executed this _________ day of _____________________ 2020 by and between:
____________________., a corporation duly organized under
the laws of the Philippines, with principal office address at

_____________________ (“COMPANY”);

WHEREAS, the COMPANY desires to engage the services of the MANAGER to
run and supervise the operations of the said business;
NOW, THEREFORE, the COMPANY and the MANAGER, for and in
consideration of the foregoing premises, do hereby agree as follows:
I.
PERIOD
This agreement shall start on ______________ 2020, and shall continue to be valid
until either of the party shall put in writing its desire to terminate this agreement
and giving at least a thirty (30) day written notice to the other party.
II.
SCOPE OF FUNCTION
1. MANAGER shall provide management and operational support services to the
COMPANY in running the fish consignation business which shall include but
not limited to the following:

2. To the extent that the MANAGER shall deem it necessary or desirable, the
MANAGER shall have the discretion and authority to combine and integrate the
general and administrative activities of the business to fully control the business
activities.
III.
COMPANY’S RESPONSIBILITIES
1. If the COMPANY should hire additional employees separately, the salaries of
these employees shall be on the account of the COMPANY.
2. The COMPANY shall be responsible for the needed cash funds for advance
payment of suppliers while collecting the payments from the buyers.
IV.
LIABILITIES OF PARTIES
1. The MANAGER shall hold the COMPANY, its officers and stockholders free and
harmless from any and all liabilities and/or claims that may be sustained by any
individual due to activities of the workers of the MANAGER.
2. The MANAGER assumes full responsibility for any loss, damage or injury which
may be caused to any person or entity in the course of serving this Agreement
and further warrants and obligates itself to hold the COMPANY free and
harmless from all claims for such loss, damage or injury.
V.
COMPENSATION
The COMPANY shall pay the MANAGER a fixed monthly fee of
________________________, plus a sales commission of one percent (1%) for
every sale of fish and other fishery product.
VI.
AMENDMENTS
Only written agreement signed by both parties can modify, amend or alter this
Agreement.
VII.
GOVERNING LAWS
1. This Contract shall be governed by and construed in accordance with the laws of
the Republic of the Philippines.
2. The parties agree that in all matters relating and concerning any of these terms
and conditions where any question or dispute or difference shall arise, every
such question, dispute or difference shall, as far as practicable, be settled in good
faith by the parties.
3. In case such question, difference, or dispute is not settled amicably, any party
may institute the appropriate action and file the same only with the proper
courts of ________________________________, Metro Manila to the exclusion of
all other courts.
VIII.
ENTIRE AGREEMENT
This Contract shall constitute the entire agreement of the Parties with respect to
the subject matter hereof and shall supersede any prior expressions of intent in
relation to this Agreement.
