I, PETER BANAWA FLORES, of legal age, Filipino, married with address at


13303 Loma Viento, San Antonio, Texas 78233 USA, and the duly appointed and
qualified Corporate Secretary of PBF LEGACY INCORPORATED, a one-person
corporation duly organized and existing under the laws of the State of Texas, United
States of America, after being duly sworn in accordance with law, hereby depose and say
that:

1. I am the duly appointed and incumbent Corporate Secretary of PBF LEGACY


INCORPORATED (“Corporation”), with principal place of business in 440
Louisiana, Suite 952, Houston, Texas 77002;

2. The corporation passed and approved the following resolution to wit:

“RESOLVED, AS IT HEREBY RESOLVED, that PETER


BANAWA FLORES, be authorized for and in behalf of the
Corporation to represent the latter in the reservation,
purchase, acquisition, acceptance, receipt of Unit 2412
and Basement Parking 6108 of DMCI’s Lumiere
Residences West Tower Project, located at Shaw
Boulevard, Pasig City, and to transact with the developer
DMCI and/or any of its duly authorized representative/s to
effect the purchase and acquisition of the said units;

RESOLVED FURTHER, that PETER BANAWA FLORES


is hereby empowered to:

1. Execute the Contract to Sell, Deed of Sale, and


other documents pertaining to said Unit 2412 and
Basement Parking 6108 on behalf ot the
corporation;

2. To pay therefor in whatever mode using corporate


funds, make arrangements such as bank financing
or loan, and receive documents therefor;

3. To receive documents from, to transact with DMCI


or its authorized representative/s;

4. To perform any act or deed necessary to carry out


any or all of the foregoing.

3. The foregoing resolutions have not been amended or superseded and are still in
force and effect as of this date.
