Late Shri D.P.Bajoriya aged 57 years,here in after referred to as the context
or meaning there of be deemed to mean and include its success or and
assigns)of the OTHER PART;PAN NO.AACCB8367Q.

ADHUNIK CORPOMTION LIMITED a, Company in corporate under
the Companies Act, 1956 and having its registered office at 14, Netaji
Subhash Ropad,ll ftoor Kolkata( W.B.)70001 through its Chief Accountan
Shri Manoj Kumar Singh S/o Shri Saligram Singh aged 40 years hereinafter
referred to as the "the Confirming Party" (which expressions shall unless it
be repugnant to the
context or meaning there of be demand to mean and include its successors
and assigns) of the THIRD PART; PAN NO.AABCB4521H.

A. The Vendor have represented to the Purchasear as follow-
(a) That the Vendors are seized and possessed of and otherwise well and
sufficiently entitled to as owners to all those pieces and parcetsl and
admeasuring 15.94 Acres (6.45Hectares) In the aggregate bearing survey
nos.114/3 (having area of 3.51 acres), 46/2 (having area of 8.08 acres), 48
(having area of 1.95 acres),166/ 112(having area of 2.40 acres), situate at
Village Jatkhedi Tehsil Tehsil Huzur District Bhopal, Madhya Pradesh (here
in after referred to as "the said property"). A location plan of the said
property is annexed here to as Annexure"1".
(b) The Vendors are the sole, exctusive and absolute owners of the said
Property asaforsaid.
(c) Since the time of acquisition by the Vendors the Vendors have been in
continuous and uninterrupted lawful use, occupation, possession and
control of the entlre , said property and every part thereof and have paid all
rent, rates,cess,taxes,charges and other outgoings and payable. in respect
there of and There is nothing due and outstanding and payable in that
behalf.
(d)Save and except the Vendors no other persons/were/are in possession,
use or occupation of the said property either as tenant,
occupant,licensence,trespasseros otherwise howsoever.

(e) The Vendors have clear and marketable, free from
Encumbrances and reasonable doubts of any nature
Whatsoever in respect of the said property and there are no
Outstanding estate claims or effects by way of lease,leave
and licence,lien,charge, inheritance, gift, mortgage,
residence or otherwise outstanding inrespect of the said property.
(f) The names of the Vendors are shown as the holder of the said property
in the relevant extracts, Property Register Cards and all to ther public and
relevant Records.
(g) The Vendors a re not restricted/restrained under the Income-Tax Act
Gift Tax Act, Estate Duty Act, Urban Land (Ceiling & Regutation)Act or
under any other Act,Statute, Law,Rules,Regutations,ByeLaws,Notifications,
Guidelinesetc for the time being in force from selling the said property in
the manner here in contemplated.
(h) There is no restraint order passed by any Court or authority restraining
the Vendors from selling the said property as contemplated here under
and/or entering into these presents.
(i) The Vendors have good right, full power and absolute authority to the
said property and to enter into this transaction and are not in any manner
whatsoever prohibited/restraint from entering into these presents.
(j) The Vendors have entered into an oral agreement for sale of the said
property either to its nominee but the same oral agreement has been
revoked and canclled.The vendor declares that he has not entered into any
other agreement in respect,of the property of that there is no claim. For
