The first movement or deal deed from the past proprietors of the property is

enlistment with the recorder, you have to give a duplicate of the transport
deed or deal deed alongside a photocopy of the receipt from the
subregistrar where the archives have been held up for enrollment.

called the "VENDORS"

The expression "VENDORS" and "VENDEES" herein used shall mean and include them,
their, heirs, successors, legal representatives, administrators, nominees and
assignees.
WHEREAS Shri Ashwani Kapoor, son of Shri A. L. Kapoor, resident of E-18, Naraina
Vihar, New Delhi-110028, was the original allottee of DDA Built-up SFS Flat bearing
No. 2285, on Third Floor, measuring 89.51 Square Mtrs., with scooter garage
(measuring 4.58 Sq. Mts.), with scooter garage, situated in Sector-B, Pocket-2 & 3,
Vasant Kunj, New Delhi, which has been allotted by DDA, vide their Allotment Letter
No. 125(273)88/SFS/VK-II, dated 28.11.1994.
AND WHEREAS the said Shri Ashwani Kapoor, son of Shri A. L. Kapoor, had applied
for conversion of the said flat from leasehold to free hold and got the conveyance
Deed, duly registered as document No. 10334, in Additional Book No. I, Volume No.
1085, on pages 86 to 87, dated 25.02.2004, in the office of the Sub-Registrar-VII, New
Delhi.
AND WHEREAS the said Shri Ashwani Kapoor, son of Shri A. L. Kapoor, sold conveyed
and transferred the said flat to (i) Mr. Devender Singh Yadav, son of Shri Raghuvir
Singh Yadav, and (ii) Mrs. Saroj Yadav, wife of Mr. Devender Singh Yadav, both
residents of F-316/11, Lado Sarai, New Delhi, (the VENDORS herein) vide a Sale
Deed, duly registered as document No. 1693, in additional book No. I, volume No.
1290, on pages 134 to 139, dated 04.03.2004, in the office of the Sub-Registrar-IX,
New Delhi.
AND WHEREAS in the manner aforesaid, the VENDORS herein became the sole,
absolute and exclusive owners of the said property, which is the exclusive property of
the VENDORS and the VENDORS have full right, absolute authority to execute this
Sale Deed.
AND WHEREAS the VENDORS for their bonafide need and requirement have agreed
to irrevocably sell, convey, transfer and assign to the VENDEES and the VENDEES
have agreed to purchase the said flat, i.e. DDA Built-up SFS Flat bearing No. 2285, on
Third Floor, measuring 89.51 Square Mtrs., with scooter garage (measuring 4.58 Sq.
Mts.), with scooter garage, situated in Sector-B, Pocket-2 & 3, Vasant Kunj, New Delhi,
with all rights of easements, patent or latent, including rights of way and access
enjoyed and reputed to be enjoyed in respect of the said flat together with all rights in
electricity, water, sanitary, all fittings & fixtures, connections etc., with all structure
standing thereon, for a total sale consideration of Rs. 75,00,000/- (Rupees Seventy
Five Lacs Only).
NOW THIS SALE DEED WITNESSETH AS UNDER:1.
That in consideration of the sum which has already been received by the
VENDORSS from the VENDEES, in the following manner;

the separate receipt of which the VENDORS hereby admit and acknowledge, in
full and final settlement, the aforesaid VENDORS do hereby sell, convey,
transfer, assign the said flat (i.e. DDA Built-up SFS Flat bearing No. 2285, on
Third Floor, measuring 89.51 Square Mtrs., with scooter garage (measuring 4.58
Sq. Mts.), with scooter garage, situated in Sector-B, Pocket-2 & 3, Vasant Kunj,
New Delhi, with all the rights of ownership, possession, easement, privileges
and appurtenances, with all fittings, fixtures, connections, structure standing
thereon free from all encumbrances unto the VENDEES, TO HAVE AND TO HOLD
the said flat hereby sold to the VENDEES absolutely and forever.
2.
the receipt of said considering the VENDORS hereby confirm, admit and
acknowledge that they have been left with no right, title, interest, claim or lien
of any nature, whatsoever, in the said flat, hereby sold, and the same have
become the absolute and exclusive flat of the VENDEES and the VENDEES shall
be at liberty to deal with the same in any manner they like and shall be free to
use, enjoy, sell, gift, mortgage, lease and transfer the same by whatever mean
they like, without any interference, hindrance, demand, objection, claim or
interruption by the VENDORS or any person(s) claiming under or through them
or in trust for him.
3.
That the actual peaceful and physical vacant possession of the said flat has
been delivered by the VENDORS to the VENDEES, on the spot at the time of
execution of this Deed.
4.
That the VENDORS hereby assure the VENDEES that they have neither done nor
been party to any act, whereby their rights and title to the said flat, in any way
has been impaired or whereby they have been prevented from selling and
transferring the said flat.
5.
That the VENDORS hereby declare and represents that the said flat was never a
subject matter of any HUF and that no part of the said flat is owned by any
minor and nobody have any right, title or interest of any kind whatsoever in the
said flat and further none else other than the VENDORS have any right, title or
interest of any kind whatsoever in the whole or any part of the said flat and
further there is no impediment in the VENDORS right to execute and caused
registered this Sale Deed.
6.
That the VENDORS hereby assure the VENDEES that the said flat is free from all
kinds of encumbrances, such as prior Sale, Gift, Mortgage, Will, Trust, Exchange,
Lease, legal flaws, claims, prior Agreement to Sell, Loan, Surety, Security, lien,
court injunction, litigation, stay order, notices, charges, family or religious
dispute, acquisition, attachment in the decree of any court, hypothecation,
Income Tax or Wealth Tax attachment or any other registered or unregistered
encumbrances whatsoever, and if it is ever proved otherwise, or if the whole or
any part of the said flat is ever taken away or goes out from the possession of
the VENDEES on account of any legal defect in the ownership and title of the
VENDORS, then the VENDORS shall be liable and responsible to indemnify
and to make good the loss suffered by the VENDEES and keep the VENDEES
saved, harmless and indemnified against all such losses and damages suffered
by the VENDEES .
7.
That the VENDORS hereby further undertake to indemnity and keep the VENDEE
identified in case the said flat hereby sold or any part thereof is lost to the
VENDEES on account of any legal defect in the title of VENDORS right to
transfer the same or the possession or quiet enjoyment of the said flat by the
VENDEES is in any manner disturbed on account of litigation started by anyone
claiming title thereto or on account of some act or omission of the VENDORS or
anyone else claiming title paramount to the VENDORS then the VENDORS shall
be liable and responsible for all the losses, damages, costs and expenses
sustained by the VENDEES.
8.
That the VENDEES shall be at liberty to get the said flat mutated in their
name in the records of MCD, DJB, BSES Rajdhani Power Limited, Revenue
Records and other concerned authorities on the basis of this Sale Deed or its
certified true copy.
9.
That the aforesaid sale consideration of the said hereby sold includes the
consideration for electricity and water connections and the security deposits
made with the concerned departments. The VENDEES shall be entitled to get
the existing electricity and water connections transferred in their favour
alongwith the security deposit with BSES Rajdhani Power Limited, water
Department etc., as well as to obtain such new connection for the said Flat.
10.
That this Sale Deed id being executed by the VENDORS in favour of the
VENDEES, without any force or compulsion in their full sense and with sound
disposing mind and this sale deed shall be irrevocable and binding on both the
parties and their respective legal heirs.
11.
That the VENDORS hereby agree and undertake to sign and execute any
required documents for transfer of ownership, title of the said flat in favour of
the VENDEES in the records of Municipal Corporation of Delhi, Delhi Jal Board,
BSES Rajdhani Power Limited, Revenue Records or any other concerned
authorities.
12.
That the house tax, water and electricity charges and other dues and demands
of whatsoever nature, if any payable in respect of the said flat, shall be borne
and paid by the VENDORS upto the date of handing over the possession thereof
to the VENDEES, and thereafter the VENDEES will be responsible for the
payment of the same.
13.
That all the relevant documents in original in respect of the said flat have been
handed over by the VENDORS to the VENDEES.
14.
That if any dispute arises out of this Sale Deed, which can not be resolved by
mutual negotiations, shall be subject to the jurisdiction of Delhi/New Delhi Court
only.
15.
That all the expenses of this sale deed viz. stamp duty, execution and
registration charges etc. in respect of the said Flat have been borne and paid
by the VENDEES. The VENDEES shall have the right to collect the original Sale
Deed from the office of the Sub-Registrar, New Delhi after registration thereof.
16.
That this transaction has taken place at Delhi and as such Delhi Courts shall
have exclusive jurisdiction to entertain any dispute arising out or in any way
touching or concerning this Deed between the parties thereto.

DEED at New Delhi on the date first mentioned above in the presence of the following

That we have deposited the registration fee of Rs. 75,100/- vide P.O./DD No.

Delhi in favour of DDO DC South West, Payable at Delhi.
4.
We undertake that if the aforementioned DD/PO is not realized, our Registration
Deed shall stand automatically cancelled and we shall also be liable for all
