Agreement for Residence Interior Design works

This agreement is made on 17.01.2020 between Mr. Anees Abubaker, M/S Pencil Plus, Kadavil Castle, Toll Junction, Edappally (P.O), Kochi -24, and Mr.
Sanooj Nediyamparambil Sulthan and Mrs Cini Sanooj and authorised signatory, Nediyamparambil House, PO Talikulam, Thrissur (Dt), Kerala, India –
680569 for the Interior Design work of the House in Talikulam Puthiyangadi.

Client and Designer agree to the following provisions:

Para I. The Job

Client is hiring Designer (M/S Pencil Plus) to perform the Interior Design work and installation works as per the interior drawings submitted by the
Architects (Binder drawings) at the Residence at Thalikulam.

Para 2 – Introduction
The total cost of Rs 59,00,000 (Fifty Nine Lakhs) including the material cost, labour cost, Overhead charges, transportation cost, loading and
unloading charges, Miscellaneous charges, company service charge and supervision charges, etc (If the cost is high, the owner of the building /
principal don’t have any responsibility. It is the sole responsibility of the company (M/S Pencil Plus) to finish the work). The total estimated cost of
interior works of the proposed building when completed will be INR 59, 00,000/- (Rupees Fifty Nine Lakhs only). Total cost will be inclusive of cost of
all Raw materials, as per the specifications above for the entire qualities and quantities and the entire interior works expenses of the above house
including supervision charges, consultancy charges, interior design charges, any other services given by the Pencil Plus or the company to the client.
The Interior design must be in conformity to the requirements stated by the client and any fluctuations on the rates of material cost, labour cost, and
overhead charges and any other incidental charges will not be borne by the client and no cost escalation will be entertained during or after the
completion of the work and any such expenses if occurred shall be the sole responsibility of the company (M/S Pencil Plus) or the Interior designer. If
any infirmity, damage if found on interior design work, installation due to the use of inferior raw materials or improper combination of raw materials

resulting in damage for the whole building or parts of the interior design work or on wrong installation will have to be rectified by the company (M/S
Pencil Plus) or the Interior designer and the client will have the right to demolish or reconstruct installation of raw materials to rectify such damages
will be informed to the company (M/S Pencil Plus) and company or contractor or interior designer will meet all such expenses during the currency of
the contract period. The Company (M/S Pencil Plus) / contractor / Interior designer should ensure that they will use only the best quality and quantity
of materials specified above and will take concurrence from the architect at every stage with intimation to the client on each and every phase of the
interior works. The client and the client’s appointed Architect reserves the right to reject or replace or change the combination of materials, etc if
found inferior to the quality specified by the company during the currency of construction and such replacements must be done immediately as per
the client’s request.

The Company shall provide a detailed chart describing the Material cost, labour cost, laying charges, installation charges, Overhead charges ,
Miscellaneous charges, etc. In the event, if the client is buying the material, the corresponding cost put forward by the company in the contract
agreement shall be deducted from the total cost. The client / owner of the building have the right to purchase any material at any point of time
during the construction and installation of the interior works. All works related to the interior works including loading and unloading of materials, any
union issues or any problems in the work site, etc should be dealt by the Company (M/S Pencil Plus)/ Contractor / Interior Designer.

Para 6. Scope of the Work

Work will begin on receiving the advance amount, and is estimated to take hundred days to complete.

Para 7. Payment

Payment shall be made by the owner of the building to the company at various stages as follows after confirmation from the authorised signatory
based in Thalikulam. All the payments through Bank transfer only and the amount should be transferred from the NRO bank account of the client to
the official Bank account of the company (M/S Pencil Plus): (Amount mentioned below or actual amount whichever is lower)

1. At the time of signing the agreement - INR 100,000/-

2. On Ordering the materials

1st Instalment amount (50%) - INR 5,00,000/-

2nd Instalment amount (50%) - INR 5,00,000/-

On arriving to factory

Total Contract Value - INR 59,00,000/-

Client will pay to the Interior Design company to an amount of INR 59, 00,000/-(Fifty Nine Lakhs) for the above mentioned services.

Non-payment of amount as per the agreed payment terms will result in a stoppage of work, termination of the agreement, etc.

Para V - General Terms and conditions

1. The Interior design company will inform the client about the starting point wherein they have to bring in drawings / materials / any kind of work in the
work site.
2. The complete scope of work is attached herewith (Scope of work, Interior design drawings, etc)
3. The complete Interior design drawings details will be submitted immediately after the firm order.
4. The agreement will be signed on the stamp paper
5. Time chart showing the different steps of work with time interval.
6. The different stages of work will also be specified clearly.
7. The cooperation required from the main contractor will be specified clearly in the contract. Apart from the works clearly specified will be the scope of
works of the Interior design company.
8. Any damage to the principal property by the interior design company workers / employees during the tenure of our work in the work site will be borne by
Interior Design Company.

9. During the time of installation, if there is any work delay, it will be intimated to the client and the site engineer and the reason will be explained.
10. During the tenure of the work, care will be taken by us to not disrupt or damage surrounding property or work done by main contractor or other
subcontractors.
11. Due to any reason if the Interior design company (M/S Pencil Plus) discontinues the work in between then Interior design company shall refund the full
amount (whatever amount received from the client) to the client and Interior design company shall provide compensation to the client

 12. There will be no clash with other subcontractors and in the event of any disagreements, it will be intimated to the main contractor or the client
immediately.
13. If the Interior design company’s assistance or help is needed for the completion of the works of other subcontractors which is under the scope of work of
the Interior design company then it will be complied by the Interior design company (M/S Pencil Plus).
14. The Interior design company shall supply and install the same product of same quality as specified in the contract, if the materials (Nilampur Depo Teak
wood, 710 Grade Marine ply and Miscellaneous materials, finished products, etc ) or any components is not as per the contract, then on getting notice from
the client, it shall be immediately replaced with components as specified in the contract and the cost and expenses of the components and installation will
be borne by the Interior Design Company (M/S Pencil Plus).
15. The agreement for the above work will be signed by all the parties (Client and M/S Pencil Plus) in the stamp Paper.
16. If the work is getting delayed to start and if any rate may change as we agreed at the time of contact (price hike in any products) may reflect the cost at
the starting the work. Normally all quotation will be valid for max 3 months , this work will be started after one year only, so any price hike may affect the
contract.
17. If the work is getting delayed due to any other contactors, will affect the work and rate which should be compensated by the representative contractor
or client.

Para VI. Changes

Any changes made to this plan must be discussed with Client and approved in writing before their implementation.

Para VII. Cancellation

Designer has the right to terminate this agreement if any payment issues occur.

Para VIII. Validity of this agreement

Validity of this agreement is 36 Months and the work will be finished within 100 days from the payment of 1 st instalment of the second stage
payment.

This agreement is subject to the laws and regulations of the state of Kerala.
