BPIPREPAIDCARDSPURCHASEAGREEMENT

IMPORTANT:Address,dateofbirth,andotherdetailsmustbethoseoftheCardholderandthe
Purchaser.PleasereadthisPurchaseAgreementcarefully.
1.THECARD/PREPAIDCARDShallrefertoBPIPrepaidCardssuchasExpressCash,
ExpressMoneyOrder,ExpressCashGiftCards,ExpressCashPhotoGiftCards,My
ePrepaidwhichareaffiliatedwithMasterCard,MoreFunPrepaidCardandBPIAyalaMalls
AmoreVisaPrepaidCardwhichareaffiliatedwithVisa,oralocalproprietaryCard,and
suchotherCardstobeissuedbyBPIfromtimetotime,whichcanbepurchasedfor
personaluseorasagifttoathirdparty,orforwhateverlegalpurposeitmayserve.

2.CARDHOLDER/PURCHASERThetermCardholdershallreferto(i)apersonwho
purchasesoravailsofaCardforhis/herownuseorthepersonforwhomorforwhose
useaCardispurchased,and(ii)whosenameisprintedontheCard.Theterm
PurchasershallrefertothepersonwhopurchasesoravailsofaCardforhis/herown
useorfortheuseofanother.

Forgeneric/namelessCards,thePurchasershallbedeemedtobetheCardholderand
agreestobesolelyandexclusivelyboundbythePurchaseAgreementfortheissuanceof
thePrepaidCardwhethersuchCardbeforhis/herownuseorfortheuseofanother.

AllCardsshouldbesignedbytherelevantCardholderandarenontransferable.

3.RESPONSIBILITYOFTHECARDHOLDERTheCardholderagreesto(i)signtheCard
immediatelyuponreceivingitand(ii)safeguardtheCardasifitwerecash.BPImay,at
itsoption,assignasystemgeneratedpersonalidentificationnumber(PIN)toaCard
(exceptforBPIExpressCashGiftCard,BPIExpressCashPhotoGiftCard,MyePrepaid,
MoreFunPrepaidCardandBPIAyalaMallsAmoreVisaPrepaidCard)toenablethe
CardholdertowithdrawcashordobalanceinquiriesviatheATM.Itisalsoadvisedthat
theCardholderimmediatelychangethisinitialPINandnominatehis/herownPIN.The
CardholderagreesthatallpurchasesandwithdrawalsusingtheCardshallbeconclusively
presumedtohavebeenpersonallymadeorauthorizedbytheCardholder.

4.USESANDLIMITATIONSOFTHECARDTheCardholdercanuseBPIPrepaidCardsto
payforpurchasesandservicesavailed.AllBPIPrepaidCardsarenotdepositaccounts,
andthevaluestoredisnotinsuredbythePhilippineDepositInsuranceCorporation
(PDIC).EnumeratedbelowarethespecificusesfortheCards:

ForBPIExpressCashandBPIExpressMoneyOrder,theCardcanbeusedtopayfor
purchasesandservicesavailedatanyMasterCardaffiliatedestablishmentnationwide.It
canalsobeusedforbalanceinquiry,cashwithdrawal,prepaidmobilephonereloadand
fundtransfertoanotherBPIPrepaidCardviaBPIATMsnationwide.Thewithdrawalis
limitedtoamaximumofTwentyThousandPesos(P20.000.00)perday.Cashwithdrawals
canbeavailedatanyBPI/BPIFamilySavingsBankATMsnationwideandwillbesubjectto
withdrawalfee.TheCardcannot,however,beusedforOvertheCounterwithdrawalsat
anyBPI/BPIFamilySavingsBankbranch.

ForBPIExpressCashGiftCardandExpressCashPhotoGiftCard,theCardcanbe
usedtopayforpurchasesandservicesavailedatanyMasterCardaffiliatedestablishment
nationwide.

ForBPIMyePrepaid,theCardcanbeusedforpaymentsofanypurchasesmadeonline
atanyMasterCardaffiliatedwebsiteandpaymentsofpurchasesandservicesatany
MasterCardaffiliatedestablishmentworldwide.

FortheMoreFunPrepaidCard,theCardcanbeusedforpaymentsofanypurchases

madeonlineatanyVisaaffiliatedwebsiteandpaymentsofpurchasesandservicesatany
Visaaffiliatedestablishmentworldwide.

ForBPIAyalaMallsAmoreVisaPrepaidCard,theCardcanbeusedforpaymentsof
anypurchasesmadeonlineatanyVisaaffiliatedwebsiteandpaymentsofpurchasesand
servicesatanyVisaandVisaPaywaveaffiliatedmerchantsworldwide.

FortheMyePrepaid,MoreFunPrepaidCardandBPIAyalaMallsAmoreVisaPrepaidCard,
paymenttransactionsmadeabroadwillbeconvertedattheexchangerateonthedatethe
transactionisposted.Incasesofreturnofgoods,tickets,andotherservicesobtained
throughtheuseoftheCardwherethemerchantpermitssuchreturn,theCardholder
agreestoabsorbanylossorgaininrelationtotheexchangeratewhichmaybecharged
totheCard.Paymenttransactionsmadeonlineand/orabroadusingtheCardaresubject
totheregulations,controls,orlimitationsimposedbythemerchant,institutionand/or
country.

ForBPIAyalaMallsAmoreVisaPrepaidCardwhichisidentifiablebytheVisaPaywave
logo,insteadofswipingtheCardforinstoretransactions,Cardholderjusthastotapthe
Cardagainstthecontactlessreader.PaymentusingthePaywavefunctionalitycanonlybe
madeatparticipatingmerchantoutletandifthepurchaseisunderPhp2,000.Cardholder
willstillneedtosignifpurchaseisequaltooroverPhp2,000.

BPIExpressCashGiftCard,ExpressCashPhotoGiftCard,MyePrepaid,MoreFunPrepaid
CardandBPIAyalaMallsAmoreVisaPrepaidCardcannotbeusedforcashwithdrawalsat
BPIATMsoratanyBPIorBPIFamilySavingsBankbranches.

5.ACCREDITEDESTABLISHMENTSBPIhasagreedwithMasterCardInternationalthat
CardsbearingtheMasterCardorMasterCardElectroniclogoshallbehonoredatall
MasterCardaffiliatedmerchantswithelectronicterminals.CardswithInternetshopping
functionalitycanalsobeusedinMasterCardaffiliatedshoppingsitesthroughanonline
paymentfacility.

BPIhasalsoagreedwithVisathatCardsbearingtheVisalogoshallbehonoredatall
Visaaffiliatedmerchantswithelectronicterminals.CardswithInternetshopping
functionalitycanalsobeusedinVisaaffiliatedshoppingsitesthroughanonlinepayment
facility.

However,BPIshallnotberesponsible/liabletotheCardholderifforanyreason,theCard
isnotaccepted.TheCardholderagreestoholdBPI,itsdirectors,officers,employeesand
representativesfreeandharmlessfromanyandallclaimsfordamagesresultingfromthe
failureorrefusalofanymerchanttohonortheCard.Cardholdershouldalwayscarryan
alternativepaymentmethodandnotsolelyrelyontheCardtoprocesspaymentofgoods
and/servicespurchased.

6.CARDUSAGESTheCardholdermayusetheCardtopurchasegoodsorservices
wherevertheCardisaccepted.Subjecttoanyapplicablelimits,useoftheCardis
permittedaslongasthevalueavailableontheCardisnotexceeded.Theremaybe
situationswheretheCardbalancewillregisteranegativeamountandtheCardholderwill
remainliableinrepayingtheBPIforanysuchnegativeamounts.TheCardholder
acknowledgesthatanegativebalanceontheCarddoesnotconstituteanopenendlineof
credit.Noallowanceoracceptanceofanegativebalanceononeormoreoccasionshall
entitletheCardholdertoanyotherorfurthernegativebalanceinsimilarorother
circumstancesandtheBPImayrefusetopayanegativebalancefortheCardholderatany
time.TheBPIhasnoobligationtonotifytheCardholderbeforetheBPIwillapproveor
declineatransactionthatwouldresultinanegativebalanceontheCard.Transactionswill
beapprovedordeclinedintheordertheyarereceivedbythedataprocessor.Forsecurity
reasons,theBPImaylimittheamountornumberoftransactionstheCardholdermay
makeintheCardormaydeclineatransactionwhichtheBPIhasthereasontobelieveis
unauthorized.

7.CARDVALUEThevalueoftheCardisdeterminedbytheCardholderorPurchaserby
simplyloadingvalueintheCard.ThetotalvalueintheCardmustnot,atanygiventime,
exceed(a)TwentyThousandPesos(P20,000.00)forBPIExpressCash,BPIExpressMoney
Order,BPIExpressCashGiftCardandExpressCashPhotoGiftCard,and(b)OneHundred
ThousandPesos(P100,000.00)forBPIMyePrepaid,MoreFunPrepaidCardandBPIAyala
MallsAmoreVisaPrepaidCard(eachof(a)and(b)isreferredtoas,theMaximumCard
Value).TheCardholdermaycheckthebalanceoftheCardbyinquiringvia:(i)Express
Phone(89100)(ii)anyExpressTellerATMnationwide(ifCardhasavalid4digit
PersonalIdentificationNumber(PIN)(iii)ExpressOnline,providedtheCardhasbeen
enrolledinthePurchaser's/Cardholder'sExpressOnlineaccount(iv)bytextingusinga
mobilephone,keyinBALEC<16digitBPIPrepaidCardnumber>andsendto2274for
GlobeandTouchMobileand3274forSMART&TalknTextand(v)ExpressMobile.

8.CARDRELOADTheCardcanbereloadedbytheCardholder,thePurchaser,orbya
thirdpartywithadditionalvalueanytimeaslongasithasnotyetexpired,andthe
MaximumCardValuehasnotbeenexceeded.Themaximumamountthatcanbeloaded
perdayis(i)TwentyThousandPesos(P20,000.00)forBPIExpressCash,BPIExpress
MoneyOrder,BPIExpressCashGiftCardandExpressCashPhotoGiftCard,andOne
HundredThousandPesos(P100,000.00)forBPIMyePrepaid,MoreFunPrepaidCardand
BPIAyalaMallsAmoreVisaPrepaidCard,or(ii)thedifferencebetweentheMaximum
CardValueandthebalanceoftheCard,whicheverislesser.Fundstransferfroman
existingdepositaccounttotheCardcanalsobedonethru:(i)ExpressPhone(89100)(ii)
ExpressOnline(www.bpiexpressonline.com)(iii)allExpressTellerATMsnationwide(iv)
ExpressMobile,and(v)allExpressDepositMachines.Theactualtimeofcreditingthe
loadwilldependonwhatchannelwasusedtoreload.Somechannelsmayalsorequire
preenrollmentorencodingofpasswords,securitynumbers,orcodesbeforereloading
canbedone.TheaggregateloadlimitperclientpermonthissubjecttoBangkoSentralng
Pilipinas(BSP)Circular649(GuidelinesGoverningtheIssuanceofElectronicMoney)and
suchotherguidelinesasmaybeissuedbytheBSPfromtimetotime.Onlycashandits
equivalent(e.g.fundtransferfromadepositaccount)shallbeacceptedforloadingvalue
intotheCard.BPIreservestherightto,withoutnoticeandwithoutliability,deactivate
Cardsexceedingtheloadandbalancelimit.Nochecksshallbeacceptedforloadingvalue
intotheCard.

9.PERSONALIDENTIFICATIONNUMBER(PIN)Cardholderacknowledgesthat
withdrawalsandinquiriesonBPIExpressCashandBPIExpressMoneyOrderthroughBPI
andBFBATMscanbemadeonlybyusingavalidPrepaidCardtogetherwithcorrect
PersonalIdentificationNumber(PIN).Cardholderlikewiseacknowledgesthata
prenominatedPINhasbeenprovidedtohim/hertogetherwiththePrepaidCard.ThisPIN
willallowCardholdertodoanywithdrawalonthePrepaidCardfromanyBPIandBFB
ATMs.

Cardholderagreestopersonallynominatehis/herownPINpromptlyuponreleaseofthe
PrepaidCardanditsprenominatedPIN.Cardholderacknowledgesthathis/her
personalizedPINisknownonlytohim/her,notbyanyoneelse,norbyBPI.Cardholderis
requiredtokeephis/herPINconfidentialatalltimes.ForCardholdersownprotection,
Cardholderagreesnevertodisclosehis/herPINtoanyone.Alltransactionsprocessed
throughtheuseofthePrepaidCardandthePINshallbeconclusivelypresumedtobewith
fullknowledgeandauthorityoftheCardholderandhe/sheshallacceptfullresponsibility
foralltransactionsprocessedtherewith.CardholdershallholdBPIfreeandharmlessfrom
anyandalllosses,damagesorliabilitieshe/shemaysufferasaconsequenceorresultof
his/herdisclosureofhis/herPIN.

10.EXPIRYANDRENEWALOFTHECARDUnlessearlierterminatedbyBPI,orvoluntarily
cancelledorreturnedbytheCardholder,theCardshallbevalidfromthedayofissuance
orrenewaloftheCarduptothelastdayofthemonthindicatedonthefaceoftheCard
(theexpirydate).OnlytheCardholdermayrequestfortherenewaloftheCard,which

shouldbeaccomplishedwithinOneHundredTwenty(120)daysfromCardexpirydate
thru:(i)ExpressPhone(89100),subjecttoPositiveIdentification(PID)or(ii)anyBPIor
BPIFamilySavingsBankbranch.TheCardholdermustaccomplishallrequirementssetby
BPIatthetimeofrequestforrenewal.BPIhastherightwhethertoapproveordenythe
renewalrequest.TheCardholderagreesthatifnorequestforrenewalissubmitted/called
intoBPI,andtheCardhasaremainingvalue,amonthlymaintenancefee*shallbe
chargedtotheCardbeginningontheOneHundredTwentyFirst(121st)dayfromCard's
expirydate.Incasetherequestforrenewalisdeniedforwhateverreason,aManagers
CheckinthenameoftheCardholderwiththeamountequivalenttotheremainingloadat
thetimeofexpirywillbeissuedwithinNinety(90)days.

MoreFunPrepaidCardandgeneric/namelessCard,however,arenotrenewableandshall
automaticallyexpireontheirexpirydate.Cardholder/Purchasermayapplyforanewcard
online.

11.CARDFEES

CARDINACTIVITYFEEACardthatisnotusedforOneHundredTwenty(120)continuous
daysshallbeautomaticallyplacedininactivestatus.BPImay,atitsoption,imposea
reasonableinactivityfee*foranyCardthathasbeenininactivestatus,tobededucted
fromthestoredvalueoftheCardattheendofeachmonth.Oncethevalueoftheinactive
Cardbecomeszero,itshallbeautomaticallyclosed.

CARDEXPIRYFEEACardwithremainingvaluenotclaimedwithinOneHundredTwenty
(120)daysafteritsexpirydate,shallbeassessedamonthlymaintenancefee*tobe
computedstartingontheOneHundredTwentyFirstday(121st)aftertheexpirydateand
automaticallydeductedfromtheCardbalance.ShouldtheCardbalancebecomezeroasa
resultofthefeesdeducted,theCardshalllikewisebeclosed.BPIreservestherightto
imposeadditionalfeesasmaybenecessaryinprovidingthisservice.Itishereby
understoodthatredemptionofbalancesfromexpiredCardsshallbenetofallapplicable
fees.

ISSUERSSERVICEFEEONFOREIGNCURRENCYTRANSACTIONSAllchargesincluding
thoseincurredabroadthroughtheuseoftheCARDshallbebilledandbepayablein
Philippinecurrency,subjectto1.00%feeontopofMasterCard/Visasforeignexchange
rateonthedatethetransactionisposted.

12.LOSSOFTHECARDAlostCardislikelostcash.UpondiscoveryofthelossoftheCard,
theCardholdershouldimmediatelycall89100orifabroad,BPItollfreenumberslisted

onBPIExpressOnline.AfterithasreceivedareportofthelossoftheCard,BPIshall
proceedtoblockthefurtheruseoftheCard.Cardholdermayrequestreimbursementof
unusedloadvalueintheCardafterNinety(90)daysfromreportofloss.Reimbursement
caneitherbe,attheoptionofBPI,intheformofaManagersCheckmadepayabletothe
CardholderorareplacementCard,bothofwhichshallbesubjecttoservicefees*.Losses
duetotheuseofalost/stolenCardbeforethelossorthefthasbeenreportedandthe
blockingcompletedshallbefortheaccountoftheCardholder.

13.REPLACEMENTOFDAMAGEDCARDSBPIshallreplaceadamagedCardforfreeifit
stillhasitsfullORIGINALloadvalueandHASNOTBEENUSEDforanytransaction.Inthe
eventthedamagedCardhaslessthanitsoriginalvalueand/orhasalreadybeenusedby
theCardholderforanytransaction,BPIshallissueareplacementCardwithvalueequalto
theremainingbalanceofthedamagedCard,subjecttoCardholder'spaymentofservice
fees*.ThereplacementCardcanbeclaimedFive(5)bankingdays,fornominatedGMMA
branches,andSeven(7)bankingdays,fornominatednonGMMAbranchesincluding
VisayasandMindanao,afterBPIreceivesthereplacementrequest.

14.STATEMENTOFACCOUNTBPIisnotobligatedtosendCardholderstatementsof
itemizedtransactionsoftheCard.CardholdermaycheckthebalanceoftheCardthrough
(i)BPIExpressOnline(ii)89100(iii)shortmessagingservice(SMS)and(iv)ATMifthe
CardhasaPIN.Cardholdermayalsoreviewthelast5transactionsoftheCardat
www.bpiexpressonline.comiftheCardholderisenrolledinEOL.

15.SETTLEMENTOFFINANCIALLOSSESFinanciallossesoftheCardholderarisingfrom
securitybreaches,systemfailures,orerrorscommittedbyBPIoranyBPIpersonnelshall
besettledbyautomaticcredittotheCard.IftheCardholderwishestodiscontinueusing
theCard,BPIshallissueaManagersCheckmadepayabletotheCardholderequivalentto
theunusedload.Settlementoflossesshallonlybedoneafterinvestigationsconductedby
BPIand/oritsaffiliates.

AngfinanciallossesngCardholderopagkabawasngbalansengCardnadulotngsecurity
breaches,systemfailures,oanumangerrorsngBPIoempleyadongBPIaypagbabayaran
sapamamagitanngpagcreditsaCard.KunggustonamanngCardholdernaitigilnaang
paggamitngCard,magbibigayngManagersCheckangBPInanakapangalansa
CardholdernanaglalamanngkatumbasnabalansengCard.Angpagaayosnitoay
gagawinlamangpagkataposmaimbistigahanngBPIongmgaaffiliatesnitoangkaso.

16.SERVICECHARGEANDOTHERFEESTheCardholderandthePurchaserrecognizethe
rightofBPItoimposechargessuchasservicefees*,loadingfees*,andotherfees*on
anyorallofitsproducts,services,andfacilities.TheCardholderand/orPurchaseragree
topaysuchservicechargesandfeespresentlyimposedormay,inthefuture,beimposed
byBPIatthelattersoption.Asnecessary,theamountofsaidservicechargesandfees
mayalsoberevisedbyBPIfromtimetotime.TheCardholderand/orPurchasermaybe
notifiedofneworrevisedchargesorfeesthruanyofthefollowing:(i)BPIATMs(ii)
www.bpiexpressonline.com(iii)BPIandBPIFamilySavingsBankbranchesor(iv)other
communicationchannelsavailabletoBPI.

17.UNCLAIMEDCARDSUponapplicationtheCardcanbeclaimedwithinFivetoSeven(5
7)bankingdays,fornominatedBranchesinGMMA,andSeventoTen(710)banking
days,fornominatedBranchesinnonGMMAincludingVisayasandMindanao.AnyCard
unclaimedafterThirty(30)daysfromthetimeofdeliverytothenominatedBranchshall
beperforatedforsecurityreasons.AnyCardholderand/orPurchaserwhofailstoclaim
his/herCardwithinsuchprescribedperiodshallberequiredtopurchaseanewone.

18.COMPLIANCEWITHEXISTINGLAWSTheCardholderandPurchaserherebywarrant
thattheuseoftheCard,includingbutnotlimitedtothetransferand/orreceiptoffunds
usingtheCardandtheavailablechannelsfortheCard,donotandwillnotviolatethe
AntiMoneyLaunderingLaw,asamendedaswellasotherapplicablelaws,rules,or
regulations.BysigningthisAgreementorusingtheCard,theCardholderandPurchaser
herebyagreetorenderBPI,itsofficers,employees,andrepresentatives,freeand
harmlessandindemnifiedfromanyliabilities,damages,suits,orcausesofaction
whatsoeverwhichmayarisefromanyviolationofsaidlaws,rules,orregulations.
Moreover,BPI,uponreasonablesuspicionoffraud,irregularity,oranomalyinvolvingthe
Cardmayautomaticallyblocktheusethereof,withorwithoutnotice,andinitiate
investigation.

19.AMENDMENTSBPImay,atanytimeandforwhateverreasonitmaydeemproper,
amend,revise,ormodifythisAgreement.AnysuchamendmentshallbindtheCardholder
andPurchaserupondateofeffectivityasspecifiedinthenotice.TheCardholderor
Purchasermayhavehis/herCardterminatedwithinFifteen(15)daysfromnoticeif
he/sherefusestobeboundbytheamendment.FailuretonotifyBPIofCardholder'sor
Purchaser'sintentiontoterminatehis/herCardwithintheprescribedperiodshallbe
construedasacceptancebytheCardholderoftheamendmentstothisAgreement.

20.LIMITATIONOFLIABILITYBPIshallnotbeliabletotheCardholderorPurchaserfor
anyloss,damage,claim,cost,orotherliabilityarisingfromtheAgreementortheuseor
misuseoftheCardunlesssolelyanddirectlycausedbythegrossnegligenceorwillful
misconductofBPIoritsofficers,employees,orrepresentatives.BPI'stotalliabilityarising
outof,orinconnectionwith,thisAgreementshallbelimitedto50%ofCardbalanceor
theactualandprovenamountlost,whicheverislower.

21.DISCLAIMEROFWARRANTIESExceptassetoutinthisAgreement,allwarranties,
conditionsandotherterms,impliedbylaworstatute,areexcludedfromthisAgreement.
BPIdonotrepresentorwarranttotheCardholderorPurchaserthattheCard:(i)will
meethis/herrequirements(ii)willbeuninterrupted,timely,secureorfreefromerror
and(iii)willbeacceptedorhonoredatallmerchantestablishments.BPImayalsodecline
toprocessanypurchasewithoutpriornoticetotheCardholderorPurchaserorthe
relevantmerchant.

22.CONSENTTOPROCESSINGOFINFORMATIONTheCardholderandPurchaser
expresslyagreeandconsent,withoutneedofnotice,toBPIscollection,recording,
organization,storage,updating,retrieval,consultation,use,consolidation,blocking,

erasureordestructionofallinformationrelatingtothePurchaserand/orCardholderin
connectionwith,orarisingfrom,thepurchaseand/oruseoftheCard,andtoBPIs
disclosureofanysuchinformationtoanyorallofthefollowing:(i)BPI,itssubsidiaries,
affiliatesandrelatedinterests,whetherorganizedinthePhilippinesorinother
jurisdictions(ii)participatingmerchants,paymentstechnologycompany(ies),credit
information/investigationcompanies,financialinstitutions,creditbureaus,loyaltyprogram
partners,consumerreportingorreferenceagencies,marketingandpromotionalpartners
andotherrelevantexternalparties,whetherbasedinthePhilippinesorother
jurisdictions(iii)governmentregulatoryagencies/bodieshavingauthorityorjurisdiction
overBPI,itssubsidiaries,affiliatesandrelatedinterests(iv)entitiesengagedbyBPI,its
subsidiaries,affiliatesandrelatedintereststofacilitateadministration,servicing,and
implementationoftheCard,aswellasotherBPIproducts,services,facilitiesand
channelsand,(v)suchotherpersonsorentitiesthatBPImaydeemashavingauthority
orrighttosuchinformation,asandwhenrequiredbythecircumstances.

23.OFFERTOPARTICIPATEINPROMOSCardholderandPurchaserherebyauthorizeBPI
anditspartnerinstitutionstoofferparticipationinpromotionaloffers,advertisements,
surveysorsuchothersimilarprogramsbycommunicatingtoCardholderandPurchaserin
writing,orbyelectronicmail,orbyfacsimiletransmission,orbyshortmessagingservice
(SMS),orbysuchotherelectronictransmissionwhichBPI,atitsoption,considers
appropriateandeffective,orthroughBPIchannelsoranyoneofthemincludingpostingin
BPIswebsite.

24.AGREEMENTTOTHESETERMSANDCONDITIONSTheCardholder'ssignatureherein
orontheCard,orbyCardholder'suseoftheCard,ortheCardholder'sreceiptoftheCard
fromthePurchaser(ifCardholderisnotthePurchaser),constitutesCardholder's
agreementtoandacceptanceofthesetermsandconditionsandtheTermsandConditions
oftheBankofthePhilippineIslandsgoverningPRODUCTS,SERVICES,FACILITIES,AND
CHANNELS(asmaybeapplicable).TheCardholderandPurchaserfullyunderstandthe
correspondingriskentailedinavailingofsuchproducts,facilities,services,andchannels.
TheCardholderandPurchaseragreetoanyandallsupplement(s),modification(s),or
amendment(s)tosuchtermsandconditions,noticesofwhichshallbepostedinBPIs
premises,website,oranyotherchannelavailabletoBPI.

25.GOVERNINGLAWANDVENUEThisAgreementshallbegovernedbyandconstruedin
accordancewiththelawsoftheRepublicofthePhilippines.Anydisputearisinghereunder
shallbesubmittedtotheexclusivejurisdictionofthepropercourtsofMakatiCity,
Philippines.

*TheapplicablefeesandchargesshallbepublishedinBPI'swebsiteatClientUpdates
portionfromtimetotimeandmadeanintegralparthereof.
