Description

The present invention relates to a management device and a program.

Patent Document 1 discloses that a technology that grants shares of the company that provides a product, etc., as holdings when general consumers purchase or pay for that product, etc., can be used to ensure a stable pool of shareholders.

JP 2018-37080 A

The technology described in Patent Document 1 above ensures a stable supply of shareholders by having general consumers become shareholders, but it is not possible to provide incentives to employees who issue the shares.

The present invention was made in consideration of the above points, and aims to simultaneously secure stable shareholders and provide incentives to employees.

In order to solve this problem, the management device according to the present invention is a management device that includes a share number management unit that manages, for each employee, the number of shares that can be acquired through stock acquisition rights granted to employees of First Co., Ltd. to acquire shares of the First Co., Ltd., and a request reception unit that receives requests from the employees to exercise the stock acquisition rights, the shares being owned by a service provider that provides First Co., Ltd. with a service that manages the number of shares that can be acquired through the management device, and the share number management unit performs processing to reduce the number of shares that can be acquired and transfer ownership of the shares from the service provider to the employee based on the exercise request received by the request reception unit.

First, the flow of service provision using the management device 10 (see FIG. 3) according to this embodiment and an overview of the service content will be described with reference to FIG. 1 and FIG. 2, and then the management device 10 will be described in detail. The service using the management device 10 is provided as an incentive program service by the service provider S. The incentive program service includes a service of granting stock acquisition rights, which are the rights to acquire shares of the company receiving the service, as an incentive to employees of the company, a service of managing the number of shares that can be acquired by the stock acquisition rights (hereinafter, the number of acquireable shares) for each employee, and a service of transferring shares to employees who exercise the stock acquisition rights upon the exercise of the stock acquisition rights. As shown in FIG. 1, Company A requests the service provider S to provide an incentive program service (step S11). This request includes a stock acquisition right grant instruction that specifies the employees of Company A to whom the stock acquisition rights are to be granted and the number of shares of Stock A that can be acquired with the stock acquisition rights (hereinafter also referred to as the number of shares that can be acquired). When providing the incentive program service, the service provider S grants stock acquisition rights to employee A as an incentive in accordance with the acquisition rights granting instructions included in the request for providing the service (step S13).

As shown in FIG. 2, employee a can exercise the stock acquisition rights granted to him/her with respect to service provider S (step S21). Service provider S transfers to employee a who exercised the stock acquisition rights, up to the number of shares A that can be acquired and the number of shares specified by the employee at the time of exercising the acquisition rights (step S22). In this transfer, service provider S reduces the number of shares that can be acquired by the employee through the stock acquisition rights by the number of shares transferred to the employee. In the transfer in step S22, payment of transfer consideration based on the share price of stock A is not required. However, payment of a transfer fee may be required.

According to the incentive program service described above, multiple shares A are ultimately distributed among employee a of Co., Ltd. A through the stock acquisition rights, so employee a becomes a stable shareholder. Furthermore, from employee a's perspective, the stock acquisition rights allow him or her to become a shareholder of Co., Ltd. The securities account management device 80 is a server computer or the like, and is operated by securities company Z. As shown in FIG. 4, the management device 10 according to this embodiment includes a processor 11, a main memory device 12, an auxiliary memory device 13, and a communication device 14. The processor 11 includes a CPU (Central Processing Unit) and the like. The main memory device 12 includes a RAM (Random Access Memory) and functions as the main memory of the processor 11. The auxiliary memory device 13 includes an SSD (Solid State Drive) and the like, and stores programs as well as an acquisition rights database for managing stock acquisition rights. The communication device 14 includes a NIC (Network Interface Controller) and the like, and is connected to the communication network NW.

As shown in FIG. 5, each of the multiple records in the acquisition rights database includes, associated with each other, an employee ID that identifies employee a, a password issued to employee a or designated by employee a, and the number of shares that can be acquired with the stock acquisition rights granted to employee a. The acquisition rights database identifies and manages employees a who have been granted stock acquisition rights and the number of shares that each employee a can acquire. In FIG. 5, the employee symbols in FIG. 3 are used as the employee IDs.

The processor 11 executes the programs stored in the auxiliary storage device 13 to operate as an instruction receiving unit 11A, a stock count management unit 11B, and a request receiving unit 11C shown in FIG. 6. Each unit 11A to 11C cooperates to execute the processes shown in FIG. 7 and FIG. 8.

The process shown in FIG. 7 is started when a stock acquisition right grant instruction is input to the management device 10 by the above-mentioned step S12 or the like. The stock acquisition right grant instruction is input to the instruction device 50 (FIG. 3) by a method of your choice by Co., Ltd. A, and is transmitted from the instruction device 50. When the instruction receiving unit 11A in FIG. 3 receives an instruction to grant acquisition rights, the share count management unit 11B (FIG. 6) creates an acquisition rights database (FIG. 5) based on the instruction (step S32). The share count management unit 11B creates an acquisition rights database with each combination of employee ID, password, and number of acquireable shares included in the acquisition rights grant instruction as one record. By creating this database, each piece of information constituting the record is registered in the acquisition rights database, and as a result, each employee a is granted the right to acquire shares.

The acquisition right grant instruction may be supplied to the management device 10 in multiple instalments. In this case, for the second and subsequent acquisition right grant instructions, the share count management unit 11B updates the acquisition right database based on the contents of the instruction. For employee IDs included in the acquisition right grant instruction that are not registered in the acquisition right database, the share count management unit 11B newly registers in the acquisition right database a record that associates the employee ID included in the acquisition right grant instruction with the password and number of acquireable shares corresponding to the employee ID. On the other hand, for employee IDs included in the acquisition right grant instruction that are already registered in the acquisition right database, the share count management unit 11B adds the number of acquireable shares included in the acquisition right grant instruction that corresponds to the employee ID to the number of acquireable shares corresponding to the employee ID in the acquisition right database.

After the acquisition rights database is created, employee a of Company A can use his/her own terminal 60 to request login to the website configured in the management device 10 (step S33). The login request includes the employee ID and password entered by employee a into the terminal 60. The login request is accepted by the request acceptance unit 11C (FIG. 6) of the management device 10 (step S34). The request acceptance unit 11C then authenticates employee a based on the login request (step S35). The notification image G may be generated by the request reception unit 11C and transmitted to the terminal 60.

When employee a exercises the stock acquisition rights of stock A, the process shown in FIG. 8 is performed. First, employee a operates the terminal 60 to input the number of stocks A to be acquired this time (step S41). The terminal 60 subtracts the input number of shares or the number of available shares from the number of shares to be acquired, and sets the number of shares obtained by subtracting the input number of shares as the designated number of shares to be acquired this time, and transmits a request to exercise the stock acquisition rights including the designated number of shares to the management device 10 (step S42). The exercise request from the terminal 60 is accepted by the request acceptance unit 11C of the management device 10 (step S43). The exercise request accepted by the request acceptance unit 11C includes the employee ID in addition to the designated number of shares. The employee ID may be sent again from the terminal 60 together with the designated number of shares in step S42, or may be the previous employee ID used at the time of login. In the latter case, the request acceptance unit 11C accepts the exercise request including the designated number of shares, including the employee ID at the time of login.

Then, the share count management unit 11B updates the number of acquireable shares in the acquisition right database corresponding to the employee ID included in the exercise request accepted by the request acceptance unit 11C based on the specified number of shares (step S44). If the specified number of shares is the number of shares input to terminal 60, the share count management unit 11B subtracts the number of shares input to terminal 60 from the number of acquireable shares in the acquisition right database. If the designated number of shares is the number of shares obtained by subtracting the input number of shares from the number of acquireable shares, the share count management unit 11B replaces the number of acquireable shares in the acquisition right database with the input number of shares.

Then, the share count management unit 11B performs a process to transfer the ownership (name) of shares A corresponding to the number of shares subtracted by the update (the input number of shares or the difference between the number of shares available before and after the update) from the service provider S to the employee a (step S45). As an example, the share count management unit 11B transmits a transfer instruction to the securities account management device 80 (FIG. 3) to transfer shares A deposited in the securities account of the service provider S to the securities account of the employee a. In this embodiment, both the securities accounts of the service provider S and the employee a are managed by the securities account management device 80, but the employee a may be managed by another securities account management device. In this case, the securities account management device 80 performs the process to transfer shares A in cooperation with the other securities account management device based on the transfer instruction.

The transfer instruction includes account identification information that identifies the securities accounts of the service provider S and employee a. For example, the account identification information of the service provider S is stored in advance in the auxiliary storage device 13 (Figure 4) and used. The account identification information of employee a is included in, for example, a request to exercise the stock acquisition rights (preset in the terminal 60 or input individually by employee a), and is supplied to the share count management unit 11B via the request reception unit 11C and used. As described above, the management device 10 includes a share number management unit 11B that manages the number of shares of stock A that can be acquired by the stock acquisition rights granted to employee a of Co., Ltd. As described above, it is preferable that stock A is held by Co., Ltd. B as a strategic shareholding and transferred from Co., Ltd. B to service provider S. This prevents the released stock A from being purchased by an unintended third party when Co., Ltd. B releases the stock A. Therefore, stable shareholders are ensured even if strategic shareholdings are released.

Furthermore, as described above, the number of shares that can be acquired by each employee a through the granting and exercise of stock acquisition rights may be increased or decreased by the stock number management unit 11B using an acquisition rights database that associates an employee ID that identifies employee a with the number of shares that can be acquired through the stock acquisition rights granted to employee a.
