STANDARD - SERVICE CONTRACT


This agreement is made ………………………………………………………………
BETWEEN: ……………………………………………………….. a company incorporated in Kenya and of
………………………………………………………….. (“The Company”) …………………………………….

WHEREAS the Company has agreed to provide security services to the Client on the terms and conditions
hereinafter appearing (and the client has accepted to receive the said services)

NOW THIS AGREEMENT WITNESSES AS FOLLOWS:

1. DEFINITIONS.
The following terms shall have the following meanings:
“Commencement Date”
“Payments” the amount specified in Clause 7.
“Premises” the area of the clients’ premises as specified in Schedule A.
“Term” the period of 12 months from the commencement Date.
2. COMPANY’S OBLIGATIONS.

a) The Company shall from the Commencement Date and for the Term unless and until determined in
accordance with clause 13 provide the security services set out in Schedule B.

b) Through out the duration of this Agreement, the Company agrees that:
i. All security guards and personnel employed in the performance of the Contractors duties
have been and will have been subjected to a thorough fitness test and training.
ii. All such security guards personnel will be supervised by a supervisor or other senior guards
of the Company who will make periodic check visits.
iii. All equipment, instruments and other requirements used by such security guards will be
supplied by the Company.
iv. A record of attendance and Occurrence book shall be kept by the security in charge or the
premises who will note in that record all irregularities or incident discovered by him, by
client or by the police.
v. If in the opinion of the client, any security guard or supervisor employed by the company is
considered to be unsuitable for any reason, the client shall have the right to require removal
of such persons from provision of services hereunder and to require that a replacement is
provided within (24) twenty four hours.
vi. It shall perform the services diligently and with proper care.

3. SPECIAL PROVISIONS ABOUT KEYS.

Except for the written keys which receipt shall be issued by the company, and which keys shall have been taken
into the custody of company employees for the purpose of and in accordance with the express requirement of
this contract, the company shall not be responsible under any circumstances whatsoever, whether there be
negligence or not, for any loss resulting from the loss or damage to keys, and in particular to such a loss as the
cost of changing locks keys. This special provision does not affect the generality of the provisions of the
standard conditions.
4. STRIKES.

i. The company shall not be responsible in any circumstances whatsoever for any failure by
the company to carry out the services covered by this contract, or any part of it, where such
failure is caused by any strike, or lockout or the labor disputes, weather conditions, or
traffic congestion, or mechanical breakdown condition of or obstruction of any public or
private or highway or any course whatever beyond the company’s control.
ii. In the event of a strike on the Client’s premises, the Company employees will not be
required to carry out any additional duties of a strike breaking nature.

5. INCIDENT/LOSS REPORT.

Notice of claims by the Client in respect of any loss, damage or injury shall be given in writing to the company
within 15 days of the discovery of such loss or damage or injury.

6. INDEMNITY.

We have a contractual liability insurance with xplico insurance company ltd which indemnifies our clients
against any lost or damage by reason of any act or neglect of the security guards or other personnel of the
company whilst performing their duties within the scope of their employment with the company, provided that
investigations have proved beyond reasonable doubt that there was negligence on the side of the company.

We however advise our clients to secure an insurance cover where wholesome compensation may be
required.

7. PAYMENTS.

In consideration of the services to be rendered by the Company under this Agreement, the Client agrees to pay
the Company the payment set out in Schedule C hereto. The amount is payable in arrears on monthly basis.

8. VAT.

a) All sums payable under this Agreement unless otherwise stated are Inclusive of vat as currently in
force.
b) Any extra payable in respect of such sums shall be payable in addition to such sums.

9. EQUIPMENT TO REMAIN COMPANY’S PROPERTY.

All equipment, instrument and other requirements supplied by the Company shall remain the sole property of
the Company.

10. DISCIPLINE.

The Company shall ensure that the security guards and its other personnel engaged in the performance of
services hereunder exhibit good discipline and acceptable behavior at all times to avoid situation likely to lead
to a breach of the clients rules and regulations or to disruption of the clients business and shall also ensure that
at all time such security guard or other personnel shall observe and comply with all security, safety, operational
and administrative, instruction, guidelines or rules from time to time issued, laid down or required by the client.
11. LICENCES AND PERMITS.

The company shall at its expenses obtain and renew in accordance with any regulations for the time being in
force all permits, licenses and approval required in connection with the carrying out of its duties and obligation
here under.

12. RENEWAL OF AGREEMENT.

At least sixty (60) days before the expiry of the Term, either party may notify the other of its intention to renew
this agreement for further Term of Two (2) years or such other period as may be agreed between the parties.

13. TERMINATION.

a) The client may at any time terminate this agreement by giving to the company thirty (30) days notice.
Where the termination of the contract is done without giving the company notice, the client is to pay an
amount equivalent to one month to the company.
b) The company may at any time terminate this agreement by giving to the Client thirty (30) days notice.
Where the termination of the contract is done without giving the client notice, the company is to pay an
amount equivalent to one month to the client.

14. OFFER OF EMPLOYMENT.

The client undertakes that it will not during the period of subsistence of this contract, or within one year next
after the termination thereof (howsoever the same may be determined) either:

a) Knowingly offer employment in any security capacity to any person who shall be or shall have been
officer or servants of the Company during the subsistence of this contract and who has worked on
service provided to the Client hereunder : or
b) Knowingly employ any firm or company fronted by or owned by an employee of company or engages
in any business owned either solely or in partnership by such person offering a similar service for that
provided by the company.

15. MISCELLANIOUS.

a) The terms of this Agreement will be binding on the successors and assignees of both parties. Neither
the Client nor the Company will assign or transfer this Agreement or any interest therein without
consent of the other party.
b) The waiver of any terms or condition of this Agreement on any occasion or occasions shall not be a
waiver of any of the provisions hereof.
c) The headings of the paragraphs are for convenience only and shall not affect the meaning of any of the
provisions hereof.
d) This Agreement constitutes the entire agreement between the parties and no amendment or
cancellation thereof shall be of any force or effect unless reduced to writing and signed by both parties.
e) Words denoting the singular shall include the plural and vice versa, words denoting the masculine
gender shall include any other gender, and words denoting persons shall include partnerships and
bodies corporate and vice versa.
f) Each party shall, during the term of this Agreement and subsequent to its termination, keep
confidential, documents, data and information concerning the activities, business methods and other
information of other party which is provided under the terms of this Agreement or which comes onto
its possession as a result of this Agreement.

1. The company shall:

i. Report any incidents of criminal nature immediately they detect to the Managing Director or his
assistants.
ii. Carry out initial investigation into any incidents occurring within the premise.
iii. Have basic knowledge of fire prevention and fire fighting.
iv. Make sure that idlers and other people who have no business
are kept away from the premises.
v. Not change guards without informing the Management of the …………………………………….
Except for off duty relieving or any other emergencies.

2. SPECIFICATIONS FOR GUARDS.

i. Security guards must be smart, presentable


ii. Must be of high degree in aptitude and understanding
iii. Must be able to communicate in English and Kiswahili
iv. Have basic customer care knowledge or willing to learn the same
v. Must be punctual when reporting on duty
vi. Must be people of integrity and honest

3. REGULATIONS FOR SECURITY GUARDS.

The company shall strive to ensure the following:

i. Security guards must adhere to the rules and regulations of the Client.
ii. Security guards should not entertain guest or idlers at their place of work.
iii. Security guards should not eat or read newspaper at the place of work.
iv. Security guards should not sleep at their place of work.
v. Security guards should be alert at all times while in their place of work.
vi. Security guards to report all incidents likely to threaten the security of the Client to the security in
charge.
vii. The company shall provide proper supervision to security guards to ensure that they discharge
their duties properly and to required standards.
