1. Security Agreement
This Security Agreement (“Agreement”) is made and entered into as of [Date], by and

1. Grant of Security Interest.

4. Default and Remedies.
Upon the occurrence of any Event of Default, Secured Party may exercise all rights and
remedies provided under applicable law, including repossession and sale of the Collateral
without notice.
5. Governing Law.
This Agreement shall be governed by and construed in accordance with the laws of the
