Further to your application for employment with us, and the subsequent selection process, we are pleased to offer you a
position of Customer Care Executive with Taurus BPO India LLP (Tauras / Company), as per following details:
Offered Monthly Gross Salary shall be subject to standard deductions (e.g. PT, etc.) as applicable to you as per Govt. laws
and may change as per prevailing laws and regulatory compliance from Government. Taurus BPO shall contribute to
PF/ESIC/Gratuity/etc. Funds for your employment as mandated by the Government and may change from time to time.
A detailed illustration for the purpose of understanding your monthly in-hand as on today as per the agreed monthly gross
is available in 'Annexure-A'.
Upon acceptance of this letter, your employment with the Company will be effective from the date of your joining the
Company. You are expected to join the Company after your present employer formally relieves you. However, in case you
are unable to present the relieving letter at the time of joining, Company will not be liable for any consequences arising
out of your previous employment. You shall indemnify and hold the Company harmless against any costs, losses and
expenses that the Company may be required to pay as a result of not producing a valid letter unconditionally reliving you
from the previous job.
Terms and Conditions of this offer for employment
1. The New Norm
Your ability to “work from home” is integral and crucial part of your “employability”, “fitment”, and “selection” to the
offered job role
“Work from home” can be needed in following situations:
a. When requested by employee and is duly approved by reporting manager and HR manager
b. When forced by Management/Client/Government authorities to compulsory work from home
c. When decided by Management/Client/Government authorities to optionally work from home in shifts or as per
roaster
Arrangements needed to be made to be able to “work from home” are your sole responsibility and Taurus BPO
shallnot borne any costs associated with it
On a particular day, if for any unforeseen/foreseen reasons you are not able to work from home and/or not able to
support delivery/productivity, it shall be considered as “Loss of Work” leave (which equates to No work - No pay”
“Work from home” is defined as:
o You have an arrangement and availability of a personal dedicated (not shared) laptop/desktop for your business
use

o You have a designated space for work at home
o You can manage work shift without any major distractions/responsibilities of home during the business hour
You agree to work from office (assigned office as per client or project) on regular shifts as and when decided (and
allowed by authorities) to open office partially/in shifts/on rotation
During your entire employment, Taurus BPO will have the right to execute “Asked to go on forced leaves”. Due to
any unforeseen situation arising out of any environmental/political/natural/human created condition/any other
condition, which has business impact to Taurus BPO , you can be asked to go on forced unpaid leaves including
and/ornot including utilization of any privileged leaves you may have.
2. Probationary Period
In the first instance you will be on probation for a period of 6 months from the date of your joining. Where after the
probation period may be either extended at the discretion of the management or may be dispensed with either earlier or
on completion or thereafter till confirmation. Unless confirmed in writing, you will be deemed as probationer after the
expiry of the initial or extended period of probation. In addition to your performance during the probationary period,
confirmation of your employment is subject to your submitting the requisite documents and verification of the validity of
the same as required at the time of you joining the Company.
3. Work Location
On the date of joining, you will be posted at Indore Office. However, your services are liable to be transferred to any other
development centres / branch offices of the Company or at customer's or at partners' location or at sister concern
anywhere in the India or abroad subject to Company policies and Company’s business requirements from time to time.
4. Code of Conduct
You will be governed by the rules and regulations applicable to the employees of the Company, including revisions in such
rules as may be affected from time to time. During the continuance of your engagement with us, you shall not be
associated, concerned or interested directly or indirectly in any other occupation, business or employment whatsoever,
but shall devote your whole time, attention and abilities exclusively to the performance of your duties and shallfaithfully
serve the Company and use your best endeavour to promote the interest and business thereof.
5. Information and security
The role assigned during your employment with the Company includes the Information Security responsibilities as
required by organization and customer. This includes adhering, maintaining information security artefacts as required by
Information Security Policy of the organization and customer. During your employment with the Company, you shall not
disclose any information to anyone including but not limited to Company’s customers, prospective customers, people or
entities outside the Company or to any Company’s employee which is confidential or trade secret under your previous
employment contract or disclosure of which is in violation of any law or third-party intellectual property rights. If you
disclose any such information, you shall be solely liable at your own cost and you agree to hold harmless the Company

from and against any claims, actions, suits, demands, damages, claims for fees, costs, charges and expenses. Employee
must not create, download, send or forward, in any form and through any means of communication, any inappropriate
material or action like publishing derogatory comments about person / company working in and around Taurus BPO due
to which the Company's reputation may be damaged. Conducting such action will result civil or criminal liability for the
individual currently offering or not offering his services to the company and the company shall be liable to terminate
employee. Employee cannot disclose any data or information of the Company outside the company. If done, strict and
legal action will be taken. Employee hereby unconditionally states that all verbal, written matters, print collaterals and
electronic communications received from Company will be treated with extreme confidentiality and these will not be
shared, disclosed or discussed with any individual or company nor carried or preserved privately. Employee is not entitled
to disclose technological code, documents, content or any other information in form of electronic or print and no data
should be carried out of the company premises.The Employee acknowledges and agrees that in the course of his
employment with the Company, the Employee has and will continue to have continuous access to specific confidential
information relating to the Company and its subsidiaries or affiliates which would be valuable to a competitor and which
is proprietary and confidential. This information shall be held in trust by the Employee and not disclosed to any person,
Company or corporate entity at any time during the enforcement of the Agreement or after the Agreement has
terminated.
All intellectual property rights, including but not limited to trademarks, patents, copyright and design rights as a result of
the development of and/or the application of all work produced by the employee during or as a consequence of his
employment, whether alone or in conjunction with others and whether during normal working hours or not, including but
not limited to any invention, design, discovery or improvement, computer program, documentation, confidential
information, copyright work or other material which he conceives, discovers or creates during or in consequence of this
employment with the Company shall be the exclusive property of the Company.
6. Working Days
Normal working days are Monday through Friday. Company observes Sunday as a compulsory weekly off. Staff of Support
Departments or Staff at Customer projects is required to work on Saturdays. The normal working hours are minimum 8/9
hours (including 60 minutes for lunch or snacks breaks) per day. Work timings to begin with would be09:30 AM -06:30 PM
or as per your project requirements.
7. Holidays and Leaves
You will be eligible for holidays as per ‘Company paid Holiday policy’. The same is announced at the beginning of the
calendar year. You will be entitled to fifteen days of Privilege Leave and one day Optional Leave per financial year. The
aforesaid leave entitlement is subject to the Company policy as amended from time to time. During the probation period
you will not be entitled for any leaves. Before proceeding on leave, you will have to apply for leave 15 days in advance to
the appropriate authority and seek the prior sanction of leave. Similarly, for extension of leave, an application will have to
be made in advance so as to reach positively before the expiry of leave originally granted. Your

submission of application will not mean that the leave has been sanctioned. The Management will be within its rights to
get you medically examined to verify your alleged sickness in case of leave taken on medical grounds.
8. Increments and Promotion
Your growth in the Company and increments in the salary will depend solely on your performance, your teams’
performance and contribution to the Company. The increments and salary revision will be driven as per the Performance
Management Policy of the Company annually as per the financial year and annual assessment which typically is during the
month of May. You should be employed with the Company for a period of minimum 1 year, before being considered
eligible for any salary review. It’s up to sole discretion of the company to revise salary or not. Company is not bound to
increase salary with annual assessment.
9. No Conflict
You warrant that if you accept this employment offer with the Company, it shall not be in conflict with
Any other agreement that you may have entered into or any obligation that you may be bound to.
That on cessation of your employment with us, you will be under an obligation:
Not to join, for period of six months, any competitor unless permitted by the management
Not to join, for a period of two years, any client or customer in part time /freelance/remote work/third party
contracted / full time capacity
Any breach, could result in forfeit of entire amount of “Non-Compete Allowance” paid to the employee in the “Full
and Final” settlement OR Taurus BPO can demand the refund by means of formal communication or legal
proceedings
10. Notice Period
During probation, if you voluntarily resign from the services of the Company, you will be required to give 90 days of written
notice or Salary in lieu of the probation/notice period subject to the Company’s discretion. In the event of you having any
incomplete assignment, the Company will have the discretion to relieve you only at the end of the probation period.
After completion of probationary period and confirmation of employment, if you voluntarily resign from the services of
the Company, you will be required to give 45 days of written notice or Salary in lieu of the notice period subject to the
Company’s discretion. In the event of you having any incomplete assignment, the Company will have the discretion to
relieve you only at the end of the 45 days’ notice period.
Similarly, the Company may terminate your employment by giving you 30 days’ notice or Salary in lieu of notice period
during or after the completion of probation period.
The Company can terminate your service without any notice period in case the employment is terminated on grounds of
Breach of confidentiality or IP related obligations

Gross misconduct
Material breach of Company policy
In such event:
The Company will not be liable to make payment in lieu of notice period.
The Company has right to inform the incident to the authorities of the land for breach of any prevailing laws
In case the last day of your employment falls on a non-working day, your last day of employment shall be the immediate
previous working day.
11. Moonlighting
Employees will devote whole time to the work of the management and will not undertake any other direct/indirect
business of work, honorary or remunerator except with the written permission of the management.
Any employee that wishes to work part-time, or for any amount of time after their regularly work hours should inform
the matter with their manager / supervisor / HR in writing prior to their acceptance of the secondary employment.
The employee may be required to disclose information pertaining to the proposed secondary employment to allow
a management review. The review shall ensure that there is no conflict of interest. It shall be obtained in writing and
can’t be assumed.
Employees will not give any information to any one, by word of mouth or otherwise, particulars or details of our
development processes technical on-how, or of administrative and/or organisational matters, whether confidential
or secret nature that they may he become, known to you for being associated with Taurus BPO .
12. Employee Relationships
Employees engaging in romantic relationships and employees that become married or live in the same household
may continue their employment with Taurus BPO provided that there is neither a direct or indirect
managerial/subordinate/peer colleague relationship between the employees, or a conflict of interest, real or
imagined, created as a result of the relationship.
In the event that either a managerial/subordinate/colleague or conflict of interest issue arise, Taurus BPO will work
with the employees to accommodate them in a reasonable fashion. Possible resolution may require one of the
employees to transfer to another position within the company. If this is not possible, one of the employees must
resign.
13. Social Media Policy
This policy provides guidance for employee use of social media, which should be broadly understood for purposes
of this policy to include blogs, wikis, microblogs, message boards, chat rooms, electronic newsletters, online forums,
social networking sites, and other sites and services that permit users to share information with others in a
contemporaneous manner.

The following principles apply to professional use of social media on behalf of
Taurus BPO as well aspersonal use ofsocial media when referencing Taurus BPO .
Employees need to know and adhere to the Taurus BPO ’ Code of Conduct, Employee Appointment Letter, and
othercompany policies when using social media in reference to Taurus BPO .
Employees should be aware of the effect their actions may have on their images, as well asTaurus BPO ’ image.
Employees should be aware that Taurus BPO may observe content and information made available by employees
through social media. Employees should use their best judgment inposting material that is neither inappropriate nor
harmful to Taurus BPO , its employees, or customers, or vendors.
Although not an exclusive list, some specific examples of prohibited social media conduct include posting
commentary, content, or images that are defamatory, pornographic, proprietary,harassing, libellous, or that can
create a hostile work environment.
Employees are not to publish post or release any information that is considered confidential or not public. If there
are questions about what is considered confidential, employees should check with the Human Resources Department
and/or supervisor.
Social media networks, blogs and other types of online content sometimes generate press and media attention or
legal questions. Employees should refer these inquiries to authorized Taurus BPO spokes persons.
If employees find encounter a situation while using social media that threatens to become antagonistic, employees
should disengage from the dialogue in a polite manner and seek the advice of a supervisor.
Employees should get appropriate permission before you refer to or post images of current or former employees,
members, vendors or suppliers. Additionally, employees should get appropriate permission to use a third party's
copyrights, copyrighted material, trade marks ,service marks or other intellectual property.
Social media use shouldn't interfere with employee’s responsibilities at Taurus BPO .Taurus BPO ’computer systems
are to be used for business purposes only. When using Taurus BPO ’computer systems, use of social media for
business purposes is allowed (ex: Facebook, Twitter,Whatsapp and LinkedIn), but personal use of social media
networks or personal blogging of online content is discouraged and could result in disciplinary action.
Subject to applicable law, after‐hours online activity that violates [Taurus BPO ’ Code of Conduct] or any other
companypolicy may subject an employee to disciplinary action or termination.
14. Ownership of Creations
Individual agrees that all developments, ideas, copyrightable creations, works of authorship, and other contributions
(herein collectively referred to as “Creations”), whether or not copyrighted or copyrightable, conceived, made,
developed, created or acquired by Individual, either individually or jointly, during any employment by or under any
agreement with any of Taurus BPO ’ client and which relate in any manner to the Individual’s work on Taurus BPO ’
behalf (regardless of the extent developed at Taurus BPO facilities, at Individual’s home, at client location or
elsewhere), shall be deemed to be a work made for hire owned by Taurus BPO . Individual does hereby sell, assign,
and transfer to the Taurus BPO Individual’s entire right, title and interest (worldwide) in and to such Creations and all
intellectual property rights thereto.

15. Recovery of Expenses
Any expenses incurred by the Company for your recruitment such as your relocation, accommodation, joining bonus,
reimbursement of short fall of notice period if any, etc. would be recovered from you if you voluntarily resignfrom the
services of the Company within twelve months from your date of joining.
16. Retirement
You shall retire on the day of completion of sixty years of age. For this purpose, the date of birth considered will be as
per the certificate of proof of age submitted by you at the time of joining the Company. In case the last day ofyour
employment falls on a non-working day, your last day of employment shall be the immediately preceding working day.
17. Confirmation
This appointment is based on the information given by you to us in your employment/personal data form and
otherwise, and shall be considered null and void if a material error/suppression or false detail is discovered therein
at any time. In that eventually, the management can recover the payment made to you towards your remuneration
during employment.Besides above conditions, you will abide by the service Rules/Regulations or standing as in
operation besides office orders which are issued from time to time. The service Rules/Regulations can be
modified/replaced by the Certified Standing Orders which will be binding upon you.In case of any dispute or
disagreement in relation to the terms of this offer or matters connected thereto, you agree to negotiate in good faith
to resolve such dispute or disagreement. In case you and Company fail to settle the dispute/disagreement amicably,
the same may be exclusively referred to arbitration in accordance with the provisions of Arbitration and Conciliation
Act, 1996 at Madhya Pradesh. Each party shall bear its own costs for arbitration
