SUBMISSION RELEASE FORM

You, the undersigned, are submitting the material, which is an original script / screenplay /story /
lyrics or any other w o r k1 namely _Teleport

113053434840 (“Material”) to Yash Raj Films Private Limited (“YRF”). The following shall
constitute the understanding between you and YRF for the voluntary and unsolicited submission of
the Material (“Form”), which shall be submitted on the following conditions:
1. Submission and review: You have voluntarily submitted the Material with the intention of
allowing YRF to review and evaluate such unsolicited Material to decide whether YRF will
undertake efforts to acquire all or parts of the said Material. You shall not be entitled to any
compensation from YRF unless YRF decides to use the Material with or without changes, at the
sole discretion of YRF which will be communicated to you, in writing, by a person duly
authorised by YRF. It is clarified that YRF shall be under no obligation to acquire and/or develop
and/or use the Material submitted under this Form in any manner whatsoever.

2. Timeline and return of Material: You agree that YRF shall have the right to review and
confirm the Material (whether in whole or in part) for a period of 90 (ninety) days from the date
of the submission of the Material and this Form to YRF (“Evaluation Period”) . You
acknowledge and agree that the Material or any part thereof has not2 been submitted to any third
party for review or evaluation, and if the Material (or any part thereof) has been disclosed and/or
submitted to any third party for any reason whatsoever (including for the purpose of review or
evaluation), you expressly confirm that such third party has (a) rejected the Material; or (b) not
agreed to greenlight the Material for further development or (c) not acquired the Material or any
rights therein. During the Evaluation Period, you agree not to submit the Material to any third
party. You understand and agree that in case you do not receive any intimation from YRF after
the expiry of the Evaluation Period, it will be deemed to have been rejected and YRF shall not be
obligated to notify you of such rejection or to return the Material to you. You have retained at
least one copy of the Material, and you release YRF from any and all liability for loss or other
damage to the copies of Material submitted hereunder. In the event YRF decides to pursue the
Material and the same is expressly communicated to you in writing by YRF, then it shall not
mean that YRF is committing to produce the Material until YRF executes the relevant
documentation with you capturing the relevant commercial understanding, and terms and
conditions.

3. Mode of submission: The Material shall be submitted/ has been submitted by hand or by courier
delivery at Yash Raj Films Private Limited, 5, Shah Industrial Estate, Veera Desai Road, Andheri
(West), Mumbai - 400053 or by electronic mail to an official YRF email address. It is clarified
that the Material submitted hereunder will be evaluated by YRF only after YRF has received this
Form, duly filled by you in the manner prescribed by YRF.

4. Representations and Warranties: You represent and warrant that (i) you have the sole and
exclusive authority to submit the Material and all elements thereof to YRF, (ii) the Material
submitted hereunder is/are original and is/are not plagiarized and does not and shall not infringe/
violate any copyright, proprietary rights or any other rights of any entity, company, or any
person, whether dead or living. However, in the event any third party material/ content (or any
part thereof) has been utilized/ adapted/ used by you in the creation of the Material, the same

 shall be expressly disclosed in Annexure A3, (iii) no third party has any rights, title or interest
therein or thereto, (iv) by submitting the Material to YRF for its evaluation, you are not in
conflict/breach of any confidentiality obligations and (v) the Material has been registered with
SWA at the time of submission of the Material to YRF.

5. No fiduciary or confidential relationship: You further understand and acknowledge that YRF
shall not be obligated in any manner whatsoever to accept and/or evaluate the Material in the
absence of your acceptance of each and all of the contents of this Form. You acknowledge that no
fiduciary or confidential relationship exists between YRF and you, and further acknowledge that
no such relationships are established between YRF and you by reason of submission of this Form
or by reason of your submission of the Material to YRF. Any such fiduciary and/or confidential
relationship would only exist if YRF and you execute a formal written agreement in relation to
further development of the Material submitted under this Form.

6. Similarity to other material: You acknowledge that YRF is a prominent and a well reputed
production company in the entertainment industry and YRF/its associates/employees constantly
create(s), receive(s), develop(s) and/or otherwise acquire(s) material and/or elements, including
not limited to, unsolicited submissions, that may be similar or identical to the Material or any
parts/ elements thereof. In the event there are any similarities or elements of similarities to such
other materials submitted to and/or developed by YRF, you shall not be entitled to (a) any
compensation/ fee/ consideration (in any form or manner) from YRF in relation to any parts/
elements that are similar or identical to the Material or any parts/ elements thereof; and/or (b)
seek to enforce any other right or action against YRF including any claims for damages, losses,
etc. and/or (c) seek to enforce any restraining orders against YRF in relation to the Material and/
or any audio-visual content developed by YRF which is similar or identical to the Material or any
parts/ elements thereof.

7. Indemnity: You hereby agree to defend, indemnify, and keep indemnified YRF (and its officers,
directors, employees and representatives) against and for any and all actions, claims, liabilities,
notices, losses, damages, costs and expenses arising from or related to the Material, including the
use thereof by YRF, or any breach of any undertakings, representations or warranties and
obligations given by you herein.

8. Entire understanding: This Form constitutes the entire understanding between you and YRF
with respect to the subject matter hereof and no addition to or variation of any terms of this Form
shall be valid unless communicated by a person duly authorized on behalf of YRF.

9. Formal written agreement: You further agree that no other obligations exist or shall exist or be
deemed to exist unless and until a formal written agreement has been entered into by and
between YRF and you, and the rights and obligations of YRF and you shall be expressed in said
formal written agreement. The compensation for your services shall be mutually agreed and shall
form part of such written agreement.

3In case, the Material submitted is based on any literary work, is a biography or is based on any existing third-
party work, the person submitting the Material must disclose the same and all the requisite approvals, licenses
should be attached to this submission release form as Annexure A.

10. Governing Law and Jurisdiction: This Form shall be governed by and construed in accordance
with the laws of India. and the courts in Mumbai shall have exclusive jurisdiction to settle any
disputes arising out of or in connection with this Form.
