ANNEXURE - GENERAL TERMS AND CONDITIONS
Definitions
"Agreement" means, this written agreement, including Terms & Conditions and any Addendum to them, made between Buyer (means the entity issuing the order) and Prama Hikvision India Pvt. Ltd.
(PHIPL) for the Deliverables. "Buyer" means the entity issuing the order. "Deliverables" means products, equipment and parts (collectively "products"), software and services, each supplied under the
order. "Order "means a Buyer purchase order accepted by PHIPL.
Prices
The prices given/ Quoted by PHIPL shall be binding on to the Buyer. PHIPL reserves the right to revise the prices (with or without prior notice) at its sole discretion.
Taxes
“Taxes and duties” mean any direct and indirect taxes, other than taxes which may be liable to pay at the stage of assessments or adjudication proceedings, levies or fees as may be applicable presently or
as may become applicable in the future.
Prices quoted by PHIPL shall be exclusive of including but not limited to Goods and Services Tax (GST), Tax Collected At Source (TCS), any other applicable taxes and duties, levies and shall be charged
additionally. It shall be sole responsibility of the Buyer to comply with the Statutory forms/ declaration/ undertaking obtained from the Government authorities with respect to any orders. All statutory
levy applicability with respect to dispatch of goods including but not limited to taxes, duties, levies, any charges, road permit, statutory forms or any other statutory dues applicable for dispatch of
products shall be responsibility of the Buyer. The Buyer shall be solely responsible for submitting the evidence for claiming any exemption/ reduction / deduction in the statutory taxes and duties. In the
event of failure to submit the evidence, PHIPL shall charge including but not limited to differential taxes and duties, interest, late fees, penalties, associated costs, any other levies etc. In the event that
Buyer non-comply with the any of the provisions of or shall not provide the necessary and required documents required by the various regulations including but not limited to Income Tax, GST, any other
fiscal and/or statutory regulations, by whatever named called, within in a reasonable period upon reasonable request therefore, then the Buyer shall indemnify to the PHIPL for amounts including but not
limited to taxes, interest, penalties, late fees, fines, surcharge, any other associated costs, any other levies, by whatever named called, imposed upon PHIPL with respect to any matters including but not
limited to any reversal of input tax credit (‘ITC’) or late filing of returns or payment of such amounts including but not limited to taxes, interest, penalties, late fees, fines, surcharge, any other associated
costs, any other levies, by whatever named called, resulting directly or indirectly from such non-compliances or such breach or such non-provisioning of requested documents by the Buyer. The Buyer shall
be liable to pay Goods and Service Tax (GST) and other applicable taxes imposed by law including but not limited to taxes, interest, penalties, late fees, surcharge, any other levies, by whatever named
called, in case of any change in tax rate, law, interpretation, demand or determination made on PHIPL by the tax/ any other Government authorities.
Purchase Order
The Buyer shall issue purchase orders and each purchase order shall be accompanied by relevant details. All purchase orders are subjected to acceptance by PHIPL. PHIPL reserves the right to reject any
order placed by the Buyer without assigning any reason whatsoever and without incurring any liability of any kind. Provided however that if PHIPL accepted an order, the Buyer shall not be entitled to
cancel the order, Unless PHIPL accepts any such a cancellation request in writing.
Shipment & Deliveries
All Shipment are made from PHIPL. Warehouse/ branch unless specified. Risk of loss shall be deemed to pass to Buyer upon delivery of the product by PHIPL to the carrier or delivery service, as specified
by the Buyer. Buyer assume all the risk of loss in the Shipping and all Liability for loss of damage, whether direct, indirect consequential or otherwise due to delays or others reason once the the product
have been delivered to the carrier. Title to Product shall move to Buyer only after the Buyer makes full payment to PHIPL for the supply of the Product.
Payment
Unless otherwise agreed, PHIPL will accept payment, at its own option, only through, NEFT, RTGS, Demand Draft Or Cross accounts payee chq of a scheduled bank drawn in Favor of PHIPL and same
should be sent to the nearest PHIPL branch or as may be specified by PHIPL. Title to Products shall remain with PHIPL until the Buyer has made payment in full to PHIPL of the Product Invoiced and any
other indebtness of Buyer to PHIPL. The Buyer acknowledges that until payment in full is not made to PHIPL. The Buyer will hold the goods in fiduciary capacity on behalf of PHIPL. Full payment shall be
made by the Buyer against each invoice. No deduction for any reason is allowed.in case of of payment delay against any one invoice all subsequent open invoice shall fall due Immediately. PHIPL reserves
the right at any time to revoke any credit extended to buyer if at anytime buyer's failure to pay for any product when due, In case of any cheque dishonored or for any other reason whatsoever deemed
good and sufficient by PHIPL and in such event all subsequent shipment shall be paid for in advance. If any invoice is not paid when due, buyer agrees to pay all cost of the collection including attorney's
fees whether incurred by PHIPL in or out of court, on appeal, in arbitration, in bankruptcy court, or in any insolvency proceedings.
Warranty and Service Policy
It is agreed between the parties hereto that the products sold by the Buyer shall have warranty from the date of sale invoice. It is further agreed that any manufacturing defect in the product sold by the
Buyer beyond the warranty period shall be exclusively dealt with by the end customer at his/its own cost without involving PHIPL. Other Terms of Warranty includes 1. Warranty period is for one year from
the date of purchase against the manufacturing defects. It shall be limited to the repairs only. 2.If any manufacturing defects are found within first month from the date of purchase, PHIPL can extend its
support and replace the product with new one provided certain conditions fulfilled. 3.Warranty policy is valid only if it is specifically declared by PHIPL expressly either through CRM, Sales Invoice etc. any
other alleged commitment by PHIPL personnel or any other verbal sources will not be entertained. 4. After one month, within warranty period, any product comes for service or repair, PHIPL will perform
the repairing procedure on the products. The period for repair will not be committed as it depends on the nature of the repair and sometime PHIPL may have to send it to manufacturer for repairing
purpose. 5.Warranty for replacement and/or repairing becomes void if there is any malfunction, defect or failure caused by or resulting from the evidence if impact, mishandling, tempering, use contrary,
incorrect power-line voltage, burn, fire, flood or other act Acts of God, shipping damage or any sort of damage, resulting repair performed by unauthorised personnel. 6.Routing Cleaning, normal cosmetic
and mechanical wear and tear are not covered the terms of warranty. 7. When returning product or service please pack it carefully, insure and attached original receipt of copy with brief explanation of
the problem. No need to attach any commercial invoice or value. 8. This warranty does not cover the postal cost, insurance and any other incidental charges. 9.Warranty policy can be modified can be
changed by PHIPL without any prior Notice. 10.Warranty of any products limited to repairs and such warranty does not cover the outer body of any products which is damaged in any way of transit or
mishandling of products or due to improper installation of products.
Intellectual Property Rights
Intellectual Properties means Trademark/copyrighted/ Design/patented material / products/ items hereunder, the name, trade name, brand name, trademarks, logo, service mark or trade name, whether
registered or not, used to represent or describe the Products either manufactured by or traded by PHIPL and the valuable goodwill and reputation attached (hereafter referred to as “ intellectual
properties ”.) shall always remain the sole ownership of PHIPL.
Termination
PHIPL reserves the right to terminate the Buyer account and act as may be necessary to recover any dues from the Buyer including encashment of bank guarantee / forfeiture of the security deposit
amount. PHIPL reserves the right to review its business relationship with Buyer, change the discount offered or terminate a relationship with the Buyer at its sole discretion. Either party shall settles its
liabilities at the time of such termination.
Waiver
No waiver from PHIPL on any of these terms shall be deemed to constitute a waiver of any other terms or a waiver of the same or any other provision with regard to the portion of transaction or future
transactions. No waiver by course of conduct of Buyer usage can occur.
Buyer
We, the Buyer with this registration form hereby also undertake to indemnify and keep indemnifying PHIPL for any loss or damages if any incurred or to be incurred by PHIPL based on aforesaid
information by me/us in relation to Foreign Exchange Regulation Act, 1999 and or any regulatory law for the time being in operation and will be in operation while dealing with PHIPL. PHIPL has dealt with
us solely on the basis of reliance on this registration cum undertaking and considering us not as an end consumer/user of the Security Surveillance Products to be procured from PHIPL. In case of any loss,
damages caused to PHIPL due to any misstatement given in this undertaking, we stand as guarantor to indemnify and keep indemnifying PHIPL from all the penal actions, regulatory actions and resultant
imposition of any fine, penalty or any other levy, losses, damages so caused/to be caused to PHIPL out of the business transaction(s) so entered/to be entered with PHIPL as a result of any false or
misstatement in this undertaking. We at our risk and responsibility would like to get ourself registered with PHIPL under this registration cum declaration of undertaking to safeguard the mutual interest.
Applicable Laws & Jurisdiction
The Parties agree that this Agreement shall be governed by laws of India and the competent Courts in Mumbai only shall have exclusive jurisdiction to entertain, try and dispose off any issue in respect of
the same.

regulations and regulations by us.
We hereby confirm that the information furnished herein is true and correct and acknowledge our obligation to forthwith
intimate PHIPL in the event of any change therein.
In an event of misrepresentation or misstatement of facts by us in the above declaration, we shall indemnify PHIPL for all
including but not limited to taxes, duties, penalties, late fees, charges, levies, surcharge, interest, any other incidental costs
or expenses incurred by PHIPL because of such misrepresentation or misstatement.
