CONTRACTOR AGREEMENT

This agreement (“Agreement”) is entered into as of the 28th day of November 2024 (“Effective Date”) between
Vincent Liccardi(“Client”) a client organized and existing under the laws of UK with its office located at FrankenstraBe
146, 90461 Nuremberg, Germany and Conor Foley (“Contractor”). Client and Contractor may each be referred to in
this agreement as a “Party” and collectively as “Parties”.

In consideration of the mutual terms, the Client and Contractor hereby agree to engage under the following terms and
conditions:

1. Services
The Contractor agrees to provide professional services related to software development services to the Client for a
period of maximum of 4 weeks.

2. Compensation
The Client shall pay the following wage to the Contractor for the services rendered to the Client:
A fee of $2500 in bi-weekly basis will be paid to the Contractor. The payment shall be made on the last working date
of this contract and the mode will be international wire transfer.

3. Duration of the contract


Max duration is 4 weeks from the start date. At the end of the contract, a full time opportunity may be offered to the
contractor.

4. Working hours:
Regular working hours, 5 days a week.

5. Termination
This agreement is liable for termination at any time by either Party giving written notice to the other Party.

6. Confidentiality
All Client information considered confidential shall not be shared with others. Upon expiration or termination of this
Agreement, the Contractor will immediately cease all access to information of the Client and delete or return all
confidential information

A breach of confidentiality as specified above may serve as cause for termination of Agreement.

7. Indemnity
The Client shall indemnify and hold Contractor harmless for any acts or decisions or against any damages made in
good faith while performing services for the Company.

8. Entirety
The terms and conditions set forth herein constitute the entire agreement between the Parties and supersede any
communications or previous agreements with respect to the subject matter of this Agreement. There are no written or
oral understandings directly or indirectly related to this Agreement that are not set forth herein. No changes can be
made to this Agreement other than in writing and signed by both Parties.
9. Miscellaneous

This agreement shall be construed in accordance with and governed by the laws of Germany.

Should any dispute arise at any time, the Parties will confer in good faith to resolve promptly such dispute. If the
Parties fail to reach a settlement, then at the request in writing of any Party to the Dispute, such Dispute shall be
settled by arbitration and the place of arbitration shall be remote and the arbitration proceedings shall take place in the
English language.

IN WITNESS WHEREOFF, THE PARTIES HERETO HAVE EXECUTED THIS AGREEMENT WITH THEIR
SIGNATURES
