Dear Mrs. Tezza,

It gives us pleasure to confirm our offer to you to join Baker Tilly Consulting (the “Firm”). Find
below the salient details of the offer.

1. Term of Contract
Your joining date will be 10th August 2024 subject to the necessary visa requirements
being met and approved. The terms and conditions mentioned below will take effect from
the date you join the “Firm”.

This Contract is on yearly bases, and it will be automatically renewable unless written
notification is made by either party with the agreed upon notice period (see Notice Period
clause). Your employment is subject to the local laws in Bahrain and to the Firm’s internal
policies and procedures. The Firm reserves the right to change, replace or withdraw these
policies and procedures at any time at its discretion.

2. Areas of Responsibility
You will be employed as Business Development Manager and will directly report to the
Managing Director of the “Firm”. You will be based in Manama, Bahrain. You will be
expected to travel outside to other countries in the Middle East and North Africa as the
business may require.

3. Remuneration
Your first day of employment and therefore of payroll accrual, will be the first working
day for you in Bahrain.

Your basic salary will be BD 400 (Four Hundred Bahraini Dinars Only) per month.
Remuneration is paid in monthly payments in arrears and subject to social security
deductions (if applicable or introduced by the authorities).
You are eligible for an annual review of salary based on performance. Annual targets,
performance appraisal and reviews apply in accordance with the “Firm’s” performance
management system.
You will be entitled to end of service benefits as per the Labor Law existing in Bahrain.
You will be on probation for a period of three months from the date you join the “Firm”,
which can be extended to six months at the “Firm’s” discretion.

4. Housing Allowance
Your housing allowance will be BD 100 (One Hundred Bahraini Dinars only) per month
and subject to social security deductions (if applicable or introduced by the authorities).

5. Phone Allowance
Your phone allowance will be BD 30 (Thirty Bahraini Dinars only) per month and subject
to social security deductions (if applicable or introduced by the authorities).

6. Transportation Allowance
Your transportation allowance will be BD 70 (Seventy Bahraini Dinars only) per month
and subject to social security deductions (if applicable or introduced by the authorities).

7. Health Insurance
You will be eligible to Health Insurance benefits effective the first of the month, following
your Probation Period. Health Insurance benefits will terminate on the last day of the
month of the event of termination / retirement.

8. Working hours
The Standard working week is 45 hours from Sunday to Thursday. The standard working
hours may vary during the Holy Month of Ramadan. As is normal in our profession,
overtime may be required during the busy season and your basic salary takes account of
this. Accordingly, no overtime is payable.

9. Annual Leave
You will be granted an annual paid leave of 22 working days for every twelve months of
working at full salary, and at dates acceptable to management, in accordance with
Bahrain Law, provided that the annual leave for the first year of service will become due
after the completion of one year of employment. You will also be entitled to official
holidays as per the “Firm’s” regulations at full salary.

10. Home Leave


The Firm supports its employee’s family by providing round-trip home-leave economy
airfare tickets, every two years, for employee and the spouse and up to two children to
and from his current place of residence provided such time is not inconsistent with the
needs of the firm.

11. Indemnity
In case the Firm wishes to terminate your employment, you will be granted a leaving
indemnity for the period of your employment calculated on the basis of fifteen days’
wages for each year of the first three years of service and of one month's wages for each
year of service thereafter. However, in case you wish to terminate your employment, you
will be granted to the payment of one third of the leaving indemnity if the period of his
service is not less than three consecutive years and not more than five years; and you will

be granted to payment of the full leaving indemnity if you resign after the completion of
five years of service.

12. Annual Performance Related Bonus


The “Firm” may, in its discretion, award you a bonus from time to time. The determination
of any bonus shall be subject to certain criteria, which include the performance of the
“Firm” and your performance. Awards under this clause do not form part of your salary
and shall not give rise to any entitlement or expectation of a bonus or be an indication of
the level of any bonus that may be made in the future. Furthermore, bonuses due under
this clause predicated on the basis that you are an employee in good standing with the
firm at the time bonuses are payable.

13. Learning, Professional Qualifications & Development


The “Firm” supports its employees in acquiring professional qualifications appropriate to
their roles, approved by management. The “Firm” also offers numerous opportunities for
learning and development whether on the job, through e-Learning, through self study or
in a structured classroom led training. It is the responsibility of each employee to take
advantage of these opportunities and own their development and learning. All cost of
acquiring professional qualifications that you may be asked to take shall be payable by
the “Firm” upon completion and receiving the certificate.

14. Confidentiality
It is vitally important to treat as strictly confidential all concerning our Firm’s and clients’
business and affairs in general. Grave and far reaching consequences could result from
the breach of this requirement. You must, therefore, observe a strict code of
confidentiality and ensure information acquired in the course of performing professional
services should neither be used nor appear to be used for personal advantage or for the
advantage of the “Firm”, another client or third party. Employees may not communicate
information acquired in relation to client or firm affairs (property, trade, business or
general affairs) to any persons outside the “Firm”. The requirement of confidentiality
continues after the completion of an engagement or assignment, even after the end of
the relationship between the “Firm” and the client, or the relationship between the
employee and Baker Tilly.

15. Independence
It is a condition of your employment with the “Firm” that you agree to comply fully with
the “Firm’s” independence and ethics all times during your employment with the “Firm”.
You should also be aware that, in certain cases, such independence requirements may
also extend to your spouse, partner, immediate and close relatives. The “Firm” will
monitor your compliance with all current professional and regulatory pronouncements
and the “Firm’s” independence and ethics policies. You will be required to sign an
independence declaration on joining the “Firm” and annually thereafter. A full definition
of our independence policies will be provided to you.

As technology continues to permeate all aspect of modern life, threats to business and
personal data from security issues increase. Corporate investments in technology
security protections have grown. Seemingly innocent mistakes can lead to information
theft and irreversible damage to Baker Tilly or to our personal lives.
In order to further educate Baker Tilly people on threats such as phishing, social
engineering and similar tactics, you will be required to take the Baker Tilly Information
Security Awareness Session within the first two weeks of your commencement of
employment.

17. Notice Period


Should you or the “Firm” wish to terminate your employment, a one month notice is
required, unless termination is by cause according to the “Firm’s” policies and Bahrain
Labor Laws. Termination terms will at all times be in accordance with the Bahrain Labor
Laws.
Maintaining professionalism, respecting client commitments and continuing to abide by
the rules and regulations of the “Firm” are expected throughout the notice period.
Should your employment with the “Firm” comes to an end for any reason whatsoever,
then the “Firm” will recover from you, at the time of your departure, the unamortized
balanced related to settlement cost incurred as a result of your employment with us.

18. Non-Compete agreement


You acknowledge that you will not contract with any existing Baker Tilly clients in respect
of the services offered by Baker Tilly for a period of one year from the date for contract
termination and will not engage alone or in collaboration with others in bidding for or
providing services that Baker Tilly will be proposing for unless prior clearance is obtained
from Baker Tilly Managing Director. You will also refrain from soliciting or employing any
Baker Tilly’s employees and from working with or becoming an employee or a contract of
any of the competing Firms in Bahrain.

19. Conditions of Contract


This contract is subject to:

• A probationary period of 3 months from your joining date.


• Obtaining positive references on your previous employment and a copy of your
credentials (educational and professional certificates).

20. Acceptance
This contract is strictly confidential and not to be discussed with any third party,
otherwise it is rendered as cancelled.

If you agree to the terms set out herein, please sign this contract and return it to us,
together with your full passport particulars and all your qualifications and certificates.
