LEASE AGREEMENT

FOR COMPREHENSIVE ACCOMMODATION PROGRAM

Lease Period: From 1st February 2024 to 31st January 2026 (Two Years)

The Lease Agreement is made in Dhaka, Bangladesh on 31th January 2024 of the Christian Era

BETWEEN
Dhaka Property Bazaar, Represented by Mr. Mehedi Hassan, Managing Director, with its Principal
place of business at Level-4, Plot-19-20, Road-113/A, Gulshan-2, Dhaka-1212 and National ID No:
19918613683000050 (hereinafter referred to as the “LESSOR” which expression shall, unless excluded
by or repugnant to the context, include his/her heirs, executors, successors, legal representatives,
administrators and assigns) of the ONE PART

AND

Dr. Kamrul Ahsan (Group Chairman- VERSATILO) Address:…………….. Bangladesh. Contact


Number +880 171 505 7715, NID NO: ……………….(hereinafter Referred to as the “LESSEE”) of the
OTHER PART.

WHEREAS, the LESSOR of the premises has absolute capacity to represent the owner to sign and
execute tenancy agreements and is sufficiently entitled to and in possession of premises as situated at
Road # 114, House # 25, Flat A4, 2200 Sqft Gulshan-2, Dhaka-1212.

AND WHEREAS, the Lessor has full power and authority to lease the said Premises by virtue of the said
ownership and has the necessary and required permission from the requisite authorities for the use and
occupation of the said Premises.

AND WHEREAS, the Lessee will use the premises for residence.

AND WHEREAS, the Lessee has offered the Lessor to take to occupy and use the said Premises.

AND WHEREAS, the Lessor had agreed to allow the Lessee to use and occupy the said Premises for the
aforesaid purposes for a period for the agreement on the terms and conditions mentioned below.

The Lessor of the premises located at Road # 114, House # 25, Flat A4, Gulshan-2, Dhaka-1212,
Bangladesh; hereby leases the premises in furnished condition and the Lessee has agreed to take on lease
the aforementioned apartment with all its fittings and fixtures, hereinafter referred to as the “demised
premises” for a period of two (02) years commencing from 1st February 2024 to 31st January 2026 on the
terms and conditions set forth herein below:
WHEREAS, both the parties have agreed to entered in to a residential lease agreement under following
terms and condition:

TERMS AND CONDITIONS

1. Lease of the Demised Premises: The demised premises are leased to the Lessee on a monthly rental
amount of BDT 95,000/- (Ninety Five Thousand Taka Only) including furnished unit and building
management fee. Excluded from the rent are power, AIT, Gas, Garbage, Internet, Dish bill and
housekeeping which shall be paid by the LESSEE at actual on a monthly basis.
2. Monthly Rent (monthly): The LESSEE shall pay the monthly rent, BDT 95,000/- (Ninety Five
Thousand Taka Only). The LESSEE shall pay on a monthly basis rent (one month in advance/ current
month).
3. Security Deposit: In addition to the advance rent, the Lessee shall also pay security deposit of One
(01) months, equivalent to Tk. 95,000.00/- (Ninety Five Thousand Only) at the time of signing the
agreement Payment as One Month Security deposit will be Paid to the LESSOR. LESSOR
shall be refunded to the LESSEE at the time of vacating the premises, after observing the
apartment condition and according bills.

4. That 10% of the monthly rent will be increased after expiry of Two (02) years
from execution of this agreement.

5. Mode of Payments: The Lessee shall pay the rent of the Demised Premises on or before 7th day of
each month for which rent is due i.e. the current month, LESSEE shall pay amount on Bank A/C No:
011211100019810, Account Name: “Dhaka Property Bazaar”, Bank Name: First Security Islami
Bank Ltd. Gulshan Branch, Swift Code: FSEBBDDH.

6. Termination for non-payment: In case of non-payment of the monthly rent for two (02) consecutive
months, the agreement will automatically stand terminated, and the LESSOR will acquire the legal
right to adjust the due bill with the advance rent / security deposit and evict the LESSEE.

7. No Nuisance, Annoyance, Illegal Activity, etc .: The LESSEE shall not conduct (OR suffer) upon
the demised premises any act which may at any time become a nuisance or a cause of annoyance to
the neighborhoods or do anything injurious to the reputation of the demised premises. The LESSEE
shall not carry out any unlawful or unsocial activity in the demised premises, and shall not do any act
which is prohibited by the Government of Bangladesh. The LESSEE will not keep any explosive
substance or store any goods for sale or stock at the demised premises. The LESSOR shall not be
responsible for such misdeeds.
8. No Sublet, etc.: The Lessee shall neither sublet any portion of the premises nor use it for any purpose
other than the reason the premises had been rented for.

9. Payment of Utility Bill: That the LESSEE shall pay the Electricity, Gas, Garbage, Internet, Dish Bill
for the Demised Premises during the lease term.

10. Maintenance & Repair by the LESSEE: The LESSEE shall do all minor repairs of
sanitary, Electrical fittings, Glass panes, Hinges etc. of the Leased Premises at
their own cost (Not more than TK 5000.00)
11. At the time of departure: the Lessee shall have the right to remove from the demised premises all
fittings and fixtures that the Lessee shall install in the demised premises.
12. Inspection by LESSOR: The LESSEE shall allow the LESSOR or his representative to visit the
demised premises at the convenience of both parties at a reasonable hour after prior intimation (Email
or Verbal Communication) to the LESSEE in the presence of LESSEE or his/her representative.
13. Inspection by Prospective Tenant: The LESSEE shall extend all reasonable facilities and co-operate
with any prospective tenant to inspect the premises, and will allow the LESSOR to display notices for
renting the premises and advertise in relevant media from one month prior to the expiry of this Lease.
14. Quiet and Peaceful Surrender of Premises by the LESSEE: The Lessee shall quietly and
peacefully surrender / handover the demised premises to the Lessor, subject to natural wear and tear,
in the same state and condition as it was at the commencement of the lease; (fair wear and tear
acceptable without any serious damage caused to the premises).
15. Systems Maintenance: The LESSOR shall ensure that systems of electricity, gas and water are
operational. Any damage caused to any system by the LESSEE shall however be the liability of the
LESSEE. And any damage that is not caused by the LESSEE shall be repaired by LESSOR without
delay.
16. Termination by Notice: Either party will have the option to bring closure and/or terminate this lease
by serving a prior written notice of two (02) months to the other party.
17. Renewal: The LESSOR may agree to renew the lease agreement for a further period on such terms
and conditions as may be mutually agreed by both parties on written request from the LESSEE three
(03) months prior to the expiry of the agreement.
18. Damages: The LESSEE shall be responsible for payment to the LESSOR for all damages that may be
caused willfully or negligently to the demised premises or any part thereof. The Lessee shall deliver a
set of keys to the Lessor or the authorized representative of the Lessee, if the Lessee departs the
country temporarily, so that in case of fire or any such incident, the Lessor shall enter the premises
and do the needful. The Lessee shall be held liable if any such instances occur owing to the Lessee`s
negligence.
19. Governing Laws and Disputes:
18.1 The Agreement shall be governed by the laws of Bangladesh. It shall be executed in two
copies and each party shall retain each such copy.

18.2 The validity, performance and all matters relating to the effect of this Agreement, and any
amendments hereto shall be governed by the laws of Bangladesh.

18.3 If any dispute between the parties as to the effect, interpretation or application of this
Agreement, or as to their rights, duties or liabilities thereunder, or as to any act matter or thing
arises out of, consequent to, or in connection with this Agreement (hereinafter referred to as “the
Difference”) the Parties shall endeavor to resolve the same amicably through negotiations.
18.4 In the event that the Difference is not resolved by means of negotiations within a period
of 30 (thirty) days, or such different period as is agreed between the Parties, such difference shall
than be referred to and settled by arbitration by sole arbitrator, to be appointed by the Parties
mutually. The arbitration proceeding shall be in accordance with the provisions of the Arbitration
Act, 2001 and the decision of the arbitrator shall be final and binding upon the Parties.

18.5 Unless otherwise agreed to by the parties, the venue of Arbitration proceedings shall be
Dhaka, Bangladesh and the language of the arbitration shall be English.

20. This agreement between the parties shall supersede any previous agreement / written letter or oral
communication in relation to the Demised Premises.
21. List of furniture and appliances provided for residence attached with this Agreement as
Annexure and the Annexure is treated as integral part of this Agreement.
22. Force Majeure:
i) The Lessee shall not be liable for any damage or loss due to any event causing the Demised
Premises or any part thereof being wholly or partially destroyed or unusable or unfit for the
purpose for which it is rented due to earthquake, fire, storms, flood, civil commotion,
enemies of the state, riot, political disturbances, other irresistible forces beyond human
control, or any other event beyond Lessee’s control.
ii) Emergency Evacuation: God forbid, if in case the demised premises or any part thereof shall
at any time during the said term be destroyed by any other irresistible force not caused by the
act or default of the Lessor (or their servants or agents) or any pandemic so as to render the
demised premises unfit for the purpose for which it is rented, this Agreement for Tenancy
shall be terminated at the agreement of both parties with a notice period.
23. Car parking: 01(One) Car Parking.
24. This Lease Agreement shall be governed by and construed in accordance with the laws of the
Peoples Republic of Bangladesh
IN WITNESS HEREOF the parties have signed this Lease Agreement on the date, month and
year mentioned herein above accepting the Terms and Conditions thereof.

SCHEDULE

The premises situated at Road # 114 House # 25 (4 th Floor), Flat A4, Gulshan-2 Dhaka-1212, Bangladesh
comprising of fully furnished 3 bed rooms with attached bathroom, a bedroom, drawing room, dining
room, kitchen, 2 Balcony & Servant room & Toilet.

In witness whereof the parties hereto have executed these presents on the day month and year above
written.
