LEASE AGREEMENT
This Lease Agreement (hereinafter referred as the “Agreement”) is made and executed at
Kolkata on day, 1st June, 2022 (Effective Date).
BY and BETWEEN
Sri Tarkeshwar Pandey (Aadhar Card No: 3186 1179 8650) S/o Sh. Shiv Prasad Pandey, aged
about 62 Years, permanent residents of 5/9 Haru Mistri Lane, Howrah Corporation, P.O B.
Garden, Dist. Howrah, Pin- 711103. Hereinafter referred to as the “LESSOR”, which expression
shall, unless repugnant to the context thereof, mean and include its successors, executors,
administrators, legal representatives, and assigns, of the FIRST PART.
AND
Mr. Satyabrat Pandey( Aadhar No. 5388 4287 9735) S/o Sri Tarkeshwar Pandey, aged
about 30 Years, permanent residents of 5/9 Haru Mistri Lane, Howrah Corporation, P.O B.
Garden, Dist. Howrah, Pin- 711103. Hereinafter referred as the “LESSEE”, which expression
shall unless repugnant to the context or law thereof mean and include its successors,
executors, administrators, legal representatives, and assigns of the SECOND PART.
RECTICLES
WHEREAS, The LESSOR and LESSEE collectively shall be called as ‘the parties’ and individually
as ‘Party’.
WHEREAS, the Lessor of this agreement is the owner and in possession of the Lease premises,
situated on mentioned premises along with parking area as per the schedule given here under,
referred to as “said premise/demised premise”.
AND, WHEREAS the Lessor on request of Lessee has agreed to grant Lease under the terms of
this Agreement the Demised Premises for carrying out its business, inter alia, for a specified
period of Seven years i.e. from 1st June, 2022 to 31st May, 2029. This Agreement shall be
extended and renewed for such further period as may be mutually agreed between the
parties. The lessee has agreed to take on lease the same, subject to the covenants, conditions
and stipulations, hereinafter in these presents expressed and contained.
NOW THIS DEED WITNESSETH AS FOLLOWS
1. In pursuance of the said agreement and in consideration of the rent hereby reserved
and of the covenants, conditions and stipulations hereinafter contained and on the
Lessee’s part to be paid, observed and performed, THE LESSOR HEREBY DEMISES
UNTO THE LESSEE ALL THAT the building situated at Howrah Municipal
Corporation, Holding No. 361/B and 387 G.T. Road (South) and hereinafter
called as the demised premises, TOGETHER WITH ALL the fixtures and fitting
therein, TOGETHER WITH the electrical installations and together with the right for
the Leesse, its successors, executors, administrators, legal representatives, assigns
and persons authorized by the lessor to use the demised premises for the purpose of
ingress thereto, TO HOLD the demised premises unto the Lessee for the period of
Seven Years only commencing from 01.06.2022 and determined on 31.05.2022
but determinable earlier as hereinafter provided PAYING therefore unto the Lessor
during the said term monthly rent of Rs. 2000/- (Rupees Two Thousands only) per
Month payable by the 10th day of the each succeeding calendar month to which it
relates.
2. That, it is agreed between the parties that, the duration of this Lease Agreement is
valid for a period of Seven years which shall commence from 1st June, 2022 and
valid till 31st May, 2029.
3. This Agreement may be extended and renewed for such further period as may be
mutually agreed between the parties.
4. That is mutually agreed between the parties that the monthly rent of the said
premise is Rs. 2000/- (Rupees Two thousand only) .The said Rent is exclusive of
all taxes and duties as applicable.
5. The Lease amount shall be calculated from the 1st to Month end date of every
Calendar Month
6. This Lease agreement shall be according to English calendar month, and the Lessee
shall pay the above said rent on or before 10th day of the succeeding English
calendar month to the Lessor.
7. The lessee hereby covenants with the lessor as follows:
a. To pay the rent as aforesaid on the days and in the manner aforesaid.
b. To pay the electricity bills for the electricity consumed for lighting the
demised premises and for operation of air conditioners, fans, computers and
electrical appliances in the demised premises.
c. Permitted to make any structural alterations into or upon the demised
premises or make any alterations or additions to the external appearance or
any part of the demised premises without the previous consent of the Lessor
according to requirement.
d. To use the demised premises for shop purposes of the Lessee.
e. Not to place or keep or permit to be placed or kept on the demised premises
any offensive, dangerous or highly inflammable or explosive material or any
other article or things, which may constitute a danger, nuisance or
annoyance to the demised or surrounding premises or the owners or
occupiers thereof.
f. Lessee shall have the right, without the need to obtain Lessor’s prior
consent, to sublet any part or parts of the demised premises and
to assign, encumber, or renew any sublease so long as it comes under his
Lease tenure.
g. To hand over the peaceful possession of the demised premises at the end or
the sooner determination of the said term together with all the Lessors
fixtures and fittings in as good condition as received, fair wear and tear,
damage by fire, acts of God, riots or other civil unrest, war, enemy action
and/or other cause not within the control of the Lessee, being excepted.
h. To replace all broken fittings and fixtures by equally good or better
substitutes.
i. To insure and keep the demised premises insured against loss or damages by
fire with an insurance company approved in writing by the Lessor for an
amount which shall not be less than the fixed amount.
j. The Lessee agrees to indemnify and hold harmless the Lessor for all its
business activities including but not limited to statutory dues, municipal
taxes and other charges.
8. Notwithstanding any other provision of this agreement, the Lessor shall have the
right to terminate this agreement at any point of time during the period of the lease.
a. The provisions of this Agreement shall be governed by the Laws in force in
the Union of India, and any dispute arising from this Agreement shall be
subject to the laws of India.
b. The Courts in Kolkata shall have sole jurisdiction to entertain disputes
arising from / out of / as a result of this Agreement.
c. The Lessee will pay property taxes in respect of the demised premises due to
the government and corporation.
9. EXTENSION OF LEASE
At the end of the period as stated in the agreement, the lease will automatically
covert to month to month. In the event of termination, a written notice must be
served by the Lessee or the Lessor to the other at least thirty days prior to the end of
the agreement. If the Lessee decides to continue, he will pay the monthly rental or
decided otherwise and fulfil all other obligations in the agreement.
10.CHANGE OF TERMS
The terms and conditions of this agreement are subject to future change by the
Lessor after the expiry of the Lease Period after issuing a thirty-day notice stating
such change delivered to the Lessee. All changes made will be as per the governing
law in existence at the time of the Notice.
11. SEVERABILITY
Each paragraph of this lease agreement shall be and remain separate from and
independent of and severable from all and any other paragraphs herein except
where otherwise expressly indicated or indicated by the context of the agreement.
The decision or declaration that one or more of the paragraphs are null and void
shall have no effect on the remaining paragraphs of this lease agreement.
12.ENTIRE AGREEMENT
This document constitutes the entire Agreement between the Lessee and Lessor.
This Agreement cannot be modified except in writing and must be signed by all
parties. Neither Lessor nor Lessee have made any promises or representations,
other than those set forth in this Agreement and those implied by law. The failure of
Lessee or their guests or invitees to comply with any term of this Agreement is
grounds for termination of the agreement with appropriate notice to Lessee and
procedures as required by law.
SCHEDULE OF THE LEASED PREMISES
ALL THAT complete Shop being Shop No. A-2 in the ground Floor having a super built-up area of 84
Sq.ft. laying and situated and being the premises No. 361/A, G. T. Road (South), P.s. Shibpur, District-
Howrah within limit of Hawrah Municipal Corporation under its Word No. 40 bounded on the :
North by : Land and Building of Upendra Nath Das
South by : Grand Trunk Road (South)
East by : Property of Jharna Cinema
West by : Property of 361/B, G.T. Road (South)
IN WITNESSETH WHEREOF the parties hereto have herein unto set and subscribed their
respective hands on the day and year mentioned hereinabove.
