ADDENDUM TO OTP
Notwithstanding the terms and conditions of this offer to purchase and in the event of this offer being
accepted, the parties hereto agree as follows: In the event of any dispute arising between the parties,
which cannot be resolved between themselves within 14 days, they shall irrevocably and
unconditionally consent to the jurisdiction of the Motor Industry Ombudsman of South Africa to resolve
the dispute and shall accept the directives of the Motor Industry Ombudsman of South Africa without
any reservation or equivocation.
If the dispute cannot be resolved between the parties hereto through mediation, any of the parties
hereto may declare a dispute in terms of the arbitration rules as displayed on the MIO’s website or a
copy thereof can be purchased from the MIO. Both parties accept such arbitration rules in terms of the
Arbitration Act of 1965 as amended.
This will not exclude a party’s rights to bring an urgent application in a court of law with jurisdiction to
confirm its rights and to obtain an appropriate order

CONDITIONS OF SALE
1. APPLICATION
a. These terms and conditions shall apply to any contract for the sale of any goods by the Company, whether that contract arises out of any offer made by
the Company and accepted by the purchaser or any offer made by the purchaser and accepted by the Company including any such offer made by the
purchaser in response to a quotation from the Company.
b. This offer, quotation or sale is made without any other understanding, warranties, representations or inducements whatsoever on the part of the Company
or any person representing the Company except as recorded herein.
2. NEW PRODUCT WARRANTY
The purchaser confirms that he has read and understood the terms of the warranty as described in the manufacturer's warranty booklet and agrees to them as if
they where contained in this document.
3. PRICE
The prices quoted herein are nett prices, based on the manufacturer's suggested retail prices ruling at the date hereof, but the contract price shall be based on the
manufacturer's suggested retail price ruling at the time of delivery. The prices quoted herein are inclusive of Value Added Tax(VAT), unless the contrary is indicated.
Only such discounts as are reduced to writing and contained in this document will be of any force or effect.
4. TRADE-IN
The purchaser hereby warrants that the year of manufacture of any trade-in is correct as reflected, and should it be subsequently transpire that the trade-in is of a
different year of manufacture, then the purchaser agrees to pay to the Company on demand in cash the difference between the relevant years trade-in prices as
reflected in the Auto Dealers Digest or similar Motor Trade publication. The purchaser further warrants that the goods reflected as a trade-in are fully paid for and
free from all encumbrances. The purchaser indemnifies and holds the Company harmless against any claim by any third party arising out of the breach of this
warranty.
5. OWNERSHIP
Notwithstanding the delivery of any goods to the purchaser or the licensing thereof, the ownership of any goods supplied or installed shall remain with the Company
until payment in full has been affected. Notwithstanding the reservation of ownership, the risk in the goods shall pass to the purchaser upon delivery. Unless
otherwise stated, delivery shall be made at the premises of the Company, and the use of any outside carrier to carry the goods to the premises of the purchaser
shall be at the sole risk of the purchaser. It is further agreed that any outside carrier shall be an agent of the purchaser.
6. STOCK AVAILABILITY
The Company shall only be obliged to perform in terms of this agreement as stock becomes available from the manufacturer. It is accordingly specifically agreed
that the provision of such stock shall constitute a suspensive condition of the agreement. In respect of the obligations of the Company hereunder, time shall
accordingly not be of the essence. Should any delay arise, then provided the delay is reasonable, the purchaser shall not be entitled to cancel this agreement solely
on the grounds of such delay. Should delivery become impossible due to circumstances beyond the Company's reasonable control, this agreement shall, at the
election of the Company, lapse and the purchaser shall not have claim against the Company arising therefrom.
7. DELIVERY METHOD
It is recorded that new vehicles may have been driven from the factory of the manufacturer under their own power, or railed, but all speedometers are zeroed for
correct servicing. Once the vehicle is ready for delivery, the Company shall inform the purchaser of the time at which delivery shall be taken. Should the purchaser
not accept the delivery at the time, or within a reasonable period thereafter, the Company shall have the option, without prejudice to any other right which it may
have in law, to cancel this agreement and resell the vehicle to another purchaser.
8. VARIATION
No waiver of alteration to, or modification of any of the terms and conditions set out herein shall be binding upon the Company unless contained in writing and
signed by a duly authorised officer of the Company and by the purchaser.
9. LOSSES
The Company shall not be liable under any circumstances whatsoever for loss of profit or damage, direct or indirect, consequential or otherwise, alleged to be
sustained by a purchaser as a result of any delay in manufacture, or failure to deliver the goods where such a failure is either wholly or partly beyond the reasonable
control of the Company.
10. JURISDICTION
The Company shall be entitled, but not obliged, to institute proceedings arising out of any breach of this contract in any Magistrates' Court having the jurisdiction in
terms of section 28 of the Magistrate's Courts Act, no 32 of 1944, as amended, (or any relevant legislation substituted thereof) and the purchaser hereby consents
to the jurisdiction of such court in terms of section 45 of the said Act, notwithstanding that the amount in dispute may otherwise exceed the jurisdiction of such court.
11. PAYMENT
1. The Company price shall be paid by the purchaser free of Bank and other charges and shall be paid without any deduction or set off. Any promissory
note, bill of exchange, cheque or other negotiable instrument tendered shall not be a novation of the debt for which it is given and the purchaser
waives presentment, notice of dishonour and protest where applicable.
2. The Company shall not be entitled to refuse to deliver the vehicle to the purchaser until such time as the purchase price has been paid in cash or
finance facilities have been arranged to the satisfaction of the Company.
12. REQUEST QUOTE
1. In the event that I/we request Finance, I/we agree that the Toyota Dealer may submit an Application for Finance to Toyota Financial Services (SA) (Pty)
Ltd who are entitled to provide me/us, with a no obligation indicative finance quote.
2. I/we further consent to the sharing of my/our personal information within the Toyota Group of Companies, being Toyota South Africa Motors (Pty) Ltd,
Toyota Financial Services (SA) (Pty) Ltd and/or the Toyota Dealer network, for future marketing purposes.

1. I acknowledge that Bidvest McCarthy Toyota Woodmead has advised that it has conducted a pre-delivery inspection of the vehicle and that it has
not detected any material defects other than those pointed out to me.
2. I confirm that I have inspected the vehicle and that I am satisfied with its condition. There are either no defects that I can see, or those that are
present have either been pointed out to me, or that I have found myself are so minor, that I am prepared to accept the vehicle in its current
condition.
3. I have also inspected the extras I ordered as set out in the offer to purchase. I confirm that it appears that Bidvest McCarthy Toyota Woodmead
and its agents have installed these extras correctly and that these extras are also free of defects and that there are no extras installed other than
the extras I ordered.
4. I am also completely satisfied that this vehicle is as presented and represented in the advertisement / website / brochure / (or wherever displayed
to the public).
5. Bidvest McCarthy Toyota Woodmead has carefully explained to me what the manufacturer's warranties, maintenance plans/service plans (if
applicable) entail including the different specifications of the vehicle.
6. Bidvest McCarthy Toyota Woodmead has confirmed that there are no other documents relating to the vehicle in Bidvest McCarthy Toyota
Woodmead's possession that they have not given to me.
7. I am aware that a motor vehicle, and its various parts, are goods that could be dangerous and hazardous, and that if used contrary to
specifications and/or instructions, or if used incorrectly, or inappropriately, or in a manner or for a purpose for which these goods were not
designed, or if I abuse or misuse the items, then these goods could cause damage and harm.
PASSING OF RISK
8. I understand that I take all risk in the vehicle from now.
9. Bidvest McCarthy Toyota Woodmead has clearly explained to me that taking the risk in the vehicle today means that I must insure the vehicle as
from today. If I do not insure the vehicle correctly, and if anything happens to it or should any damage or harm be caused to it even if I leave it in
Bidvest McCarthy Toyota Woodmead's possession, then I will be liable for it.
