CONTRACT OF EMPLOYMENT
Please read this contract thoroughly and sign on the last page to confirm your understanding and
acceptance of the contract: signed copies must be returned to Zenith Grace Homes Human Resources
Department.
This contract of employment, is governed by and construed in accordance with the laws of England and
incorporates the statement employment particulars as required by S1 Employment Rights Act 1996 (as
amended), and other statutes, and is between:
The Employer: ZENITHGRACE HOMES of 75 Shelton St, London. United Kingdom. WC2H 9JQ.
And;
The Employee: SONIA MARIA CARDOSO DOS SANTOS of Rua da Bela Vista, n° 63 5° C. Monte da
Caparica. Setúbal. 2825-004.
1. Job Title and Duties:
Your job title is Welfare Support Assistant. This title does not limit your duties within Zenith Grace
Homes, and you may be required from time to time to do other work within your capacity, experience,
and appropriate to your grade and skills.
a. Duty Flexibility:
The job title does not restrict the Employee's duties, allowing for task assignments within their capacity,
experience, and grade.
2. Salary:
As part of your remuneration package, you are entitled to a monthly salary of 820 euros. Additionally,
you will receive an extra 120 euros for each financial donation, subject to all statutory and company
deductions in accordance with the law. It is important to note that both components of your salary—the
fixed monthly amount and the supplementary sum for financial donations—will be subject to various
deductions. These deductions encompass statutory requirements and company policies, ensuring
compliance with applicable laws. The deductions are designed to adhere to legal frameworks and
internal regulations, ultimately facilitating a transparent and fair compensation structure.
3. Reporting:
You are required to communicate and coordinate directly with your assigned Supervisor or Line
Manager. It is essential that you adhere to the company’s rules and regulations consistently. Your
compliance with these guidelines is expected at all times. Additionally, your conduct should consistently
align with the company’s values and interests, demonstrating a commitment to safeguarding and
promoting the overall well-being of the organization. This involves consistently acting ethically and
responsibly in all professional matters to ensure the company's best interests are upheld.
4. Tax:
In compliance with the IRS law in Portugal, Stamp Duty is applicable to gifts/donations situated in
Portugal at a rate of 10%. This makes you eligible for a 10% tax refund on all financial donations
received. The refund process will commence within 30 days of receiving a financial donation from a
donor. It is important to emphasize that you will not directly deduct the 10% from the received amount.
Instead, the account department will oversee the deduction process from any received amount. This
process will be completed within 30 working days, and the resulting amount (after deduction) will be
promptly transferred to your provided account details. Upon receiving the 10%, you will be responsible
for managing the payment to the IRS.
5. Right to Work:
You confirm that you have the right to work in Portugal. If this entitlement ceases during your
employment with Zenith Grace Homes, you will inform the Human Resources Department immediately.
Your employment is conditional upon you having and maintaining the right to work legally in Portugal,
and providing Zenith Grace Homes with such evidence as may be required to demonstrate that you have
such a right.
6. Obligation to Inform:
You are required to promptly inform the Human Resources Department if the right to work ceases
during the employment.
7. Reliance on Legal Right:
ZenithGrace Homes relies on the Employee to have and maintain the legal right to work in Portugal
throughout the employment.
8. Period of Continuous Employment:
No other period of employment with any previous employer counts for continuity purposes. Therefore,
your period of continuous employment with Zenith Grace Homes began on 1st December, 2023.
9. Repayment Obligations:
Zenith Grace Homes reserves the right to require repayment through deduction from salary or any other
acceptable method. This includes:
a. Any losses sustained in relation to the property or monies of Zenith Grace Homes, client,
donors, visitor, or other employee of Zenith Grace Homes, during the course of your
employment caused through your carelessness, negligence, recklessness, or through your
breach of Zenith Grace Homes's rules or any dishonesty on your part;
b. Any damages, expenses, or any other monies paid or payable by Zenith Grace Homes to any
third party for any act or omission for which Zenith Grace Homes may be deemed vicariously
liable on your behalf;
c. Any amounts of remuneration, expenses, or any other payments (statutory, discretionary, etc)
which are overpaid to you whether made by mistake or through any misrepresentation or
otherwise;
d. (On termination of employment) any holiday pay paid to you in respect of holiday granted in
excess of your accrued entitlement; and
e. Any other sums owed to Zenith Grace Homes by you, including, but not limited to, outstanding
loans or advances, or relocation expenses.
10. Leave Entitlements:
a. You are eligible to take paid leave, including maternity leave, adoption leave, shared parental
leave, and paternity leave, subject to satisfying the relevant eligibility, statutory, and policy
requirements for each type of leave. Further details on ZenithGrace Homes's policies relating to
such leave are set out in a separate document which is available from the People Services
Department.
b. Leave may also be granted in accordance with procedures laid down in ZenithGrace Homes's
Special Leave Policy available from the People Services Department. ZenithGrace Homes will
also comply with any leave required to be granted under statute including but not limited to
Jury Service; Compassionate Leave; Public Duties; Trade Union business. We may replace,
amend or withdraw ZenithGrace Homes's policy on any of the above types of leave at any time.
11. Termination:
The above notice provisions in this clause are subject to ZenithGrace Homes's right to terminate your
employment at any time without notice (or payment in lieu of notice) if you:
a. commit any serious or repeated breach of your obligations to Adferiad Recovery;
b. are guilty of any conduct which seriously prejudices or is likely seriously to prejudice
ZenithGrace Homes;
c. are unable to perform your duties properly due to sickness or injury for at least [three months);
d. are not or you cease to be eligible to work in Portugal.
12. Conflicting Work:
You shall not engage in any public or private work if, in the opinion of Zenith Grace Homes, there is likely
to be a conflict of interest or financial gain due to their status in Zenith Grace Homes, or if the
involvement could cause embarrassment or defamation of Zenith Grace Homes or a Group Company.
13. Codes of Conduct:
ZenithGrace Homes expects adherence to its Codes of Practice, fostering good relationships and
reputable dealings. Dereliction of care may invoke the Disciplinary or Performance Management
Procedure.
14. Other Business Activity:
Engaging in private work conflicting with ZenithGrace Homes' interests is expressly prohibited. The
Employee shall not engage in any work that hinders contractual obligations to ZenithGrace Homes.
15. Disciplinary Rules and Procedures:
a. Documented Details: Comprehensive details of disciplinary and performance management are
outlined in a separate document.
b. Non-Inclusion: These processes do not constitute part of the Employee's explicit employment
terms.
c. Appeal Process: The Employee is granted the right to appeal against disciplinary decisions,
following ZenithGrace Homes' prescribed procedure.
16. Data Protection:
Zenith Grace Homes takes its data protection obligations very seriously and complies with its legal
obligations under the General Data Protection Regulation and the Data Protection Act 2018 to protect
the privacy and security of your personal information. As a data controller, Zenith Grace Homes is
required to inform you how we hold and use your information. Full details of how we collect, use and
retain your personal information together with your rights and details of your data protection
obligations can be found in Data Protection Policy, which can be obtained from the Data and IT
Department. You should familiarise yourself with these materials.
17. Copyright and Intellectual Property Rights:
ZenithGrace Homes retains ownership of intellectual property rights for work created during the
provision of services.
18. Protection of Commercial Interests:
a. In the course of your service delivery you may have access to and be entrusted with information
in respect of the business and finances of Zenith Grace Homes and its dealings, transactions and
affairs; some of which may be of a confidential nature. You shall not, during or after the period
of your employment, copy in any form, divulge to any person whatsoever or otherwise make
use of any such information. This shall include any information concerning Zenith Grace Homes,
any Group Company, its or their finances or that of other persons or bodies with which Zenith
Grace Homes or a Group Company may have dealings of any sort (including, but not limited to,
donors and clients).
b. All notes, memoranda or confidential information concerning Zenith Grace Homes, any Group
Company or other persons or bodies with which Zenith Grace Homes or a Group Company may
have dealings that may be acquired in the course of your duties shall be and will remain the
property of Zenith Grace Homes. All such materials, and any other property belonging to Zenith
Grace Homes, shall be surrendered on termination of contract or at the request of the Executive
Team or their duly appointed officers at any time during the course.
19. Collective Agreements:
There are no collective agreements that directly impact the terms of the Employee's employment.
20. Miscellaneous:
a. In this contract, "Group Company" means any one of Zenith Grace Homes, its subsidiaries, its
holding company, or any subsidiary of its holding company (in each case as defined by section
1159 of the Companies Act 200.
b. The parties irrevocably agree that the courts of England and Wales shall have exclusive
jurisdiction to settle any dispute or claim that arises out of or in connection
21. Entire Agreement:
This contract supersedes all previous agreements between the parties starting from 1st December,
2023.
22. Changes to Terms:
ZenithGrace Homes reserves the right to make reasonable changes to the Employee's terms, with
adequate notification.
23. Confirmation:
I have read and thoroughly understood this Contract and willingly agree to be bound by its contents.
