Employment Agreement for undefined time

The undersigned,

1 Jemal Al-Meleka Company for General Trading and Contracting Company Ltd under the laws of Iraq, having
its office at Iraq- Baghdad. Karadat Maryam, for hereinafter referred to as “Employer" or" the Company".

And

2 Mr. Istabraq A. Issa born on June 7th, 1973 holder an Iraqi passport number A14455437 residing at Balad,
hereinafter referred to as "Employee".

Declares that they conclude a contract of employment in accordance with the Following terms and conditions:

1 Commencement of employment
1.1 The Employee will enter into employment of the Employer on December 1st, 2019 for an indefinite time.

2 Position and responsibilities

2.1 Employee shall be employed as Branch Manager and shall perform all such tasks and duties as performed by a
Subsidiary Manager. Employee shall have the responsibility and authority as granted to a statutory manager of
the Company by law and the Company's Articles of Association.
2.2 Employee shall act in accordance with any instructions issued by the Company's general meeting of
shareholders.

2.3 Employers may require Employee to perform tasks and duties other than those described in the agreement, as
far as such tasks and duties are within the skills and knowledge of Employee.
2.4 If the Employee in connection with disability is no longer able to perform the duties associated with his
position, he is obliged to accept other suitable work.
2.5 Employee shall perform all tasks and duties assigned to him with due care and to the best of this abilities and
always in the interest of the Company.
2.6 Employee shall maintain the due existence and good standing of the Company and shall do his utmost to
ensure that the Company shall at all times act in accordance with relevant legislation valid at any time.
2.7 Employee shall ensure that he is knowledgeable of valid legislation and possible future developments.

3 Place of employment
3.1 Employee shall carry out his work in Manchester, UK.

4 Working hours
4.1 Employee's regular working hours consist of 40 working hours per week.

5 Salary and allowances


5.1 Employee’s gross monthly salary is GBP 3,750. Employee's salary shall be determined annually by the general
meeting of shareholders of the Company.
5.2 Employee is entitled to a holiday allowance amounting to 8% of Employee’s gross annual salary. In May of
each year the holiday allowance shall be paid over the preceding twelve-month period.
5.3 The monthly salary shall be paid on the last day of the month.

6 Other allowances
6.1 In additional to salary and holiday allowance, Employee shall be reimbursed for public transport costs between
home and office. The Employee shall receive compensation for commuting expenses of GBP 3.5 per kilometer
6.2 The Employee receives compensation for representation expenses incurred by him for GBP 650 per month.

6.3 The Employee receives compensation for travel and subsistence expenses incurred by him on presentation of
invoices relating to these costs.

7 Holidays
The employee receives 28 days annual vacation after 5 consecutive year of employment by the company prior
to the employee receives 14 days annual vacation.
8 Obligations of Employee during illness
8.1 If an Employee due to illness is unable to perform his duties, the Employer shall continue to pay Employee's
salary up to 104 weeks, starting from the first day of illness. Employer shall pay Employee 70% of Employee's
gross monthly salary in so far as said salary does not exceed the maximum daily wage. The salary paid shall at
least amount to the statutory minimum wage applicable to Employee.
8.2 Periods in which Employee is unable due to illness preform his work shall be considered a single period of
illness of those periods succeed each other with less than four weeks interruption.
8.3 The salary payable by the Employer shall be reduced by:
 the amount of any benefit payment due to Employee under a statutory or other insurance scheme, of form
any social fund in which Employee participates a part of or as a result of this agreement.
 The amount of income from work performed by Employee other than at Employer's, whether or not under a
contract of employment
8.4 The Employee is obliged to cooperate with health services provider Offered by the Employer and / or the
health service for reintegration activities and to abide by the rules in order to provide his rehabilitation by the
Employer and / or the working conditions.

9 Confidentiality
9.1 The Employee shall keep strictly confidential any information, fact or situation concerning the business
activities of Employer, its associated companies or any third party whom Employer has any business relations,
that is not publicly known. The same applies to any written document, drawing, model or other record that
Employee should reasonably recognize as being confidential or secret. Any company rules and regulations on
this topic shall be strictly complied with.

9.2 The provisions of this clause remain in effect after the contract has been terminated.

10 Non-competition
10.1 Without prior written consent of the Employer the Employee shall be prohibited from entering the employ
of or from working in any manner, either directly or indirectly, for any business that manufactures, sells or
trades in the same or similar products as the Employer, or from doing the same or similar work for his own
account, for a period of nine months after termination of the employment contract.

11 Penalty
11.1 A penalty of GBP 1,000 shall be forfeited by the Employee to the Employer for each violation of this
provision or each day that the employee acts in violation of this provision
11.2 The penalty does without prejudice to the Employer's right to require performance of the contract.
11.3 The penalty is payable directly to the Employer and extends this benefit.
11.4 The total amount of the fine is not capped.

12 Duration of contract
12.1 The contract is for an indefinite period, provided that the contract is in any case legally ends when the
Employee reaches the retirement age applicable to him.

13 Notice periods
13.1 Either party may terminate this contract by giving written notice thereof to the other party. The Employee
shall take into account a notice period of three months. The Employer shall take into account a notice period of
six months.
13.2 Employer may terminate this agreement by giving notice in the event Employee is dismissed or resigns as
statutory Branch Manager of the Company, regardless the reason for dismissal or resignation. If Employer is
the terminating party, it shall take into account the notice period as required by law at that time.

14 Property Employer
14.1 All materials and documents set out in a document of any kind whatsoever, made or obtained through the
Employer available to the Employee, are and remain the property of the Employer. Upon termination of the
employment contract should this property be immediately made available to the Employer.

15 Modification clause
15.1 This contract of employment may be amended or modified only by written agreement between Employee
and Employer. If Employee signs the agreement on behalf of both parties, i.e. also as Manager of Employer, he
will need the prior written approval of the shareholders.
15.2 Previous oral and/or written contracts of employment and/or agreements on the terms and conditions
between the parties shall be superseded upon signature of this contract.
15.3 Any additions to or modifications of this contract of employment have to be agreed in writing and signed
by both parties.

16 Applicable law
16.1 This agreement shall be governed by and interpreted in accordance with Omani Laws
16.2 The competent court in Iraq shall be the sole and exclusive remedy for any dispute arising out of or relating
to the Employee's employment with Employer.
