                      EXECUTIVE SUMMARY
Motherson Sumi Systems Ltd. is a joint venture between Samvardhana Motherson
International Ltd of India and Sumitomo Wiring Systems Ltd. (SWS) of Japan.
Motherson" was established in 1975. Motherson Sumi Systems was established in
1986 as a Joint Venture with Sumitomo Wiring Systems of Japan.
MSSL has done 18 acquisitions, the first being in wiring harness in 2002. Few
major acquisitions by the company are that of rear view mirror business from
Visiocorp (now renamed as Samvardhana Motherson Reflectec) in 2009, Peguform
(now named Samvardhana Motherson Peguform) in 2011, wiring harness business
of Stoneridge Inc in 2014, PKC group in 2017, Reydel Automotives in 2018 and
Bombardier's UK rolling stock electrical component and systems business in 2019
which established Motherson as a global Tier-1 supplier to the major OEMs of the
automotive industry.
Motherson Sumi Systems is one of the largest manufacturers of wiring
harnesses for commercial vehicles and rearview mirrors for
passenger cars in the world and India's largest manufacturer of
automotive wiring harnesses and mirrors for passenger cars.

Motherson Sumi Systems Limited (MSSL) (NSE: MOTHERSUMI) is the flagship company of
the Motherson Group. It was established in 1986 and has been listed at the Indian stock exchange
since 1993. The company is a specialised full-system solutions provider and caters to a diverse
range of customers in the automotive and other industries across Asia, Europe, North America,
South America, Australia and Africa. It has a growing presence in wiring harnesses, rearview
mirrors, cockpits, bumpers, interior trim as well as a broad range of other polymer, elastomer and
metal-based parts and systems. It also offers proximity to its customers, supporting them in their
product requirements across the globe.1
The Company has a presence in 41 countries and has over 220 facilities across 5 continents. The
Company’s business in India consists of designing, manufacturing and supplying wiring harness
systems to domestic customers in India across segments viz. passenger cars, commercial
vehicles, motorcycles/two-wheeler segments etc. The Company also exports harnesses to OEMs
in Japan, Europe as well as Tier 1 OEM Suppliers (including Company’s subsidiaries for mirrors
business). Also, included in the portfolio is designing, development, manufacturing and
supplying of interior and exterior modules as well as plastic components to OEMs in India.
Rubber and metal parts are also manufactured and supplied to customers in India and exported to
Europe.

Vision Systems
Motherson is one of the largest producers of rearview vision systems for the automotive industry,
and supplies interior mirrors, exterior mirrors and camera-based detection systems to almost all
major car makers globally. The company develops solutions for all categories of automotive
mirror applications: from basic manually adjusted exterior and interior mirrors to electric control
and high-value rearview vision systems with multiple integrated features and a high-performance
camera-based rearview camera monitoring systems.
The division also specialises in critical components to build sub-assemblies integrated into vision
systems, such as light units, electric drive units, camera modules, electronic modules and
reflector glass modules.
A joint venture with Ningbo Huaxiang Electronic Co., Ltd. in China helps in the manufacturing
of rearview mirrors in this region.

Technology & Industrial Solutions
The Technology & Industrial Solutions division focuses on technology and providing critical
support to all the other divisions of Motherson, by serving their IT needs and supporting product
development, validation, prototyping, CAE services and tool design.
The division has also forayed in the healthcare solutions and offers healthcare IT solutions that
align technology, businesses and customers. The company work with external customers in their
digital transformation journey and assist them in their automation process and the streamlining of
business processes with its innovative IT solutions, thereby driving intelligence in the healthcare
sector.
The division also deals with telematics and designs and manufactures a comprehensive range of
products including connected car infotainment systems, customised telematics units (GPS
trackers, SOS and OBD devices) and defense and industrial IoT electronics.

Lighting & Electronics
The Lighting & Electronics division consists of a spectrum of businesses that focus on OEM
supplies and also do business through direct channels. The bouquet of products that this division
offers includes exterior lighting and electronics, passenger car HVAC compressors, body control
modules, shock absorbers and products for backward integration like aluminium die-casted
components and clutch assembly for HVAC Compressors. The division also engages in the area
of direct B2B supply, utilizing various distributor networks and engaging in direct sales and
services to the end customer for automotive parts in the independent aftermarket and marketing
of air compressors and paint coating equipment.
The Lighting & Electronics division serves the automotive sector together with other multiple
industries. The division offers industry independent solutions in conjunction with many
collaborators globally like Marelli (Italy) for lighting systems, electronics, shock absorbers and
gas balancers; Youngshin Components Co Ltd. (South Korea) for clutches for car AC
compressors and Anest Iwata Corporation (Japan) for air compressors and paint coating
equipment.

Aerospace
The Aerospace division is a new initiative of Motherson to serve industries beyond automotive.
The focus for this division is to become a preferred global solutions provider to Aerospace
customers by providing integrated solutions to them, using the existing capabilities of Motherson
and actively adding new competencies to meet their requirements.
The Aerospace division is working in close collaboration with the other business divisions of
Motherson and taking up greenfield and brownfield projects to serve customers both in India and
overseas. The long-term growth perspective looks at developing new opportunities in this
division and adding product and service lines that are not currently offered by the group.
Logistics Solutions
The main focus areas of this division are external logistics, internal logistics and skilling of
manpower
The Logistics Division takes care of the transportation requirements of finished vehicle logistics
in India, by developing modern, technological and socially conscious solutions for OEM
customers. Simultaneously, this division also provides a single-window technology, empowering
4PL solutions for all Motherson companies.
The division has a joint venture partnership with Hamakyorex Co., Ltd. which is one of the
premium car carrier companies of Japan and is engaged in the car carriage, logistics and third-
party logistics business internationally. This collaboration brings Japan’s technologically
advanced, modern and ultra-safe transportation solutions to India.

Services
The divison aims to be truly visionary and think beyond the present capabilities of Motherson. It
strives to meet the changing market needs of customers and has a futuristic approach in
understanding industry trends and their relevance to the entire Motherson Group.The division
also consists of businesses that engage in direct sales and services to the end customers. Most
services of this division support the manufacturing operations of customers.
The group has a joint venture partnership with Sojitz Corporation, Japan for developing the
industrial park in Chennai, India. There is also a collaboration with T-NET JAPAN Co., Ltd.,
Japan for providing automotive engineering and consulting services for automotive and non-
automotive industries
. Financial Highlights
During FY 2019-20, the Company reported consolidated sales of Rs 625,731 million (US$ 8.3
billion) against Rs 625,716 million for FY 2018-19,
Reported earnings before interest, tax and depreciation (EBITDA) consolidated basis is at Rs
53,953 million for FY 2019-20 as compared to Rs 55,324 million in FY 2018-19. After adjusting
for interest and depreciation, the reported profit before tax and profit after tax is Rs 20,554
million and Rs 11,701 million (Previous Year: Rs 30,872 million and Rs 16,131 million)
respectively.
Share of profits of associates & Joint ventures for FY 2019-20 amounted to Rs 575 million
compared to Rs 1,131 million in FY 2018-19.
Reported Earnings per share (EPS) is Rs 3.71 per share, compared to Rs 5.11 per share in FY
2018-19.
Total finance costs of Rs 5,986 million for FY 2019-20 included an amount of Rs 738 million
impact due to the implementation of Accounting Standard on leases. After adjusting the same,
the Finance costs are comparable to Rs 4,232 million during FY 2018-19.
During the year, The Company as a whole incurred capital expenditure of Rs 21,942 million
(Previous Year Rs 26,853 million) which has been largely financed from internal accruals within
the group.
Recent developments
SMRP BV successfully completed acquisition of majority stake in Plast Met Group through
its subsidiary SMR 4
29 April 2021; Samvardhana Motherson Automotive Systems Group BV (SMRPBV),
announced the successful closure of acquisition of a majority stake in Plast Met Plastik Metal
San. İmalatveTic.A.Ş.(PM-Bursa) and Plast Met Kalıp San.veTic.A.Ş.(PM-Istanbul) together
known as Plast Met group (Turkey) through its subsidiary Samvardhana Motherson Reflectec
(SMR).
With the successful closure of this acquisition, Motherson Group now has access to significant
Turkish automotive market. Plast Met is a large automotive supplier in Turkey for injection
moulded parts and sub-assemblies, and also owns a state of art commercial tool room engaged in
manufacture and supplying of high end injection moulding tools to customers worldwide.
Building on the capabilities of Plast Met group, Motherson will be able to support its customers
in the European region more efficiently.
Commenting on the deal, Mr Vivek Chaand Sehgal, Chairman, Motherson Group said, “The

Motherson Sumi Systems Ltd. successfully completes the acquisition of Bombardier’s
Electrical Wiring Interconnection Systems (EWIS) business in Huehuetoca, Mexico. 5
03 May 2021; Motherson Sumi Systems Limited (MSSL), via its Mexican subsidiary,
Motherson Rolling Stocks S. de R.L. de C.V. (MRS), has successfully completed the acquisition
of assets and activities of Electrical Wiring Interconnection Systems (EWIS) performed at
Bombardier Transportation’s manufacturing site in Huehuetoca, Mexico (BT Ensambles
México). MRS is part of the Motherson Rolling Stock Division which designs and manufactures
electrical cabinets, power packs and electrical distribution systems for leading rolling stock
manufacturers.
The company has supported Bombardier’s transformation process over the last years and the
successful closure of this acquisition in Mexico is in alignment with the same. In the past the
company had also acquired Bombardier’s UK rolling stock electrical component and systems
business in Derby

YEAR EVENTS
1986 - The Company was Incorporated on 19th December as a private limited company and was
changed into a public limited company on 29th April 1987.
- The Company was incorporated in the name of Motherson Auto Pvt. Ltd. (MAPL) and was
promoted by K.L. Sehgal and V.C. Sehgal in the year 1983.
- The Company's objects is to manufacture integrated wiring harnesses wires, high tension cords
and components for integrated wiring harnesses including plastic and metal parts.
1987 - The Company acquired Noida Steel Fabricators Ltd. and commenced manufacture of
plastic and steel components used in the integrated wiring harness. The company's unit for
automotive and electric industry is situated at NOIDA, district Ghaziabad, U.P.
1994 - 3,75,000 No. of equity shares and 6,00,000 shares allotted to foreign promoters Nissho
Iwai Corporation Japan (NIC) and Sumitomo Wiring Systems Ltd., Japan (SWS) respectively.
15,25,000 No. of equity shares allotted to Indian promoters. 33,00,000 No. of equity shares were
issued at a prem. of Rs.15 per share during March 1993 as follows:
- (i) 9,62,500 shares to Indian promoters
- (ii) 1,50,000 shares to relatives, associates of Indian promoters
- (iii) 3,00,000 No. of equity shares to SWS Ltd. Japan.

- The Company bagged the Best Display Award at the Auto Expo Exhibition held at Pragati
Maidan, New Delhi from December 7-15, 1993 with participation by reputed Indian and
Overseas manufacturers of vehicles and other Automobile ancillaries.
- Company proposes to install more efficient machines for increase in productivity which will
reduce consumption of energy.
1995 - The company undertook to expand its facility for integrated wiring harness for Maruti
YE-2 car to 13,00,000 nos p.a. Also, with a view to diversification, the company proposed to
manufacture high tension cord exclusively for Maruti with an installed capacity of 1,70,000 sets
p.a.
- The company undertook to set up a backward integration project for manufacture of AVSS
wire to be used in the integrated wiring harness of Maruti's new export car YE-2.
- During October, the company in collaboration with Kromberg and Schubert AG, Germany set
up Kromberg Schubert Motherson Sumi Systems Pvt. Ltd. for manufacture of integrated wiring
harnesses to be supplied to Mercedes Berz-Telco joint venture & BMW-Hero
Motors joint venture for 650 cc motor cycles.
- Britax Motherson Pvt. Ltd. was incorporated in December, in technical and financial
collaboration with Britax International UK for manufacture of Auto Mirrors.
- During December 1995 - January 1996, the company issued 11,60,000 rights equity shares
(prem. Rs.80; Prop. 1:5) of these 320 shares were kept in abeyance.
- The Company had been awarded the ISO 9001 during December.
- The Company has received "Best Vendor Award" in the category of "Electricals" from Maruti
Udyog Limited for the financial year
1994-95.
- The Company has collaboration with world's leading Japanese company, Sumitomo Wiring
Systems Limited, due to which it has latest and most modern equipments from Japan.
- The Company has adopted world famous Japanese work system with its workers trained by
Japanese experts in Japan and some Japanese experts stationed in India.
- The Company has adopted latest Human Resource Management Techniques which are being
used for continuous motivation and training of the employees and the workers, to ensure that the
standards are constantly met and continuously improved further.
1996 - The company implemented a plan for the enhancement of manufacturing capacity and
also incorporated the upgradation of plant and machinery. The company made elaborate plans to
further augment manufacturing capacity and replace old machinery with technologically superior
and more efficient machinery.
- The company entered into an agreement with SWS Japan for manufacture of integrated wiring
harness for Maruti's new car. A separate MOU was entered into with SWS for acquiring
technical knowhow for high tension cord and AVSS.
- In January, Motherson Sirio Antifurto Devices Pvt. Ltd. was incorporated with Antifurto Sirio
777 Srl, Italy for manufacture of Anti Theft Devices for automobiles.
- The Company proposed to enter a joint venture agreement with BTR corporation of Australian
and Sumi Motherson Innovative Engineering Pvt. Ltd. with equity participation of 30%, 60%
and
10% respectively under the name of BTR Motherson Automotive Pvt. Ltd. for manufacturing of
blow moulded Automotive components.
- The company proposed to enter another joint venture under the name of `Kyungshin Industrial
Motherson Pvt. Ltd. in technical and financial collaboration with Kyungshin Industrial Co. Ltd.
Japan with 50-50 equity participation for manufacturing wiring harnesses at Chennai for
Hyundai project.
1997 - The Company has been selected as a supplier of Integrated Wiring Harness for the Honda
Siel project due for commercial production in November.
- The Company is proposing new joint ventures to cash in on the opportunities in the market and
to maintain its leadership.
- The Company is proposing a joint venture with BTR Corporation of Australia for
manufacturing of Blow Moulded Automotive Components and for this purpose a new Company
is being promoted under the name of BTR Motherson Automotive Private Limited.
- Motherson Auto Components Engineering Limited, Motherson Pudenz Fuses Limited and
Motherson Global Pte Ltd., Singapore, a wholly owned subsidiary of Motherson Auto
Components Engineering Limited has become Company's subsidiary under Section 4(1)(c) of
the Companies Act, 1956.
1998 - Motherson Sumi Systems of India has formed a joint venture with Antifurto Sirio 777 Srl.
of Italy, named Motherson Sirio Antifurto Devices. Under the terms of the venture, both
companies will have a 50:50 equity participation in the new company.
- The Company has set up plants for manufacture of Blow Moulded Auto Components and Door
Panels. The Company is setting up, its third plant at Chennai.
- BR Motherson Automotive Private Limited, a Joint Venture between BTR Plc of U.K. and
your Company has set up plants for manufacture of Blow Moulded Auto Components and Door
Panels. The Company is setting up, its third plant at Chennai.
1999 - MSSL was a monopoly manufacturer of integrated wire harness (a crucial link that
integrates all the components of a vehicle) in India until Delphi Auto Systems Ltd entered the
fray.
- MSSL is a major supplier of integrated wire harness to auto majors like Maruti Udyog Ltd,
with a supply of over 50 per cent of its output, Telco and caters to all segments of the automobile
industry.
- The Company has received QS 9000 Certification from BVQI for its Noida Units during the
year 97-98 for the manufacture of wire harnesses.
- The Company was also awarded the Honda Siel Best Quality Supplier for the year 1998-99 and
has been consistently rated as Maruti's best Supplier for its electrical category for the last few
years.
- During the year, the Company's Commercial Paper Program of Rs. 50 million was rated by
ICRA. The Company got the highest rating of `A1 +' which indicates highest safety.
- State of Art facilities are being setup at Bangalore for manufacture of wiring harness for
Customers in the Southern region.
- The company is developing wiring harness for new models proposed to be launched by our
existing customers at the same time increasing market share with the existing customers.
- The company intends to enter into an agreement with National Securities Depository Limited
for the dematerialisation of its Equity shares in accordance with the provisions of the Depository
Act, 1996.
- The name of the company has been changed to MSSL Pune Limited (MPL).
- The Company has set up facilities at Chennai mainly to cater to the requirement of Ford India
and Hyundai Motors.
2000 - The Directors has approved the merger of Motherson Auto Components Engineering
Ltd., the company's wholly owned subsidiary with the company.
- The Board has declared a bonus issue in the proportion of one share for every two shares held
subject to the approval of the shareholders in the AGM.
- ICRA Ltd has reaffirmed the `A1+ rating assigned to the Rs.10 crore Commercial Paper (CP)
programme of Motherson Sumi Systems Ltd. indicating highest safety.
2002
-Motherson Sumi Systems Ltd informs the exchange that Nissho Iwai Corporation nomiates Mr
Hiroto Murai as Director of the company and Mr.Masahiro Matsushita as Alternate Director to
him.
2003
-Sumitomo Wiring Systems nominates Mr.Toshimi Shirakawa as the Director of the company.
-The shareholders approved delisting of the company's shares from the Delhi Stock Exchange
Association Ltd & The Stock Exchange, Ahmedabad.
2004
-Motherson unit sign agreement with German firm for auto roofing systems
-The Japan-based Miyazu Seisakusho Company Ltd, one of the largest car body die
manufacturers in the world, has formed a joint venture company with the Delhi-based Sumi
Motherson group for design, sale and eventual manufacture of car body dies in India

-Motherson Sumi Systems Ltd. had informed that the shareholders of the Company have
approved the amalgamation of Draexlmaier & Motherson Electrical Systems India Limited, a
100% subsidiary of the Company with the Company in the meeting convened on September 10,

-Motherson Sumi Systems Ltd has informed that the Company and Balda AG (Balda) have
agreed to set up a joint venture (JV) for development of precision moulds, design and
manufacture of parts for mobile phones including accessories and appliances for mobile phones
