DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF SALE is made, executed and entered into by:

SPS. JOSE DE LA CRUZ and KULASA DE LA CRUZ, both of legal age, Filipinos and
with residence and postal address at Pila, San Pascual, Batangas, represented by their duly
appointed Attorney-in Fact, PEDRO GARCIA, likewise of legal age, Filipino, married and a
resident of Balayong, Bauan, Batangas, as evidenced by the attached Special Power of
Attorney, hereinafter referred to as the "SELLER/VENDOR",

-AND-

JUAN SANTOS, married to Maria Santos, Filipino, of legal age and a resident of
Inicbulan, Bauan, Batangas, hereinafter referred to as the "BUYER/VENDEE";

WITNESSETH;

WHEREAS, the SELLER/VENDOR are the registered owners of a parcel of land located
at San Antonio, San Pascual, Batangas and covered by a Tax Declaration of Real Property No.
10-2345 containing an area of FOUR THOUSAND FOUR HUNDRED FOURTY SIX
(4,446sqm.) SQUARE METERS more or less, and more prticularly described as follows:

DECLARATION OF REAL PROPERTY NO. 10-2345

“A parcel of residential and agricultural land (Lot 122) located at Brgy. San
Antonio, San Pascual, Batangas, bounded on the North by ALN-123; on the
South by ALN-124 and ALN-125; on the East by ALN-126; and on the West
by ALN 127, with an area of FOUR THOUSAND FOUR HUNDRED FOURTY
SIX (4,446) SQUARE METERS more or less."

WHEREAS, the BUYER/VENDEE has offered to buy, and the SELLER/VENDOR has
agreed to sell the above mentioned property.

NOW THEREFORE, for and in consideration of the total sum of ONE MILLION PESOS
(P1,000,000.00) Philippine Currency, receipt in full is hereby acknowledged by the
SELLER/VENDOR to her satisfaction, the SELLER/VENDOR SELLS, CEDES, TRANSFERS
and CONVEYS in a manner that is absolute and irrevocable the above mentioned real
property unto the BUYER/VENDEE, his heirs, assigns, and successors-in interest;
That the SELLER/VENDOR warrants that the subject real property is free from all liens
and encumbrances of any kind whatsoever and will forever warrant and defend the same unto
said BUYER/VENDEE, his heirs and assigns against the lawful claims of third persons
whomsoever.

That the same real property not having been registered under Act 496 nor under the
Spanish Mortgage Law, the parties hereto have agreed to register the instrument under the
provisions of Section 194 of the Revised Administrative Code, as amended by Act No. 3344.

That the adjoining owners have been notified of this sale but refused to exercise their
rights as provided for by law.

IN WITNESS WHEREOF, we have hereunto signed this instrument on the ___ day of

signatures in the instrument were voluntarily affixed by them for the purposes stated in the
instrument declaring that they have executed the instrument as their free and voluntary act and
deed. Further, persons acting in representative capacity declare that they have been given
authority to sign in said capacity.
