TERMS & CONDITIONS OF SALE
All sales by PT. Restomart Cipta Usaha to the buyer identified in
the document of Order Confirmation ("Buyer") are subject to and
are expressly conditioned upon assent to, these Terms & Conditions
of Sale. No additional or different terms or conditions will be
binding upon PT. Restomart Cipta Usaha unless specifically
1. Cancellation
- All sales made cannot be cancelled by Buyer except upon
terms and conditions acceptable to PT. Restomart Cipta
Usaha, as evidenced by written consent from PT. Restomart
Cipta Usaha. Unilateral cancellation by Buyer will not
reduce the obligation of Buyer to make the full payment of
total sales which has been agreed on Order Confirmation.
2. Price, Payment Terms and Methods
- All transactions are processed in Rupiah currency.
- Price stated is inclusive of value added tax (PPN).
- Payment must be made according to Term of Payment
agreed on Order Confirmation.
- Payment must be made in full accordance with the listed
price without any deductions of administrative fee and
income tax (PPh). PT.Restomart Cipta Usaha will reimburse
the amount of tax deductions after receiving the certificate
of withholding tax from Buyer.
- All payment must be made in the form of non-cash payment
method, as such by bank transfer, m-banking, internet
banking or cheque.
- All payment made by Buyer is required to be confirmed by
enclosing bank transfer receipt to Account Receivable Staff
of PT. Restomart Cipta Usaha in nearby sales branch
offices or by email to Info@restomart.com
- Any payment made apart from bank account of PT. Resto-
mart Cipta Usaha is not liable under responsibility of
PT. Restomart Cipta Usaha.
- Payment due within a maximum of 14 (fourteen) calendar
days from the date of invoice received by Buyer.
- PT. Restomart Cipta Usaha is not responsible for any risk
which may arise out if the payment method is not made in
accordance with these terms.
3. Delivery, Claims and Force Majeure
- PT. Restomart Cipta Usaha reserves the right to defer the
delivery of Products in which delivery has been scheduled,
if the payment is not performed in accordance with the
agreed Terms of Payment. And if the payment is then
performed by Buyer within a maximum of 3 (three) days
from the payment due date in accordance with the payment
terms, the delivery schedule will be arranged within
3 (three) business.

Attachment of Order Confirmation
5. Trademark
- Every Product sold by PT . Restomart Cipta Usaha has official
registered trademarks which are legally protected by the law,
so in which any trademark counter feiting or trademark
replacement with other brand without official authorization
from PT. Restomart Cipta Usaha are found, therefore will be
processed accordingly to Indonesia law.
- Any layout design, itemized product images and design of
Mechanical Electrical Plumbing (MEP) are fully belong to
PT. Restomart Cipta Usaha, in which anybody do not reserve
the right to duplicate and/or to transfer in any form without
valid written consent from PT. Restomart Cipta Usaha.
6. Installation
- The installation fee agreed between Buyer and PT. Restomart
Cipta Usaha is listed on Order Confirmation.
- The installation fee does not include additional fee accurred due
to site condition which is not in accordance with Standard and
Installation Requirement (SPI) ( refer to the attachment of SPI ).
- In the event of requirement to rent the crane or other related
equipment in lodging the Products to the location appointed
by Buyer, any additional cost occurred will become the
responsibility of Buyer.
7. Work by Others and Safety Devices
- PT. Restomart Cipta Usaha has no responsibility for any
Product malfunctions caused by incompatibility result of labor
or work performed by other Vendors or Buyer.
- Any cost occurred in the site will be paid according to the
written agreement between Buyer and PT. Restomart Cipta
Usaha before the conduct of sale purchase process.
- Buyer, who has made the purchase of Products inclusive
installation fee, is obliged to provide safe workplace according
to the prevailing standard.
8. Legal Dispute
- In the event of disagreement with regard to the implementation
of sal e purchase agreement arisen, this will then be settled
in deliberative discussion, however, the agreed resolution
has yet to be achieved, it will be processed further accordingly
to Indonesia law.
