ARTICLE ONE: NAME AND LOCATION
The Association will operate under the name of Mutungo-Community Association (MCA). It will
have operational rights over it since it's the only authorized firm to use such a name as guaranteed by
the Registrar of Community Based Organizations.
Mutungo-Community Association office and store will be located in Mutungo Central Zone, Mutungo
Catholic Church located in the Centre of the town with high volume.
The Association is operating in Wakiso District, mainly in Makindye Ssabagabo. It was founded by a
group of focused and concerned people who carne up to form this Association to find the innovative
solutions to the pressing issues that hinder the social, economic and healthy wellbeing of its members
and other vulnerable groups of people living in Wakiso District. i.e. poor sanitation, illiteracy, un
employment and diseases to mention but a few.

MISSION AND VISION STATEMENTS
SECTION I: MISSION
To skillfully utilize the available resources thus leaving behind a good legacy.
SECTION II: OBJECTIVES
The Association's objectives also include:
a) To uplift the standard of living among members
b) To equip people with skill and knowledge of making money so as to change lives.
c) To help people know God and appreciate him through evangelism.
d) To educate and train leaders of tomorrow
e) To help and link people to other necessities of life economically and socially.
THE AIMS OF THE ASSOCIATION
1. Target of the Association is focused on women, low income earning men and children.
2. MISSION: "Utilize resources skillfully" (Creativity)
3. VISION "To eradicate poverty and reach out to needy families."
SECTION III: VISION STATEMENT
a) To improve the standard of living of low income earning people in the communities.
b) To provide counseling and guidance to the needy
c) To encourage young men and women to achieve their dreams and goals
ARTICLE III: ACTIVITIES
SECTION I:
The Association shall carry out a number of activities within its operation which include:
a) Saving among members
b) Investing in income generating projects I.e. cultivating, piggery, poultry, outside catering,
tailoring and fashion designing, etc.
c) Come to the rescue of any member in trouble
d) Give out loans to the members on interest
e) Conducting educative lectures to students and pupils in school in order to achieve social and
economic development of people.
f) Conduct and promoting Music, Dance and Drama as a source of entertainment to avoid
idleness and laziness.
g) Mobilizing educational programs to people and other Associations
h) Shall do charity visit to needy children, people and elders to form prayer groups to visit
prisoners and the sick in hospitals.
i) To provide guidance and counseling to the HIV positives.
ARTICLE IV: POWERS/ STRENGTH
SECTION I:
In order to achieve its mission and objectives, the Association shall;
a) Raise money through saving schemes, loans and donations
b) We shall open up a bank account
c) Acquire and run assets
d) Employ staff members.
e) Take over insurance
f) Work with similar groups of Associations and exchange information and advice with them.
g) Do anything that is lawful which will help it to fulfill its mission
ARTICLE V: BYE-LAWS
SECTION I: MEMBERSHIP ELIGILITY
a) Membership of the Association shall be open to an individual over eighteen years of age
without regards to disability, political affiliation, race and sex.
b) Membership should be to only sound mind and good character people
c) Membership should be to people who are ready to abide by the laws of the Association and
Government of Uganda
d) Interested in helping the Association to achieve its mission
e) Willing to abide by the rules and regulations of the Association
f) Willing to pay subscription agreed upon by the management committee
SECTION II:
The membership, member may be terminated for good reasons by the management committee.
Provided this, the members shall have the right to be heard by the managing committee, accompanied
by a friend before a final decision is made.
SECTION III:
The Association shall not have members less than five
SECTION IV:
New members shall pay a subscription of of the old members from when this constitution will be
adopted 6th June, 2017.
SECTION V:
A member who falls out of the Association without good reasons shall not be refunded any money as
long as the Association remains in operation.
SECTION II:
The officers of the managing committee shall be;

SECTION III:
The management committee shall have a meeting at least once in a month.
SECTION IV:
At least five management committee members must be present for a committee meeting to take place.
SECTION V:
Voting at management committee shall have the power to remove any member of the committee for
good or proper reasons.
SECTION VI:
The management committee may appoint any other member to fill a vacancy provided that the
minimum number is not exceeded.
ARTICLE VII: OFFICERS
SECTION I:
An officer in the management committee can be removed from office in the Annual General Meeting
(AGM) following fraud, miss management of funds, corruption, discrimination, breaking of rules and
regulations of the Association, criminal acts and disrespect of members.
SECTION II:
All officers holding different offices shall fill volume offices through voting in the General Annual
Meeting by the member show of hands.
ARTICLE VIII: ELECTIONS
SECTION I:
Elections shall be carried out every after one year at the A.G.M
SECTION II:
Qualifications for nomination of all offices shall be fluent spoken English
SECTION Ill:
The length of term the office shall be one year but officers can be re-elected for as many terms as
possible.
SECTION IV:
The elected officers shall take over office that very day of elections after swearing in.
SECTION V:
Elections shall be done by show of hands by the Association members at the AGM.
ARTICLE IX: FUNCTIONS OF THE INDIVIDUAL COMMITTEE MEMBERS a)
CHAIRPERSON
The duties of the Chairperson shall be;
i. Chairing meetings of the Association
ii. Representing the Association functions, meeting that the Association had invited
iii. One of the signatories in terms of an account
b) VICE CHAIRPERSON
The duties of the Assistant chairperson shall be;
i. Act as / carry out the Chairpersons' duties in his/her absence
ii. Disseminate, inform and mobilize people to join the Association. To discharge as many from
time to time.
iii. Carry out duties of the Association as asked by the Chairman
c) SECRETARY
The duties of the Secretary shall be;
i. To keep a membership and attendance list
ii. Prepare in consultation with the Chairperson the Agenda for the meetings of the committee and
the Association.
iii. Take and keep minutes of all meetings
iv. Collect and circulate any relevant information within the Association, keeping the register of
the Association and should be in charge of all the respondents.
v. Arrange for the meeting venues where there is a meeting.
d) TREASURER
i. The duties of the treasurer shall be;
ii. Supervise the financial affairs of the Association
iii. Keep proper accounts that show all money received and paid out by the Association.
iv. Provide information when needed about the financial issues.
e) MOBILIZER
The duties of the patron shall be;
1. In charge of Association purchase
11. Disposure of Association assets
111. Management and maintenance of Association assets
IV. Coordinate advice.
ARTICLE X: FINANCE
SECTION 1:
All money received by/on behalf of the Association shall be applied to further the mission /aim of the
Association and for no other purpose.
SECTION 11:
Any bank accounts opened for the Association shall be in the names of the Association Mutungo-
Community Association.
Withdraws will be effected by the Chairperson with either treasurer or Secretary.
SECTION 111:
Any cheque issued shall be signed by the Treasurer and other nominated members of the management
committee either the Chairperson or Secretary.
SECTION IV:
Association shall ensure that its accounts are audited or independently examined every after 4 months.
SECTION V:
The Association may pay reasonable out of pocket expenses including travel, childcare, meal cost to
members or management committee members.
The loan interest to members should be 2%.
SECTION VI:
Payment of subscription shall be accepted in installments after accumulation
SECTION VII
The monthly subscription shall be 5000/= Uganda shillings for the start until further notice.
SECTION VIII:
The subscription shall be either directly to the Treasurer or to the bank account directly approved by a
valid receipt.
SECTION VIX
Any member of the Association shall be free to access information about the account.
ARTICLE XI: ANNUAL GENERAL MEETING
SECTION I
The Association shall hold the Annual General Meeting (AGM) in the month of December.
SECTION 11:
All members shall be given at least fourteen days' notice of the AGM and shall be entitled to attend
and vote in person.
SECTION 111:
The business of the AGM shall be;
a) Receiving reports from the Chairperson on the Associations' activities over a year.
b) Receiving report from the Treasurer on the finances of the Association
c) Electing a new management committee and considering any other matters as may be decided.
SECTION IV:
At least 70% of members must be present for the AGM and other.
ARTICLE XII. SPECIAL GENERAL MEETINGS SECTION 1
A special general meeting may be called by the management committee of 80% of members to discuss
an urgent matter.
SECTION 11
The Secretary shall give all members fourteen days' notice of any special general meeting together
with notice of business to be discussed.
ARTICLE XIII: ALTERNATION TO THE CONSTITUTION
SECTION 1:
Any changes to this constitution must be agreed by at least 2/3 (two thirds) of these members present
and voting at any general meeting.
ARTICLE XIV: DISSOLUTION
SECTION 1
The Association may be wound up by financial crisis or anything at any time. If agreed by the third
(3/2) of those members present and voting at any general meeting.
SECTION II
In the event of the winding up any assets recurring after all debts have been paid shall be given to
another association with similar aim/mission.
ARTICLE XV: ADOPTION OF THE CONSTITUTION
SECTION I
Until the first AGM takes place the persons whose names, contacts and signatures appear at the
bottom of this document shall act as the management committee to this association. This constitution
was adopted on 6th/06/2017
