Course Description: A study of the law on private corporations, based on the Corporation Code and related laws.
Subjects covered include: the powers and functions of the Securities and Exchange Commission; the types of private corporations; the
incorporation and registration of private corporations; the powers of corporations; the powers, duties and functions of the board of
directors/trustees and corporate officers; subscriptions, stocks and stockholders; corporate books and records; merger and
consolidation; appraisal right; non-stock, close and special corporations; dissolution; securities regulation; and foreign corporations.
