INTRODUCTION
Bharat Sanchar Nigam Limited (BSNL), a fully Government owned company, is
currently providing Cellular Mobile service in 20 Licensed Service Areas in India
(i.e. across the nation except Delhi & Mumbai Metro City Service Areas) and has
a base of around 94.51 Million GSM based 2G / 3G subscribers and 04 Million
CDMA subscribers.. BSNL invites proposals from interested eligible companies for
Routing of MAP Signaling Traffic of BSNLs bilateral agreements for International
Roaming Service for its GSM based 2G/3G subscribers. Initially the services are
planned for GSM based 2G / 3G subscribers only. However, BSNL reserves the
right to extend these services to its other Radio access technology like CDMA,
WIMAX, LTE etc based systems in future.
2.
OBJECTIVE OF EOI
BSNL invites proposals from interested eligible bidders for routing of SS7 MAP
signaling traffic (hereinafter referred to as signaling traffic) relating to the
following :
i) Direct Roaming agreements of BSNL with foreign operators. (Both in-roaming
as well as for out-roaming traffic).
ii) Any other signaling traffic if desired to be routed by BSNL to foreign operators
via Service Provider.
3.
3.1
Presently, all the signaling traffic for direct international roaming for in-roamers
(foreign customers roaming in BSNLs network), out-roamers (BSNL customers
roaming in foreign destinations) as well as SMS inter-working between customers
of BSNL and its foreign partners (with whom it has direct bilateral agreements) for
entire BSNL is through West Bengal Circle of BSNL at Kolkata. This may however
change in future based on sole discretion of BSNL and without prior intimation to
the service provider.
3.2
BSNL uses TEKLEC MAKE STP nodes for its SS7 signaling cloud and supports
SIGTRAN. The bandwidth of connectivity will be as per BSNL requirements spelled
in the present EOI and the same will be at the cost of the service provider.
3.3
The signalling traffic will be handed-over to / taken-over from the Service Provider
at atleast more than one of the following BSNLs STP locations in India which are
having international gateway functionality:
i)
Chennai
ii)
Delhi
iii)
Ernakulam
iv)
Jalandhar
v)
Kolkata
vi)
Mumbai
3.4
The signalling traffic from BSNL will be in ITU-T Format. However, the foreign
operator having direct roaming agreement with BSNL may be using ITU-T format
or ANSI format. The Service Provider will have to arrange for required conversion
from ITU-T to ANSI and vice-versa accordingly.
3.5
For the purpose of connectivity, BSNL can provide LSL/ HSL/ SIGTRAN signaling
links as per requirement of Service Provider.
3.6
The bandwidth for interconnection of Service Provider shall be such that link
occupancy is not more than 30%. An intimation for this in real-time shall be
provided by Service Provider.
3.7
The Service Provider will be required to augment, at his own cost, his bandwidth
connectivity with BSNL based on the signaling traffic and as may be required by
BSNL from time to time.
4.
SCOPE OF WORK
The work by the Service Provider shall comprise the following activities, which
are indicative but not exhaustive:
(i)

The Service Provider shall support the various protocols over the SCCP
signaling as per the ITU-T, ETSI and 3GPP standards including
a. SCCP Class 0 and class 1, with proper load sharing and in-sequence
delivery mechanisms.
b. Global Title Translations, on basis of the GTT Digits, NP, NA, TTId, SSN
and PC of the SCCP ClgPA and CldPA including modifications of SCCP
ClgPA and CldPA
c. TCAP layer
d. Mobile Application Part version 1, 2 and 3 messages
e. CAMEL Application Part version 2, 3 and 4 messages

The Service Provider shall support various ITU-T, ANSI, 3GPP standards
required for the International SCCP connectivity.
The Service Provider shall support various TEC, DoT and TRAI standards
required for the Indian ILD SCCP connectivity.
The Service Provider shall support the various Layer1 interfaces such as
including E1 TDM, E1 ATM and FE etc.
The Service Provider shall support various TDM, ATM and IP based
signaling protocols such as MTP2 based LSLs, HSLs, SCTP, M2PA, M3UA
and SUA as an integration interface.
The Service Provider shall support functionality of screening of signaling
traffic from International Destinations which are black listed by the
Opcode.
The Service Provider shall support functionality of providing detailed SDRs
(Signaling Data Records) of the signaling traffic with GTT, Partner
Operator, CAP/MAP operation, MSU count details etc.
The Service Provider shall support reporting and not limiting to the below
reports with Hourly, Daily, weekly, monthly, quarterly, Half yearly and
Annual time periods.

Service Provider shall establish and test connectivity with BSNL and do
necessary configuration for routing of signalling traffic between BSNL and
foreign operators and for the entire scope of work mentioned in this EOI
including installation, testing, commissioning, integration, acceptance
tests, etc. in the shortest possible time frame as required by BSNL.

Service Provider shall provide MSU traffic and all other details as may be
required by BSNL Message Signal Unit (MSU) traffic shall be provided
country-wise and further as foreign operator-wise on monthly basis .

(xviii) For each monitoring event, a threshold and alarm for taking action will be
established. As soon as the threshold is crossed, the Service Provider will
arrange for immediate rectification with intimation to BSNL.
(xix)
In case BSNL reports a fault / concern, the Service Provider will open a
trouble ticket and address the same at the earliest. It will also provide
facility to BSNL for monitoring of status of the trouble tickets on 24 x 7
basis on-line via Internet on a web-site with password protected access.

Service Provider shall be totally bound and obliged to comply with all the
applicable norms and directions issued from time to time by the
Regulator (Telecom Regulatory Authority of India) or the Licensor
(Department of Telecommunications, Govt. of India) or Govt. of India
and any new condition / direction / amendment / stipulation which may
be brought in force by the Regulator / Licensor / Govt. of India
subsequent to the execution of the contract. All such condition / direction
/ amendment / stipulation should be deemed to be automatically included
in the contract. This also includes facilitation for tracing, and retrieval
of CDRs, etc. as may be required by the designated security agencies of
Govt. of India from time to time, without any delay.

Service Provider shall extend the latest version(s) of the above services to
BSNL without any discrimination with other operators to whom it may be
providing similar services. Further, it shall ensure the evolution of the
services as per the ITU / GSMA / International guidelines / market
scenario.
(xxvi) The Service Provider will pursue and ensure that the signaling traffic routing
is changed by the foreign mobile operators and their respective ILDs (
International Long Distance Service Providers) so that the signaling traffic is
routed to BSNL via Service Provider. The list of foreign mobile operators in
this regard would be intimated by BSNL to the Service Provider. Authorization
letter, if required will also be given by BSNL to the Service Provider for the
PRESENT STATUS OF AGREEMENTS WITH FOREIGN PARTNERS : BSNL has launched it's International Roaming Services from November, 2004.
BSNL is also providing GSM based Cellular Mobile service in 20 Licensed Service
Areas in India (i.e. across the nation except Delhi and Mumbai Metro City Service
Areas) and has a base of around Million subscribers. For more details about
BSNL, please log onto www.bsnl.co.in.
Presently, BSNL has launched commercial roaming with
foreign networks in
countries via direct GSM International Roaming Agreements with them. The list is
available at Annexure - I. The said list is progressively growing.
On an average, 130-140 BSNL customers are out-roaming onto foreign partners on
daily basis and approximately 2700-3000 international in-roamers are latched to
and use services of BSNL network on daily basis. Also, approximately 3800-4000
unique BSNL customers are out-roaming onto foreign partners on monthly basis
and approximately 80000-90000 unique international out roamers are using BSNL
network services on monthly basis.
On an average over last six months, approximately 535-540 million number of MSU
were sent from BSNL network towards its foreign partners in a month and out of
this count approximate 3.5-4.0 million number of MSU were meant for ANSI
destinations requiring MAP to ANSI conversion and vice versa.
6.
ELIGIBILITY CRITERIA

The bidder shall be an established Service Provider for carrying signalling traffic
with valid and operative ILD license or the bidder, in case of foreign companies,
shall have the license to operate international telecom service in one or more
foreign countries including provisioning of same type of service of routing of
signalling traffic.
6.3
The bidder company shall have the experience of providing the same service as
asked for in this EOI (service of routing of signalling traffic ) to other GSM
operators in India or abroad continuously for minimum two years on the last date
of submission of its bid against this EOI.
6.4
The bidder must not have been declared bankrupt / insolvent or should not have
filed for bankruptcy / insolvency in the past five years or in the process of being
declared bankrupt / insolvent before any designated authority in any country.
6.5 The bidders, whose applicable license to provide ILD service in India or to operate
international telecom service in one or more foreign countries including
provisioning of same type of service of routing of signalling traffic, has been
suspended, cancelled or terminated by the Licensing Authority or against whom
notices or legal proceedings are pending for cancellation / suspension /
termination of its license, shall NOT BE ELIGIBLE to bid for this EOI.

A copy of valid and operative license to provide ILD service in India along with all
other necessary licenses or Copy / list of its license(s). In case of foreign company,
copies of documents granting it right to provide international telecom services
including provisioning of service of routing of signalling traffic, in the countries it
claims to be in operation.

A declaration by the bidder that the license is valid and operative and has not
been suspended, cancelled or terminated by the Licensor and the same includes
routing of signaling traffic.
7.7
A declaration by the bidder that the license is valid and operative and that no
notices or legal proceedings are pending for cancellation / suspension /
termination of the same by the Licensor and the same includes routing of signaling
traffic.

Certificate regarding bidder Company not being bankrupt/ insolvent from statutory
Chartered Accountant/ Company Secretary of Bidder Company.
7.10 Experience certificate from at least one of the GSM operators certifying that the
bidder has been continuously providing the same type of service, as asked for in
this EOI, satisfactorily to him from the past two years (two years from the last
date of submission of proposal of this EOI).

8.
8.1
At any time, prior to the date of submission of bids, BSNL may, for any reason,
at its own initiative modify EOI document by amendments.
8.2

Bid shall remain valid for 150 days from the date of opening of bids prescribed by the
BSNL pursuant to clause 21. A bid valid for a shorter period shall be rejected.
10. PERIOD OF CONTRACT
The agreement with the selected bidder (Service Provider) shall be valid for 2 years
unless terminated earlier as per the terms and conditions of the agreement with the
Service Provider. The agreement could be extended beyond two years on mutually
agreed basis.

The successful Firm shall provide within 14 days from the APO date, a
performance Bank Guarantee for an amount equivalent to 15% of PO value.
PBG (s) will be valid for 36 months. PBG (s) will be in the format as per
Annexure-III.
If the Firms desires, Demand Draft (DD) for the full amount can also be paid in
place of PBG, as Security Deposit (SD). However, it is clarified that SD carries no
interest.
If the Firms desires, the full amount can also be transfer to BSNL Account
through RTGS or NEFT in place of PBG, as Security Deposit (SD). However, it is

The successful Firm, shall rendering the service to BSNL within ten weeks
from the date of Purchase Order (PO). This shall include time for
acceptance testing by BSNL. However in case the successful Firm is the same
as existing one, then services will start from the time of award of work.
The successful bidder will propose the test schedule within one week of issue of
P.O. for testing of functional requirements of the services. This test schedules
shall be examined by BSNL and finalized within 1 weeks of receipt of the same to
make it as a reference document for testing.
The successful bidder will arrange to provide the necessary tools and support for
carrying out above tests. The system should be offered for functional tests not
later than 4 weeks prior to date of service commissioning agreed as per 12.1
above.

PENALTY
13.1
Failure to commission the system within the stipulated period of ten weeks from
the date of firm PO, shall result in imposition of penalty as in the subsequent
Para.
Liquidated Damage- Failure to commence operation within stipulated period of
ten weeks from the date of issuance of Purchase order will result in imposition of
penalty of amount equivalent to 0.5 % of the PO value per week of delay for a
period of first ten weeks and there after, a penalty of amount equivalent to 0.7
% of the PO value per week for further delay for next ten weeks. Delay beyond
20 weeks may attract forfeiture of the SD/ PBG and further actions like
blacklisting etc. at the discretion of BSNL.
In the event, that Quality of Service provided by the Service Provider falls below
the quality standard as stipulated in this EOI (against point 7 of clause 22.1(i) of
the EOI) based on a monthly calculation period, a penalty of 2% of the affected
monthly bill (monthly invoice of the Service Provider) will be imposed on the
service provider for every instance of reported non compliance.
In case, the availability of signaling link falls below 99.5% and uptill 99.0% in a
month, a flat 12% of the affected monthly bill (monthly invoice of the Service
Provider) will be imposed on the service provider. In the event of the availability
of signaling link falls below 99.0% in a month, a flat 25% of the affected
monthly bill (monthly invoice of the Service Provider) will be imposed on the
service provider This penalty will be in addition to the penalties, if any, imposed
on account of clause 13.3 above.
In case of persistent deficiency in Quality of Service over three months, BSNL
may terminate the agreement with the Service Provider without any liability or
compensation.

INDEMNIFICATION
The successful bidder will be required to sign contract with BSNL, which would,
inter-alia, include the following: -
Service Provider agrees to protect, defend, indemnify and hold harmless BSNL
and its employees, officers, directors, agents or representatives from and against
any and all liabilities, damages, fines, penalties and costs (including legal costs
and disbursements) arising from or relating to:
a)
Any breach of any statute, regulation, direction, orders or standards from
any governmental body, agency, telecommunications operator or regulator
applicable to such party;
b)
Any breach of the terms and conditions in this agreement by the Service
provider;
c)
Any claim of any infringement of any intellectual property right or any
other right of any third party or of law by the Service provider;
d)
Any claim made by any third party arising out of the use of the services and
arising in connection with interruptions or degradations of service to BSNLs
customers caused solely by the Service Provider.
e)
The Service provider will comply with all the laws, directives, guidelines etc.
of the land where Service provider is located and shall be fully responsible for the
same. The service provider will indemnify BSNL for any liability arising out of non
compliance of the same.
This clause shall survive the termination or expiry of the contract.

Dispute Resolution / Arbitration :The successful bidder will be required to sign contract with BSNL, which would,
inter-alia, include the following: (a)
The contract and any matter relating to the same shall be governed by
and construed in accordance with Indian Law.
(b)
In the event of any question, dispute or difference arising under this
agreement or in connection there-with (except as to the matters, the decision to
which is specifically provided under this agreement), the same shall be referred to
the sole arbitration of the CMD, BSNL, New Delhi or in case his designation is
changed or his office is abolished, then in such cases to the sole arbitration of the
officer for the time being entrusted (whether in addition to his own duties or
otherwise) with the functions of the CMD, BSNL or by whatever designation such
an officer may be called (hereinafter referred to as the said officer), and if the
CMD, BSNL or the said officer is unable or unwilling to act as such, then to the
sole arbitration of some other person appointed by the CMD, BSNL or the said
officer. The agreement to appoint an arbitrator will be in accordance with the
Arbitration and Conciliation Act 1996.
There will be no objection to any such appointment on the ground that the
arbitrator is a BSNL Servant or that he has to deal with the matter to which the
agreement relates or that in the course of his duties as a BSNL servant he has
expressed his views on all or any of the matters in dispute. The award of the
arbitrator shall be final and binding on both the parties to the agreement. In the
event of such an arbitrator to whom the matter is originally referred, being
transferred or vacating his office or being unable to act for any reason whatsoever,
the CMD, BSNL or the said officer shall appoint another person to act as an
arbitrator in accordance with terms of the agreement and the person so appointed
shall be entitled to proceed from the stage at which it was left out by his
predecessors.
(c)
The arbitrator may from time to time with the consent of both the parties
enlarge the time frame for making and publishing the award. Subject to the
aforesaid, Arbitration and Conciliation Act, 1996 and the rules made there under,
any modification thereof for the time being in force shall be deemed to apply to
the arbitration proceeding under this clause.
(d)
The venue of the arbitration proceeding shall be the office of the CMD,
BSNL, New Delhi or such other places as the arbitrator may decide.
16.
TERMINATION
16.1 The BSNL reserves the right, without prejudice to any other remedy for breach of
contract, by written notice of 30 days for default, sent to the service provider;
terminate this contract in whole or in part without any liability.
16.1.1 If the service provider fails to manage the services as per contract or fails to
perform any obligation(s) under the Contract or is penalized repeatedly for more
then three instances in a set of three consecutive months
16.1.2 If the Company, in either of the above circumstances, does not remedy his
failure within a period of 7 days (or such longer period as the BSNL may
authorize in writing) after receipt of the default notice from the BSNL.
16.1.3 If the Company becomes bankrupt or otherwise insolvent as declared by the
competent court provided that such termination will not prejudice or affect any
right of action or remedy, which has accrued or will accrue thereafter to the
BSNL.
16.1.4 If the company fails to maintain a reasonable performance on over a reasonable
period of time (3 months) then BSNL reserves the right to terminate its contract
with the firm
16.2 BSNL reserves the right to discontinue the contract any time in future depending
upon its network conditions or market scenario or directive from the regulator/
licensor or due to change in its own licensing conditions or upon directions from
the competent Government authorities.
16.3
In case of termination of contract the service provider shall be required to
continue providing services for a suitable period of time (defined below) and
shall extend all support for smooth transitioning of services through a different
operator.
In case of contract terminating at the end of contract period, this time limit shall
be 3 months. In case of early termination this limit shall be 6 months.
16.4 In the event of service provider not providing the services for the stipulated
period, BSNL reserves the right to hire services from a new service provider at
the risk and cost of the bidder. In doing so, BSNL shall be able to recover the
difference of amounts being paid to this service provider and the ones paid to
the bidder for similar services without prejudicing its right to take any other
action as contained in the EOI.
17. FORCE MAJEURE
If, at any time, during the continuance of contract, the performance in whole or in
part by either party of any obligation under the contract is prevented or delayed

by reasons of any war or hostility, acts of the public enemy, civil commotion,
sabotage, fires, floods, explosions, epidemics, quarantine restrictions, strikes,
lockouts or act of God (hereinafter referred to as events) provided notice of
happenings of any such eventuality is given by either party to the other as early
as possible but not later than 21 days from the date of occurrence thereof, neither
party shall by reason of such event be entitled to terminate the contract nor shall
either party have any claim for damages against other in respect of such nonperformance or delay in performance, and deliveries under the contract shall be
resumed as soon as practicable after such an event come to an end or cease to
exist, and the decision of BSNL as to whether the deliveries have been so resumed
or not shall be final and conclusive. Further that if the performance in whole or
part of any obligation under contract is prevented or delayed by reasons of any
such event for a period exceeding 45 days, the parties may jointly decide the
course of action (including full/ partial termination of contract) to be taken.
18. SET OFF
Any sum of money due and payable to the Service Provider (including security
deposit refundable to him) under this contract may be appropriated by BSNL or
any other person(s) contracting through the BSNL and set off the same against
any claim of BSNL or such other person or person(s) for payment of a sum of
money arising out of this contract or under any other contract made by the Service
Provider with BSNL or such other person(s) contracting through the BSNL.
19.
LIMITATION OF LIABILITY
Notwithstanding any other provision of this EOI, neither Party shall be liable to the
other for any indirect, consequential, special, incidental or punitive damages, or for
any lost profits of any kind or nature whatsoever, foreseeable or not, arising from its
performance of its obligations under the EOI, whether from negligence or otherwise.
20. PAYMENT
20.1 No payment will be made to Service Provider during testing etc.
20.2 The service should be as per the quality of service in the EOI document. Any
deficiency in service would render the Service Provider liable for penalty as per the
terms and conditions of EOI document.
20.3 For Indian bidder payment will be done by BSNL in INR only while for foreign bidder
payment will be done in US$. Conversion rate from INR to US$ for the said payment
will be as per the rate of the bank (bank through which BSNL decides to make
payment) on the date of payment. Conversion will be for the net payable amount in
INR less the bank charges (bank charges for the said payment in US $). Thus, Bank
charges will be to the account of the Service Provider.
20.4 The payment of the charges will be done on the monthly basis in arrears. All the
payments will be done in accordance with clause 20.5 to 20.14 below.
20.5 Bills shall be submitted by the Service Provider alongwith all supporting documents
as needed by BSNL within 10 working days from the end of each month and BSNL
will pay the bills within 30 working days from the date on which bills have been
submitted, after deduction of taxes, service outage credits, if any.

20.6 Any objection by BSNL regarding bill(s) will be raised in writing within 30(days)
days of receipt of bills. However, the undisputed amount will be paid within 45
working days from the receipt of bill(s).
20.7 In case of any excess payment by BSNL to the Service Provider against any Order or
for any other reason, the excess amount paid will be adjusted against any sum of
money due and payable to the Service Provider for Order(s). When no such amount
is due, the amount may be adjusted from the bank guarantee(s), if the Service
Provider does not pay the amount due in cash on demand by BSNL.
20.8 Any withholding tax or income tax as per the Government of India orders/ rules/
regulations stipulated from time to time shall be deducted from the sum payable
to Service Provider before making the payment of charges.
20.9 Service Tax, if any, due as per Govt. of India's Orders/ Rules/ Acts from time to
time shall be paid by BSNL in addition to the prices finalized for the services. In
case of Indian Service Provider who are residing in India or who have an office in
India, service Tax, if any, may be claimed and shown separately in the Bill/Invoice.
The Service Provider has to raise Cenvatable Invoice for Service Tax charged. In
case of foreign bidder company who are not residing in India or who do not have an
office in India, service tax, if any, due as per Govt. of India's Orders/Rules/Acts will
be borne and paid by BSNL directly to the Government of India.
20.10 In case of written objection by BSNL, the parties will make all reasonable efforts to
settle the bill dispute promptly. The Parties shall exchange all necessary
information and carry out any inspection of their accounts which may appear
reasonably necessary, and request performance of all necessary technical tests
where applicable to settle said dispute without delay. Upon settlement of a
dispute, the Parties shall carry out, if necessary, the corresponding adjustment of
their accounts. In case, objection is not sustained, BSNL will pay such bill
promptly.
20.11 All payments will be made by BSNL by Advice Transfer/Telegraphic Transfer (TT)/
Account payee cheque or bank draft as per the advice of the Service Provider and
upon furnishing relevant particulars in the Bills/Invoices.
20.12 All expenses arising from payment of the dues to the Service Provider such as
bank charges/ commission, clearance fees etc. will be to the account of the
Service Provider.
20.13 The registered address and banking details of BSNL shall be provided to the
Service Provider separately.
20.14 Service Provider may modify its address or banking information by sending a
written notice to BSNL.
21.
SUBMISSION OF PROPOSALS
The proposal from the companies would consist of two parts namely Technical Proposal
and Financial Proposal. Companies are required to submit their Technical Proposal and
Financial Proposal in two separate sealed covers. The following should be clearly
mentioned on each of the said two sealed covers: -

Both these sealed covers should then be put inside another sealed cover with
the following mentioned on this sealed cover:(i)

Each page of the proposals (both Technical as well as Financial) must be duly signed
and stamped by the authorized signatory. Each page of the proposals should be duly
numbered and total number of pages in the proposal should be clearly mentioned in
Technical as well as Financial proposal. The authorized signatory for submission of
both Technical and Financial bids will be only one person. In case any paper
which is a photocopy and submitted as part of the proposal then the copy of the same
has to be certified by the Company's CS/ CA.
All documents have to be submitted in English Language. In case, if copy of any original
document has been asked for in this EOI which is in a language other than English,
then the same should be submitted along with its English translation. The English
translation should be duly authenticated and signed by the authorized signatory.
The proposals from the interested eligible companies shall be accepted at the following

The quotes by the bidder shall be based on total signaling requirements emerging
out of routing of MAP Signaling Traffic of BSNLs bilateral agreements for
International Roaming Service and irrespective of destination.
The work includes handling of both originating signaling traffic from BSNL as well
as terminating traffic into BSNL. i.e. outgoing as well as incoming MSU. Except the
quoted rate at para above, no additional charges of any kind shall be paid by BSNL
for routing of MAP Signaling Traffic of BSNLs bilateral agreements for
International Roaming Service and includes conversion from ITU to ANSI and vice
versa.
Note :- Various activities have been stated in the scope of work, This does not
mean that the same is not required to be carried out mandatorily by the service
provider. The service provider is required to successfully and timely execute all
activities stated in this document. As such bidder is required to quote its prices for
the above accordingly. The quoted prices shall be inclusive of cost of all the items
/ works.
The bidder will have to quote total composite price inclusive of all charges / levies and
taxes but excluding Service Tax, if any, payable to Government of India.
In case of foreign bidder company, all statutory levies as per the law of the land of the
service provider shall be borne by the bidder, and the quotation should be inclusive of
such levies.
In case of Indian bidder, the quotation should separately mention the type of Tax and
its value contained in its composite rate. The composite rate shall be used for
evaluation.
In case of foreign bidder, all statutory levies as per applicable Indian Laws (except
Income Tax) shall be borne by BSNL, and accordingly the same shall be loaded for the
purpose of comparison and evaluation. CENVAT-able taxes and duties shall however
not be considered for evaluation and comparison. Income Tax, if applicable and
deductable at source shall be accordingly deducted. However, the same (i.e. Income
Tax) shall not be considered for evaluation and comparison.
In case of Indian bidder, the quotation should separately mention all types of taxes and
duties applicable and their rates and value. The evaluation and comparison of
responsive bids shall be done on the basis of net cost to BSNL on the prices offered
inclusive of taxes and duties (but excluding CENVAT-able taxes and duties). Further,
Income Tax if applicable and deductable at source shall be accordingly deducted at the
time of payment. However, the same shall not be considered for evaluation /
comparison.

II. Evaluation of the proposals from the eligible companies on the basis of
the technical requirements / QoS offered / experience.
III. Evaluation of the proposals from the eligible companies on the basis of
the financial parameters.
(b) If a company provides/submits incomplete/ misleading/ ambiguous
information on any of the factor(s), it shall be awarded lowest possible score
against that factor for the evaluation purpose.
(c) Any factor used in evaluation will have a maximum score of ten points. The
overall evaluation score will be the total of the scores in the context of the
technical evaluation and the financial evaluation. However the technical and
financial evaluation will have a weightage of 25% and 75% respectively.
(d) The agreement with the successful bidder will be signed on non exclusive
basis. Draft of the Agreement Document shall be based on the conditions
stipulated herein, and shall be in accordance with BSNL policy on the subject.
BSNL reserves the right to sign agreement with one or more service providers
(applicants).
(e) BSNL has commercial International roaming with 363 foreign operators. The
list of foreign operators with whom BSNL has international roaming is
increasing progressively.
(f) BSNL reserves the right to sign agreement with finally short-listed companies
for an initial term of two years, which could later be extended on mutually
agreed basis.
24. PLACEMENT OF ORDER
BSNL shall consider placement of orders for the service only on that eligible bidder
whose offers have been found technically, commercially and financially acceptable
25. ISSUE OF ADVANCE PURCHASE ORDER
25.1 The issue of an Advance Purchase Order shall constitute the intention of BSNL to
enter into contract with the bidder.
25.2 The bidder shall within 14 days of issue of advance purchase order, give his
acceptance along with performance security in conformity with Annexure III
provided with the EOI document.
25.3 The agreement will be signed on non exclusive basis. BSNL reserves the right to
sign agreement with finally short-listed companies for an initial term of two years,
which could later be extended on mutually agreed basis.
25.4 BSNL reserves the right to discontinue the commercial provisioning of the services
any time in future, depending upon its network conditions or directives from the
regulator / licensor or due to change in its own license conditions or upon
directions from the competent Government authorities.

BSNL reserves the right to route the said traffic through any other service
provider as well, at sole discretion of BSNL.
(iii)
The Service Provider will have to route signalling traffic to all the foreign
operators as decided by BSNL.
(iv)

BSNL reserves the right to accept or reject any proposal or to annul the
EOI process and reject all proposals, at any time prior to finalization of
the service provider(s) without assigning any reason whatsoever and
without thereby assigning any liability to the affected EOI participant on
the ground of BSNL's action(s).
(vi)
BSNL reserves the right to blacklist a participant for a suitable period (as
deemed fit by BSNL) in case it fails to honour its proposal in totality.
(vii)
Any
effort
by
a
company
to
influence
the
proposal
comparison/evaluation/ work award decision by way of overt/covert
canvassing shall result in non consideration / rejection of its proposal.
(viii)
The finally selected service provider, with whom BSNL signs the
agreement, will be required to intimate BSNL as and when any new
operator is connected to their platform.

whatsoever which under the law relating to sureties would, but for this provision, have
effect of so relieving us.
6. This guarantee will not be discharged due to the change in the constitution of the
Bank or the
Contractor(s)/supplier(s).
